vIlla rental programme<br />

Your villa is yours to enjoy, therefore, our Villa Rental Programme is tailored to your desires. As an owner, you may use your villa for <strong>as</strong> little or <strong>as</strong> much time <strong>as</strong> you like, whether that be 1<br />

week or 11 months. When you are not in residence, you may elect to place your villa in the Villa Rental Programme. Upon enrollment, we will <strong>as</strong>k you to provide us with a schedule of when<br />

you would like your villa to be included in our inventory over the next calendar year. If you change your mind, you may terminate with 6 months prior written notice, and your agreement to<br />

honor any previously made bookings. You may choose not to include your m<strong>as</strong>ter bedroom and/or any of the other bedrooms in the Villa Rental Programme inventory. We will enroll only the<br />

bedrooms you make available.<br />

Soneva Kiri will place 16 % of Room Revenue into a Reserve Fund which will go towards covering the expenses <strong>as</strong>sociated with the maintenance of villa furniture, fixtures and equipment, and<br />

those expenses <strong>as</strong>sociated with the rental of your villa like housekeeping, laundry and the daily room amenities provided to villa guests. The remaining 84 % of Room Revenue will be allocated<br />

between you and Soneva Kiri <strong>as</strong> follows:<br />

Until 6 % gross yield: Villa owner will receive 80 % of Room Revenue, and Soneva Kiri will receive 20 % of Room Revenue.<br />

Incremental gross yield above 6 %: Villa owner will receive 40 % of Room Revenue, and Soneva Kiri will receive 60 % of Room Revenue.<br />

land le<strong>as</strong>e and vIlla purch<strong>as</strong>e agreements<br />

Buyers are able to le<strong>as</strong>e the land and to purch<strong>as</strong>e the building that sits atop the land being le<strong>as</strong>ed, <strong>as</strong> currently Thai law does not generally allow foreigners to acquire freehold land. Under<br />

current Thai law the maximum term of a land le<strong>as</strong>e is 30 years, therefore overse<strong>as</strong> purch<strong>as</strong>ers can be offered a long land le<strong>as</strong>e, and then they purch<strong>as</strong>e the villa that sits on the land. As such,<br />

buyers at Soneva Kiri will be offered 3 x le<strong>as</strong>e extensions of 30 years each (i.e. 30+30+30+30 = 120 years).<br />

Should the laws on foreign ownership alter in future, Soneva Kiri will allow the conversion of your le<strong>as</strong>ehold interest into a freehold (or a longer le<strong>as</strong>ehold) for no additional consideration.<br />

In order to further protect you, together with all other Lessees you will hold an ownership interest in the “Lessor”; <strong>this</strong> prevents the key terms of the le<strong>as</strong>e from being amended without your<br />

approval.<br />

ownershIp agreements<br />

Ownership will be legally structured via a M<strong>as</strong>ter Agreement, a Le<strong>as</strong>e Agreement to include le<strong>as</strong>e obligations, e<strong>as</strong>ements and regulations, and a Maintenance and Management Agreement.<br />

Villa construction will be legally structured via an Individual Construction Contract with our Contractor and a Construction Management Agreement with a company in our Group who will<br />

act <strong>as</strong> Owner’s representative.<br />

fees<br />

A Le<strong>as</strong>e Registration Fee of 1 % and stamp duty of 0.1 % of the rental of the land for the first 30 years will be paid by Soneva Kiri to the Land Department <strong>as</strong> part of your purch<strong>as</strong>e price. You<br />

may authorize Soneva Kiri or another representative to undertake your le<strong>as</strong>e registration at the Land Department. The rental fee will be proportionate to the land size and value and will cover<br />

the initial 30-year land le<strong>as</strong>e, plus the three 30-year le<strong>as</strong>e extensions. No additional le<strong>as</strong>e rental fees will be required but at the time of each renewal the le<strong>as</strong>e must be re-registered.<br />

resale & <strong>as</strong>sIgnment<br />

Prior approval of the developer (which shall not be unre<strong>as</strong>onably withheld) is necessary for re-sales, and you may choose to resell your villa once all vill<strong>as</strong> available in ph<strong>as</strong>e one have<br />

been sold by the developer and full payment for your villa h<strong>as</strong> been received. If your villa is sold to a purch<strong>as</strong>er who is introduced to you by the developer or any member of our staff, we<br />

will charge an <strong>as</strong>signment fee of 3 % of the resale price. Soneva Private Residences h<strong>as</strong> built a global network of agents and intermediaries who are the top luxury real estate specialists<br />

in their countries and who understand Soneva Kiri’s value proposition. They would be happy to help resell your Soneva Kiri home.<br />

modIfIcatIons to vIll<strong>as</strong><br />

The developer’s written approval is necessary only if you wish to modify the exterior of the villa or the landscape design. Villa owners who elect not to join the Rental Pool may alter<br />

their vill<strong>as</strong> to the extent that the alterations do not affect the exterior of the villa itself or the appearance from the exterior.<br />

warrantIes<br />

The developer offers a 1-year construction warranty on the villa, along with a 5-year warranty on the structural elements of the villa. It should be noted that all vill<strong>as</strong> at Soneva Kiri are<br />

constructed using the highest quality materials, which have been selected specifically for their durability in order to withstand the demands of a tropical climate. All internal fixtures<br />

and fittings come with a manufacturers’ warranty.<br />

payment<br />

The payment schedule is <strong>as</strong> follows:<br />

• A 5 % deposit is required to secure your villa (refundable within 30 days);<br />

• An additional 10 % is due upon contract execution;<br />

• 30 % due upon 1/3 completion;<br />

• 30 % due upon 2/3 completion;<br />

• The remaining 25 % is due upon completion of your villa<br />

All deposits are non-refundable unless stated.<br />

Whilst Soneva Kiri Private Residences enjoy an exclusively private and secluded setting, there is an abundance of activities offered by the resort, catering for all ages and the<br />

most discerning of t<strong>as</strong>tes. The following will be provided:<br />
