26 May 2010 CLAIMANT and RESPONDENT conclude a contract (hereafter the<br />
Contract) which obliges RESPONDENT to supply, install and configure<br />
the master control system for the M/S Vis yacht until<br />
12 November 2010. The Contract is subject to Mediterranean law and<br />
contains an arbitration clause.<br />
5 August 2010 Almost six weeks after the conclusion of the Contract, RESPONDENT is<br />
informed that CLAIMANT has scheduled a conference on the M/S Vis<br />
for 12 to 18 February 2011.<br />
6 September 2010 Due to a short circuit, a fire occurs at the premises where High<br />
Performance produces the D-28 chips. RESPONDENT depends on these<br />
chips as they are part of the processing units of the master control<br />
system.<br />
10 September 2010 High Performance informs RESPONDENT’S supplier about the fire. It<br />
states that there will be a halt in production until the beginning of<br />
November 2010. As there is only a small stock of D-28 chips left,<br />
High Performance decides to allocate these to its regular customers<br />
first. Specialty Devices is not a regular customer. Atlantis Technical<br />
Solutions, a long standing client and regular customer of High<br />
Performance, receives the remaining chips.<br />
13 September 2010 RESPONDENT informs CLAIMANT about the fire, explaining that the<br />
delivery of the master control system will be delayed until the end of<br />
November 2010. Installation can therefore not begin before mid-<br />
January 2011. As a consequence, the event scheduled for 12 to<br />
18 February 2011 cannot be held on the M/S Vis.<br />
In the meantime CLAIMANT charters the M/S Pacifica Star yacht as a substitute venue.<br />
In order to find a substitute, CLAIMANT engages a yacht broker. After<br />
the broker already located the substitute, he is promised a USD 50,000<br />
success fee in case he secures the lease contract. As later revealed by a<br />
trade journal, CLAIMANT’S yacht broker has partially passed on this<br />
success fee to Mr Goldrich’s assistant to effect an “introduction” to<br />
Mr Goldrich. This is bribery under the laws of Pacifica.<br />
