6 CONDIZIONI DI VENDITA SALES CONDITION ottobre 2002 n. 231. 4.3 Qualsiasi reclamo o contestazione non darà diritto al Compratore di sospendere o ritardare i pagamenti. 4.4 Gli eventuali anticipi percepiti dal Venditore sono sempre infruttiferi di interessi. 5. Spedizioni 5.1 Tutte le operazioni di trasporto, assicurazione, dogana, dazio, movimentazione, consegna e spese, sono a carico rischio e pericolo del Compratore al quale compete l’onere di verificare le spedizioni all’arrivo e di esercitare, se del caso, le eventuali lamentele nei confronti del vettore, anche se la spedizione è stata eseguita in porto franco. 6. Reclami 6.1 Eventuali reclami o contestazioni da parte del Compratore sul prodotto fornito dovranno essere segnalati al Venditore, a pena di decadenza, entro 15 giorni lavorativi dalla data della consegna e dovranno essere effettuati per iscritto. 6.2 I reclami per eventuali manomissioni od ammanchi dovranno essere perentoriamente segnalati, per iscritto, dal Compratore al Vettore, al momento del ricevimento della merce. 7. Garanzia 7.1 Il Venditore garantisce il buon funzionamento dei prodotti <strong>STAMAT</strong> per 2 anni (due) dalla data della consegna. 7.2 La garanzia è limitata alla riparazione o sostituzione, ad insindacabile scelta del Venditore, franco deposito indicato dal Venditore stesso, dei pezzi difettosi per accertato difetto di materiale o di lavorazione. Le parti sostituite restano di proprietà del Venditore. 7.3 La garanzia non copre materiali e parti soggette a naturale usura o deterioramento 7.4 Ogni sorta di indennizzo è escluso, né potranno essere reclamati danni, diretti ed indiretti (anche nei confronti di terzi), di qualsiasi natura e specie anche per il temporaneo non uso dei prodotti acquistati. L’esame dei difetti e delle loro cause sarà sempre effettuato dal Venditore, presso i suoi stabilimenti. 7.5 Le spese (come, per esempio, la manodopera, lo smontaggio, il rimontaggio, il trasporto, il vitto e l’alloggio) per intervento esterno di personale del Venditore, anche in caso di riconosciuta garanzia, sono sempre a carico del Compratore. Restano a carico del Venditore il costo dei pezzi sostituiti e quello inerente al tempo necessario alla sostituzione degli stessi. 7.6 Sono esclusi dalla garanzia i prodotti, conservati, installati (protezione da intemperie, irraggiamento ed inquinamento, lubrificanti), impiegati o manutenuti in modo negligente o errato ovvero non conforme alle indicazioni del Venditore o comunque modificati, riparati o smontati anche in parte. 7.7 La garanzia è pure esclusa per danni e/o difetti e/o anomalie derivanti da componenti esterni o da errato montaggio degli stessi. 7.8 La garanzia di cui al presente articolo 10 sostituisce ed esclude ogni altra forma di garanzia, anche legale. Decree No. 231 October 9th 2002. 4.3 Any claim or dispute will not entitle the Buyer to suspend or delay payments. 4.4 Any advance payments received by the Seller shall always be non-interest bearing. 5. Shipping 5.1 All operations concerning transport, insurance, customs, duty, handling, delivery, expenses and risks shall be borne by the Buyer, upon whom the burden of verifying the shipment upon arrival and to pursue, where appropriate, any complaints against the carrier, even if the shipment has been loaded carriage paid. 6. Claims 6.1 Any complaints or objections by the Buyer on the final product must be reported to the Seller, under penalty of forfeiture, within 15 working days from the date of delivery and must be in writing. 6.2 Claims for tampering or shortages must be reported peremptorily, in writing, by the Buyer to the carrier, upon receipt of the goods. 7. Warranty 7.1 The seller guarantees the proper functioning of <strong>STAMAT</strong> products for 2 years (two) from the date of delivery. 7.2 The warranty is limited to repairing or replacing, at Seller’s sole option, ex-warehouse indicated by Seller, for the imperfect parts found defective in material or workmanship. Replaced parts shall remain property of the Seller. 7.3 The warranty does not cover materials and parts subjected to normal wear or damage 7.4 Every sort of compensation is excluded, nor can be claimed damages, direct or indirect (also towards third parties), of any nature or kind even for the temporary non-use of the products purchased. An examination of the defects and their causes will always be made by the Seller, at its plants. 7.5 Expenses (such as, for example, labor, dismantling, reassembly, transportation, board and lodging) for external intervention of the Seller’s personnel, even in the case of recognized warranty, shall always be charged to the Buyer. Remain at Seller’s expense the costs of replaced parts and the inherent time required to replace them. 7.6 Excluded from warranty are the products chosen, stored, installed (weather protection, radiation and pollution, lubricants), used or maintained in a way so negligent or incorrect or else not in compliance with the Seller’s guidelines or otherwise modified, repaired or even partially disassembled. 7.7 The warranty is also excluded for damages and/or defects and/or anomalies arising from external components or due to improper assembly of the same. 7.8 The warranty referred to in this Article 10 replaces and excludes all other warranties, including legal action. 7.9 The Buyer will lose the warranty referred to in this Article, if he fails any of its contractual obligations.
CONDIZIONI DI VENDITA SALES CONDITION 7 7.9 Il Compratore decade dalla garanzia di cui al presente articolo nel caso in cui venga meno ad uno qualsiasi degli obblighi contrattuali assunti. 7.10 Le eventuali riparazioni in garanzia e/o fuori garanzia dovranno essere richieste per iscritto dal Compratore al Venditore. 8. Responsabilità 8.1 In caso di responsabilità del Venditore per prodotti difettosi, il risarcimento non potrà eccedere l’importo del prezzo d’acquisto degli stessi prodotti difettosi. 8.2 In ogni caso, il Venditore non dovrà rispondere dei danni indiretti, quali, per esempio, la perdita di clientela, di fatturato, di produzione, di profitto, di immagine, oltre che dei danni derivanti al Compratore dalle azioni eventualmente intraprese nei confronti di quest’ultimo da terzi. 8.3 È comunque esclusa ogni responsabilità del Venditore qualora i difetti del prodotto siano dovuti, a titolo meramente esemplificativo, a: a) utilizzo non corretto o anomalo; b) manutenzione impropria, scorretta o manchevole; c) impiego del prodotto non abituale o contrario alle avvertenze del Venditore o, comunque, diverso da quello cui è destinato; d) utilizzo del prodotto con altri componenti; e) conservazione inadatta. 9. Legge regolatrice, giurisdizione e Foro competente 9.1 Per ogni controversia relativa alla stipulazione, validità, interpretazione, esecuzione e cessazione del presente contratto, la legge regolatrice sarà unicamente quella italiana, con giurisdizione esclusiva del giudice italiano e competenza esclusiva del Foro di Torino, con espressa esclusione di ogni altro e diverso Foro alternativo. 10. Riserva di proprietà dei beni. Indennità 10.1 Il trasferimento della proprietà dei beni oggetto della presente Vendita non avverrà che dopo l’integrale pagamento del prezzo convenuto, ai sensi degli artt.1523 e ss. del Codice Civile Italiano. 10.2 In nessun caso e a nessun titolo viene concesso l’utilizzo del marchio. 11. Forma convenzionale 11.1 Il presente contratto costituisce la sola fonte negoziale di regolamento dei rapporti tra le Parti. 11.2 Tutte le convenzioni dirette a derogare, modificare e/o integrare, anche solo in parte, le presenti Condizioni Generali di Vendita dovranno essere stipulate e provate per iscritto. 11.3 Il Compratore dà atto di avere ricevuto e di avere attentamente visionato la documentazione tecnica fornita dal Venditore. 12. Lingua applicabile 12.1 Il presente contratto è redatto in lingua italiana ed in lingua inglese. 7.10 Any repairs under warranty and/or out of warranty must be requested in writing by the Buyer to the Seller. 8. Liability 8.1 In the event of Seller’s liability for defective products, the compensation shall not exceed the amount of the purchase price of such defective products. 8.2 In any case, the Seller shall not be liable for consequential damages, such as, for example, loss of customers, sales proceeds, production, profit, image, as well as damages to the Buyer arising from any action taken against this last by third parties. 8.3 In any case the Seller is excluded from any liability when product defects are due, for example, to: a) misuse or irregular use; b) improper, incorrect, or faulty maintenance; c) unusual use of the product or contrary to the Seller’s warnings or, otherwise, other than its intended use; d) use of the product with other components; e) improper storage. 9. Governing Law, Jurisdiction and Venue 9.1 For any dispute concerning the stipulation, validity, interpretation, execution and termination of this contract, the governing law will be only the Italian one, with exclusive jurisdiction of the Italian Judge and the exclusive competence of the Court of Turin, with the express exclusion of any other alternative and different Court. 10. Ownership of the goods. Compensation 10.1 The transfer of the ownership of the goods object of this Sale, will not occur until full payment of the agreed price, under artt.1523 et seq. of the Italian Civil Code. 10.2 Under no circumstances and in no way is granted the use of the trademark. 11. Conventional form 11.1 This agreement represents the sole contractual source to settle relations between the Parties. 11.2 Any agreement intended to derogate, modify and/or supplement, if only in part, these General Conditions of Sale shall be stipulated and proved in writing. 11.3 The Buyer declares to have received and have carefully examined the technical documentation supplied by the Seller. 12. Applicable language 12.1 This contract has been drawn up in Italian and English. 12.2 In case of disagreements or doubts in the interpretation of the contract or the technical documentation referred to in the preceding article, the Parties hereby agree, however, that the Italian version shall prevail. 12.2 In caso di contrasti o di dubbi nell’interpretazione del contratto ovvero della documentazione tecnica di cui all’articolo precedente, le Parti convengono che faccia, in ogni caso, fede la versione redatta in lingua italiana.
