In relatiile <strong>de</strong> <strong>afaceri</strong> , codul <strong>de</strong> <strong>conduita</strong> ne serveste drept ghid pr<strong>in</strong> <strong>in</strong>termediul pr<strong>in</strong>cipiilor<br />
care reflecta valorile <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A.<br />
Pr<strong>in</strong>cipiile acestui cod au rolul <strong>de</strong> a ajuta fiecare angajat s5-gi <strong>in</strong>feleag5 clar<br />
responsabilit5tile gi rolul <strong>in</strong> cadrul companiei. Totodata, acestea au ca scop con$tientizarea<br />
aspectelor <strong>de</strong> naturS eticS cu care ne putem confrunta permanent <strong>in</strong> activitatea noastrS.<br />
<strong>Codul</strong> <strong>de</strong> <strong>conduita</strong> al <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. se aplica tuturor angajatilor <strong>si</strong> celor care<br />
lucreaza pentru societate, directorilor <strong>si</strong> adm<strong>in</strong>istratorilor.<br />
Clientii <strong>si</strong> furnizorii vor actiona <strong>in</strong> concordanta cu preve<strong>de</strong>rile codului companiei <strong>Farmaceutica</strong><br />
<strong>REMEDIA</strong> S,A,<br />
Fiecare angajat poart5 r5spun<strong>de</strong>rea <strong>in</strong> ceea ce privegte reputa[ia companiei <strong>Farmaceutica</strong><br />
<strong>REMEDIA</strong> S.A. <strong>si</strong> este foafte important ca fiecare angajat sa i<strong>si</strong> dove<strong>de</strong>asca <strong>in</strong>tegritatea <strong>si</strong><br />
capacitatea <strong>de</strong> a lua <strong>de</strong>cizii, conformandu-se <strong>Codul</strong>ui <strong>de</strong> conduit <strong>si</strong> <strong>etica</strong> <strong>in</strong> <strong>afaceri</strong>, politicilor<br />
societatii <strong>si</strong> legislatiei <strong>in</strong> vigoare. Actiunile corecte se bazeaz5 <strong>in</strong> primul rdnd pe onestitate gi<br />

Avem ambitia <strong>de</strong> a realiza un plus <strong>de</strong> valoare pentru toti clien[ii nogtri, o rentabilitate<br />
atractivE pentru actionarii nogtri, <strong>de</strong> a fi un angajator preferat pentruangajatii nogtri.<br />
Pentru a <strong>in</strong><strong>de</strong>pl<strong>in</strong>i toate acestea este nevoie <strong>de</strong> <strong>in</strong>tegritate gi profe<strong>si</strong>onalism la cel mai <strong>in</strong>alt<br />

. Contributie<br />
O preocupare <strong>de</strong>f<strong>in</strong>itorie este oferirea pentru clientii nostri <strong>de</strong> servicii diver<strong>si</strong>ficate, <strong>de</strong><br />
calitate, ceea ce diferentiaza compania noastra pe piata farmaceutica <strong>in</strong> raport cu<br />

Aplicam standar<strong>de</strong> profe<strong>si</strong>onale <strong>si</strong> etice ridicate la nivelul tuturor<br />
componentelor activitatii noastre, <strong>in</strong> stricta conformitate cu legile <strong>si</strong><br />
reglementarile <strong>in</strong> vigoare.<br />
Capitolul 2. - Resoectarea leqii<br />
Fiecare angajat are obligatia <strong>de</strong> a respecta toate legile, regulile <strong>si</strong> regulamentele aplicabile<br />
operati u n ilor compa niei.<br />
Acestea <strong>in</strong>clud, fara limitare, legile priv<strong>in</strong>d mita <strong>si</strong> comi<strong>si</strong>oanele ilegale, drepturile <strong>de</strong> autor,<br />
marcile <strong>si</strong> secretele comerciale, confi<strong>de</strong>ntialitatea <strong>in</strong>formatiilor, contributiile politice ilegale,<br />
drepturile <strong>de</strong> autor, practicile anticoruptie, acordarea sau primirea <strong>de</strong> gratuitati, riscurile <strong>de</strong><br />
mediu, discrim<strong>in</strong>area sau hartuirea la locul <strong>de</strong> munca, sanatatea <strong>si</strong> securitatea ocupationala,<br />
<strong>in</strong>formatiile f<strong>in</strong>anciare false sau care <strong>in</strong>duc <strong>in</strong> eroare sau utilizarea abuziva a activelor<br />
corporative.<br />
Fiecare angajat trebuie sa <strong>in</strong>teleaga <strong>si</strong> sa respecte toate legile, regulile <strong>si</strong> regulamentele<br />
aplicabile postului pe care il ocupa.<br />
Capitolul 3. - Pr<strong>in</strong>cioii qenerale <strong>de</strong> <strong>afaceri</strong><br />
Obiectivul nostru este sE avem o afacere profitabila, atractiva pentru actionari <strong>si</strong> <strong>in</strong>vestitori,<br />
transparenta pr<strong>in</strong> respectarea standar<strong>de</strong>lor <strong>de</strong> comportament <strong>si</strong> a legislatiei <strong>in</strong> vigoare.<br />

clientilor. Suntem preocupati <strong>de</strong> diver<strong>si</strong>ficarea permanenta a serviciilor <strong>de</strong> calitate oferite<br />

Toti angajafii sunt obligati la onestitate gi transparent5 <strong>in</strong> relatiile cu partenerii <strong>de</strong> <strong>afaceri</strong>.<br />
. Societate: Respectdm drepturile omului gi promovdm b<strong>in</strong>ele public pr<strong>in</strong> activitaile <strong>de</strong><br />
responsabilitate corporativa <strong>si</strong> respectSm legislatia <strong>in</strong> vigoare gi reglementarile<br />
concurentiale.<br />
3.2 - Confi<strong>de</strong>ntialitate<br />
Secretele <strong>de</strong> <strong>afaceri</strong> trebuie tratate confi<strong>de</strong>ntial.<br />
Acest lucru este valabil gi pentru alte <strong>in</strong>forma[ii la care <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A.,<br />
furnizorii, partenerii <strong>de</strong> <strong>afaceri</strong> gi clienfii sEi au <strong>in</strong>teres ca ele sE r6manE secrete.<br />
Astfel <strong>de</strong> <strong>in</strong>formatii nu vor fi transmise cEtre persoane neautorizate f5rd<br />
acordul persoanei competente pentru <strong>in</strong>liturarea caracterului confi<strong>de</strong>ntial.<br />
Aceast6 obligafie dd<strong>in</strong>uie gi dup5 f<strong>in</strong>alizarea raportului <strong>de</strong> lucru sau alt raport contractual.<br />
3.3 - Resurse <strong>in</strong>formatice<br />
Resursele <strong>in</strong>formatice ale societSfii <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. trebuie folo<strong>si</strong>te <strong>in</strong> mod<br />
responsabil gi <strong>in</strong> conformitate cu reglementarile legale <strong>si</strong> procedurile societSfii, <strong>in</strong>clu<strong>si</strong>v cele<br />
legate <strong>de</strong> tehnologia <strong>in</strong>formatic5 specificS, protectia datelor, <strong>in</strong>formatii confi<strong>de</strong>ntiale gi<br />
private ale societStii, precum gi drepturi <strong>de</strong> proprietate <strong>in</strong>telectualS.<br />
Resursele <strong>in</strong>formatice ale societ5fii <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. <strong>in</strong>clud ansamblul<br />
echipamentului <strong>in</strong>formatic <strong>de</strong>t<strong>in</strong>ut <strong>in</strong> proprietate, <strong>in</strong>chiriat sau <strong>de</strong>t<strong>in</strong>ut <strong>in</strong> regim <strong>de</strong> lea<strong>si</strong>ng<br />
<strong>in</strong>diferent<strong>de</strong> locatia fizic5 a acestuia, <strong>in</strong>clu<strong>si</strong>v, darffirE a se limita la acestea: computere<br />
personale, computere portabile, servere refea, acces la <strong>in</strong>ternet, la Intranetul societ5tii<br />
<strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. gi dispozitive <strong>de</strong> acces la e-mail.

Toate resursele <strong>in</strong>formatice ale societS[ii <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. sunt proprietatea<br />
societ6tii <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A., <strong>in</strong>clu<strong>si</strong>v toate <strong>in</strong>formaliile create, stocate sau<br />
transmise pr<strong>in</strong> <strong>in</strong>termediul resurselor <strong>in</strong>formatice ale societS[ii <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A.<br />
S<strong>in</strong>gurele <strong>in</strong>formatii care nu sunt con<strong>si</strong><strong>de</strong>rate proprietatea societdtii sunt <strong>in</strong>formatiile<br />
obt<strong>in</strong>ute <strong>in</strong> timpul folo<strong>si</strong>rii limitate <strong>in</strong> scop personal a resurselor <strong>in</strong>formatice <strong>Farmaceutica</strong><br />
<strong>REMEDIA</strong> S.A. sau acele <strong>in</strong>formatii care nu sunt con<strong>si</strong><strong>de</strong>rate proprietatea societ5tii conform<br />
legilor gi regulamentelor <strong>in</strong> vigoare.<br />
Resursele <strong>in</strong>formatice ale societS[ii <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. se vor folo<strong>si</strong> <strong>in</strong> <strong>de</strong>sfSgurarea<br />
activit5ti i societ5[i i.<br />
Este <strong>in</strong>terzisd utilizarea lor <strong>in</strong> urm5toarele scopuri:<br />
. Mesaje <strong>de</strong> h5(uire, discrim<strong>in</strong>atorii, calomnioase, frauduloase sau <strong>de</strong> amen<strong>in</strong>fare, <strong>in</strong>clu<strong>si</strong>v<br />
mesaje cu caracter ofensator cu privire la ras5, sex, v6rst5, orientare sexualS, religie,<br />
cred<strong>in</strong>te politice, orig<strong>in</strong>e nationalS, handicap, orig<strong>in</strong>e etnicE, statut <strong>de</strong> veteran, i<strong>de</strong>ntitate<br />
sexualS sau orice alt5 caracteristic5 protejat5 <strong>de</strong> lege.<br />
. Trimiterea, accesarea sau stocarea oric5ror materiale sau comunic5ri cu caracter ofensator<br />
sau obscen.<br />
. Distribuirea neautorizatE <strong>de</strong> <strong>in</strong>formatii private, confi<strong>de</strong>ntiale sau secrete comerciale<br />
aparl<strong>in</strong>Snd societ5tii <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A..<br />
. Provocarea sau favarizarea bregelor <strong>de</strong> securitate sau <strong>in</strong>treruperea comunic5rii <strong>in</strong> retea<br />
gilsau <strong>de</strong>zv5luirea <strong>in</strong>a<strong>de</strong>cvat6 a parolei sau acordarea permi<strong>si</strong>unii altor persoane <strong>de</strong> a folo<strong>si</strong><br />

3"4. - Politica referitoare la corespon<strong>de</strong>nta electronica<br />
<strong>in</strong>registrdrile <strong>de</strong> <strong>afaceri</strong> pot <strong>in</strong>clu<strong>de</strong> corespon<strong>de</strong>n[a electronica gi chiar note <strong>in</strong>dividuale,<br />
calendare gi agen<strong>de</strong> personale. E-mail-ul pus la dispozitie <strong>de</strong> companie se foloseste <strong>in</strong> primul<br />
16nd <strong>in</strong> scop <strong>de</strong> <strong>afaceri</strong>. Toate comunicafiile <strong>si</strong> adresa <strong>de</strong> e-mail pusa la dispozitia angajatilor<br />
este <strong>si</strong> va ramane proprietatea exclu<strong>si</strong>va a firmei <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. <strong>si</strong> nu va putea<br />
fi folo<strong>si</strong>ta <strong>de</strong>cat exclu<strong>si</strong>v <strong>in</strong> scopul <strong>in</strong><strong>de</strong>pl<strong>in</strong>irii atributiilor care fac obiectul muncii persoanei <strong>in</strong><br />
cadrul companiei.<br />
Orice corespon<strong>de</strong>nta privata este <strong>in</strong>terzisa, <strong>in</strong>diferent ca acestia sunt alti salariati ai<br />
<strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.,4.ori persoane d<strong>in</strong> afara acesteia, ori pe care o va primi <strong>de</strong> la<br />
asemenea terti, <strong>in</strong>clu<strong>si</strong>v orice atasament care <strong>in</strong>soteste corespon<strong>de</strong>nta. Un asemenea mesaj,<br />
<strong>in</strong>diferent <strong>de</strong> format, este <strong>si</strong> va ramane proprietatea exclu<strong>si</strong>va a <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.4.<br />
Angajatul nu poate <strong>in</strong>voca niciun drept cu privire la adresa <strong>de</strong> corespon<strong>de</strong>nta ori la cont<strong>in</strong>utul<br />
mesajelor expediate d<strong>in</strong>spre ori primite la acesta adresa.<br />
In acest sens, salariatul <strong>in</strong>telege <strong>si</strong> con<strong>si</strong>mte ca <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. are dreptul ca,<br />
pr<strong>in</strong> angajatii <strong>si</strong> colaboratorii sai calificati, <strong>si</strong> <strong>in</strong> orice moment, sa monitorizeze, cenzureze ori<br />

Email-ul trebuie folo<strong>si</strong>t cu discernEmdnt atunci c6nd se trimit <strong>in</strong>formatii confi<strong>de</strong>ntiale sau <strong>de</strong><br />
proprietate, <strong>de</strong>oarece comunica[iile pr<strong>in</strong> e-mail nu sunt <strong>si</strong>gure, fi<strong>in</strong>d <strong>in</strong> fapt o carte pogtalE<br />

imprumuturile, garantarea imprumuturilor sau alte obligafii ale angaja[ilor gi ale membrilor<br />
lor <strong>de</strong> familie pot crea conflicte <strong>de</strong> <strong>in</strong>terese.<br />
Un conflict <strong>de</strong> <strong>in</strong>terese se mai poate produce gi dac5 un angajat al companiei <strong>Farmaceutica</strong><br />
<strong>REMEDIA</strong> S.A. lucreaz5 concomitent pentru un client, furnizor sau concurent , sau are un<br />
<strong>in</strong>teres f<strong>in</strong>anciar legat <strong>de</strong> acegtia.<br />
Conflictele <strong>de</strong> <strong>in</strong>terese trebuie anuntate, <strong>de</strong> <strong>in</strong>data ce apar, <strong>de</strong> persoana <strong>in</strong> cauza, pr<strong>in</strong>tr-o<br />
<strong>de</strong>claratie scrisa <strong>de</strong>pusa la Con<strong>si</strong>liul <strong>de</strong> Adm<strong>in</strong>istratie al <strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A.<br />
4.5. Mituirea <strong>si</strong> coruptia<br />
In legdturE cu activitSfi comerciale <strong>de</strong> orice fel, nici un angajat sau <strong>de</strong>legat al societ5tii nu<br />
are voie sE acor<strong>de</strong> sau sE cearE avantaje, sa ofere beneficii directe sau <strong>in</strong>direct nepermise<br />
(ex. oferirea sau prezentarea <strong>de</strong> bani sau alte benefpersonale) partenerilor <strong>de</strong> <strong>afaceri</strong>, sau a<br />
diverselor autoritati, angajatilor sau <strong>de</strong>legatilorlor sau altor terti, sau sE permit5 promiterea<br />
lor sau sd le accepte.<br />
Aceasta dispozitie se aplica <strong>in</strong> special prestatiilor care pot <strong>in</strong>fluenta <strong>in</strong> mod nejustificat<br />

Orice cadou, gest <strong>de</strong> manifestare a ospitalitatii sau <strong>in</strong>vitatie <strong>de</strong> participare trebuie sa se<br />
<strong>in</strong>cadreze <strong>in</strong> limitele acceptate <strong>de</strong> lege <strong>si</strong> <strong>de</strong> catre societate.<br />
Incalcarea prezentelor dispozitii va fi sanctionata <strong>in</strong> conformitate cu reglementarile legale -<br />
<strong>de</strong>nunfarea relafiei <strong>de</strong> munc5 sau contractual <strong>si</strong> pot conduce la <strong>in</strong>ceperea urmarii penale, la<br />
plata unor amenzi sau <strong>in</strong>registrarea <strong>de</strong> creante fiscale suplimentare <strong>si</strong> <strong>in</strong><strong>de</strong>mnizatii civile<br />
pentru daune <strong>in</strong>terese.<br />
4.5. Resnectarea reslementarilor leoale <strong>de</strong> concurenti<br />
<strong>Farmaceutica</strong> <strong>REMEDIA</strong> S.A. practica o concurenf5 corectE gi <strong>de</strong>schis5 <strong>in</strong> stricta conformitate<br />
cu legislatia <strong>in</strong> vigoare.<br />
Societatea noastr5, angajalii sau <strong>de</strong>legafii acesteia nu au voie sE admit5 practici anticoncurentiale,<br />
cum ar fi conven[ii cu alte societ5ti, care urmdresc sau cauzeazi o<br />
impiedicare, o limitare sau o <strong>de</strong>naturare a concurenfei.<br />
