“Consistent with and supplementary to public reporting requirements and the
Company’s investor relations practices, and in consideration of the support the
Investors are able to provide as shareholders of the Company, the Company agrees,
for so long as an Investor directly or indirectly holds shares in the Company, (1) to
provide such Investor with the right to visit and inspect the offices and properties of
the Company and its subsidiaries and inspect and copy books and records, on
reasonable request and with access to regular periodic reports containing financial
information and other significant matters about the Company and its subsidiaries that
are publicly released for so long as the Company is required to publicly release such
information and (2) to make appropriate officers and/or directors of the Company
available as reasonably requested by such Investor for consultation with such
Investor with respect to significant matters and corporate actions relating to the
Company and its subsidiaries, including extraordinary dividends, significant mergers,
acquisitions or dispositions of assets, issuances of significant amounts of debt or
equity, material amendments to the governance of the Company, significant changes
in management personnel and compensation of employees, significant licenses or
concessions or significant litigation.”
