The Clause headings in this Agreement are for convenience only and shall not be
used to construe or interpret this Agreement.
The fact that a Party has drafted or participated in drafting this Agreement or any
provisions hereof shall not in any way affect the interpretation of this Agreement
to the detriment of such Party.
This Agreement represents the entire agreement between the parties with regard
to the subject matter hereof. No additional, previous or later, evidence, whether
written, oral or otherwise, shall be used to interpret the provisions hereof.
Seller's Knowledge or terms of similar meaning means the actual knowledge as
of the Signature Date of the following persons, in their capacity as members of
the Board of Directors or the management of the Company, respectively: []
If one or more of the provisions of this Agreement are held to be contrary to the
laws of Denmark or the laws of any other competent jurisdiction, the Parties
agree that the offending provision(s) shall be amended in such a way as may be
necessary in order that they should not be contrary to such laws and in a manner
which maintains the contents of such clauses as closely as possible to the
contents thereof originally intended by the Parties.
