SEPARATION STEERING GROUP<br />

BESTEMMELSEN<br />
For the purpose of ensuring a smooth separation and transition process, the Parties have<br />
established a Separation Steering Group with representative of both Parties. The Parties’<br />
representatives in the Separation Steering Group shall hold the power to make decisions on<br />
behalf of such Party in any matter coming within the competence of the Separation Steering<br />
Group. Decisions of the Separation Steering Group shall require the affirmative vote of at least<br />
one member representing each of the Seller and the Buyer. The chairman of the Separation<br />
Steering Group shall ensure that correct and complete minutes of the proceedings of the<br />
Group are prepared and circulated to all the members. In particular, any changes agreed to<br />
the Separation Documents shall be carefully recorded.
