Insolvenzrecht mit Kniff<br />

Bis zu 35.000 Unternehmenspleiten erwartet die Creditreform<br />
Wirtschaftsforschung laut ihrer aktuellen Insolvenz-Studie<br />
in diesem Jahr in Deutschland. Das wären fast 20 Prozent<br />
mehr als 2008. Damit nicht alles noch schlimmer kommt,<br />
beschloss die Bundesregierung im Rahmen des Finanzmarktstabilisierungsgesetzes<br />
(FMStG) unter anderem eine<br />
Änderung des Insolvenzrechts. Die Änderung gilt bereits seit<br />
dem 18. Oktober 2008 und soll Finanzinstitute sowie andere<br />
Unternehmen vor einer Insolvenz bewahren. Doch es regen<br />
sich kritische Stimmen …<br />
Der Kniff zur Vermeidung von Insolvenzen ist einfach. Er<br />
besteht in der Neudefinition des Begriffs „Überschuldung“ in<br />
§ 19 Abs. 2 InsO. Eine Überschuldung liegt nunmehr vor,<br />
„wenn das Vermögen des Schuldners die bestehenden Verbindlichkeiten<br />
nicht mehr deckt, es sei denn, die Fortführung<br />
des Unternehmens ist nach den Umständen überwiegend<br />
wahrscheinlich.“<br />
Keine Insolvenz bei positiver Prognose<br />
Das bedeutet im Klartext, Unternehmen brauchen trotz einer<br />
vorübergehenden bilanziellen Unterdeckung keinen Insolvenzantrag<br />
mehr zu stellen, wenn sie voraussichtlich mittelfristig<br />
ihre Zahlung leisten können.<br />
Nach bisherigem Recht waren die Geschäftsführer gezwungen,<br />
innerhalb von drei Wochen nach Eintritt der rechnerischen<br />
Überschuldung Insolvenz zu beantragen. Das galt<br />
selbst dann, wenn für das Unternehmen an sich eine positive<br />
Fortführungsprognose bestand, da sich ein Turnaround in<br />
bereits wenigen Monaten abzeichnete. „Solche Unternehmen<br />
sollen künftig nicht mehr verpflichtet sein, sofort einen<br />
Insolvenzantrag zu stellen“, betont Bundesjustizministerin<br />
Brigitte Zypries. Von der Neuregelung profitierten nicht nur<br />
Finanzmarktunternehmen, sondern alle Unternehmen, ist<br />
Zypries überzeugt. „Damit helfen wir auch einem mittelständischen<br />
Handwerksbetrieb in der Rechtsform einer GmbH,<br />
der vielleicht im Moment formal überschuldet ist, aber den<br />
Zuschlag für einen Großauftrag bekommen hat.“<br />

Nicht verwunderlich also, dass Kritiker<br />
beim heutigen Überschuldungsbegriff<br />
erneut den Missbrauch fürchten, weil die<br />
alles entscheidende positive Forderungsprognose<br />
auch den Erhalt nicht erhaltungswürdiger<br />
Unternehmen möglich<br />
mache.<br />
Regelung mit Verfallsdatum<br />
Ganz wohl war auch dem Gesetzgeber bei Verabschiedung<br />
des neuen Insolvenzrechts offenkundig nicht. Er befristete<br />
die Neudefinition des Überschuldungsbegriffs vorsorglich bis<br />
zum 31. Dezember 2010. Nach Ablauf dieses Verfallsdatums<br />
gilt wieder altes Recht. Zur Begründung heißt es dazu in<br />
einer Stellungnahme des Rechtsausschusses (BT-Dr<br />
16/10651, S. 10): „Die derzeitige besondere Situation auf den<br />
Finanzmärkten rechtfertigt nur eine vorübergehende Rückkehr<br />
zu dem alten und im Allgemeinen unerwünschten<br />
Rechtszustand.“<br />
Bleibt die Frage, welchen Erfolg die Überbrückungsmaßnahme<br />
tatsächlich entfalten wird. Schließlich wird die Kreditabteilung<br />
einem Unternehmen mit positiver Fortführungsprognose<br />
kaum einen Kredit einräumen, wenn sie davon ausgehen<br />
muss, dass das Unternehmen allein durch die baldige<br />
Wiedereinführung des alten Überschuldungsbegriffs wo -<br />
mög lich als überschuldet gilt.<br />
Immerhin lässt die Reform des insolvenzrechtlichen Überschuldungsbegriffs<br />
die strafrechtlichen und zivilrechtlichen<br />
Haftungsrisiken einer Insolvenzverschleppung unberührt,<br />
sollte sich später herausstellen, dass mangels einer positiven<br />
Fortbestehensprognose bereits weit früher eine Pflicht zur<br />
Stellung des Insolvenzantrags bestanden hätte.<br />

Zurück in die Zukunft<br />
Wirklich neu ist der derzeitige gültige Überschuldungsbegriff<br />
nicht. Er bedeutet vielmehr einen Schritt zurück in die<br />
Zukunft: Bereits zu Zeiten der Konkursordnung (KO) fand die<br />
aktuelle Definition in der Rechtsprechung des Bundesgerichtshofs<br />
(BGH) ihren Niederschlag - als sogenannter „modifizierter<br />
zweistufiger Überschuldungsbegriff“.<br />
Mit Inkrafttreten der Insolvenzordnung (InsO) im Januar 1999<br />
war der „modifizierte zweistufige Überschuldungsbegriff“<br />
aber nicht ins Gesetz übernommen worden – zum Schutz der<br />
Gläubiger. Denn bei positiver Prognose konnte der Schuldner<br />
auch ohne Schulden deckendes Kapital ungehindert weiterwirtschaften.<br />

Dissertation: § 302 Nr. 1 InsO nimmt deliktische Forderungen von der<br />
Restschuldbefreiung aus; nach einer Gesetzesänderung 2001 gilt das aber nur<br />
noch, wenn der Gläubiger sie im Insolvenzverfahren in bestimmter Form angemeldet<br />
hatte. Daneben regelt die InsO nur fragmentarisch, wie die wirtschaftliche<br />
Reichweite der künftigen Restschuldbefreiung bereits im Insolvenzverfahren<br />
festgelegt werden soll. Letztlich muss die Frage des besonderen Schuldgrundes in<br />
das insolvenzrechtliche Verfahren zur Prüfung und Feststellung von Forderungen<br />
integriert werden, wodurch sich ein komplexes System rechtlicher Befugnisse,<br />
Pflichten und Lasten von Schuldnern, Gläubigern und Insolvenzverwaltern<br />
ergibt. Die Arbeit geht diesen verfahrensrechtlichen Problemen nach und zeigt<br />
die Handlungsoptionen auf, die sich den Beteiligten im Insolvenzverfahren er -<br />
öffnen. Untersucht wird aber auch, welche Ansprüche trotz erteilter Restschuldbefreiung<br />
