Terms of Delivery
• This catalogue replaces all former catalogues
and makes them invalid.
• The minimum order value is EUR 25,00 net.
1. General Conditions
The following conditions apply to any order. Other conditions
shall only be accepted if they were confirmed by us in writing
before. For the content of the order our written order
confirmation is binding. Orders that are placed by telephone
are accepted at buyer’s risk only.
When special tools are shipped in large quantities the ordered
quantity may be increased or decreased by an appropriate
number of pieces (about 10 per cent).
2. Prices
Our prices are quoted ex works Plüderhausen, packing
excluded. The minimum order value is EUR 25,00 net.
The calculation of prices is based on the prices valid on the
day of shipment. If the based cost factors change, we reserve
the right to correct the confirmed prices.
3. Delivery Time
Agreed delivery periods start from the delivery of order
confirmation by the supplier. If any problems with the order
arise after this time, new delivery periods and due times are
valid from the time when they have been corrected.
Circumstances which we are not responsible for, such as force
majeure, natural disaster, unavailability of electricity or other
required materials, bad parts – in the supplier’s or the subsupplier’s
works – shall lead to longer delivery times.
The same might occur when the order is changed by the
customer at a later date. Partial shipments are allowed.
4.Risk
The risk is passed on to the buyer as soon as the ordered
parts leave the supplier’s works, i.e. even if delivery freight
prepaid has been agreed upon. If the shipment is delayed
through the buyer’s fault, the risk is passed on to the latter
on the day when the goods are ready for dispatch.
The supplier shall insure the goods against transport damages
at the buyer’s request and expense.
5. Payment Conditions
Prices are quoted and charged in EURO. Payment has to be
effected without any deduction and without any fees
for the supplier, namely within 10 days with 2 % discount
or 30 days net from date of invoice.
7. Complaints, Guarantee
For justified complaints which are due to faulty design or
defective construction the seller takes over warranty according
to the following regulations:
Complaints can only be accepted if they are submitted in
writing within 10 days from receipt of the goods. Faults that
appear only after dispatch of the goods have to be reported
in writing immediately. For faults that appear only after dispatch
– and which have to be proved by the buyer – warranty can
only be taken over if the defects are asserted within six
months from delivery. The seller does not take over any liability
for faults that are asserted after that period. For all guarantee
claims the faulty parts may have to be returned at the seller’s
request. The seller does not take over any responsibility for
damages which are due to wear. Warranty is in any case taken
over in a way that the faulty parts shall be either repaired or
– based on our decision – be replaced free of charge.
Claims to redhibition, reduction in price or claims for damages
– irrespective of cause – are excluded.
Any liability for consequential damages is excluded.
As long as the buyer has not met his liabilities to pay we are
not obliged to remedy any faults. Furthermore we shall not
be made liable for unauthorized rework or other changes
which are done by the buyer or by a third party.
8. Return Shipments
For return shipments which the buyer is responsible for
(e.g. incorrect order) we charge a share of 10 per cent of the
goods’ value for administrative expenses, however at least
EUR 20,00.
9. Place of Delivery and Competent Court
Place of delivery and payment shall be Plüderhausen.
The competent court for any dispute arising out of the
contract shall be Stuttgart.
The supplier may also file a suit at the buyer’s place of court.

6. Retention of Title
Title and ownership of the delivered goods remain in sellers
until all payments of the business relationship have been
effected. The goods may only be resold by the seller in
proper business performance. If the goods are resold, the
buyer cedes all price claims to the supplier, i.e. up to the total
amount resulting from all shipments made by the supplier.
The assertion of the retention of title shall not be accepted
as a withdrawal from the contract.
