THE OFFER OF SERVICES PROVISION
1. GENERAL PROVISIONS
1.1. This document is a formal offer (the Offer) of Ltd. «ICS-Soft» (hereinafter - the Contractor) in the
provision of services by the Contractor on the sites: icsgrapery.com, icsgraperyanalytics.com.
1.2. If the legal or individual person accepts the Offer, he becomes the Customer (the Offer acceptance is
tantamount to the contract conclusion on the terms set forth in the Offer).
2. SUBJECT OF THE CONTRACT
2.1. The subject of the Contract is to provide the Customer the website visitors review by the Contractor
(«GRAPERY» Web-analytics system) (hereinafter the Service), in accordance to the selected service plan,
and the Customer shall pay for these services.
3. TERMS OF PAYMENT
3.1. Cost of services provided by the Contractor to the Customer under the Contract shall be defined in
accordance with the service plan chosen by the Customer.
3.2. Provision of services provided to the Customer is based on the 100% (hundred percent) prepayment
method.
3.3. Payment for the Service is made in rubles or in foreign currency. Exchange rates are specified in the
inner sections of the «GRAPERY» system website.
3.4. In case the Customer pays for the Service, but does not use it, spendings are non-refundable. These
payments can be credited if the customer will use other «GRAPERY» services.
3.5. Prices set by the Contractor, could be changed unilaterally with a warning a month before. The new
prices become actual after posting on the website.
4. DURATION AND MODIFICATION OF OFFER
4.1. The Offer becomes effective upon the posting on the website and shall remain valid until the Contractor
revokes the Offer.
4.2. The Contractor has the right to amend the terms of the Offer or to revoke the Offer at any
time. If it happens, then the changes become actual from the date of the posting the modified text of the
Offer on the website.
5. TERM AND MODIFICATION OF THE CONTRACT
5.1. The Offer acceptance by the Customer creates the Contract on the terms of the Offer.
5.2. The Contract shall become effective upon the acceptance of the Offer by the Customer (paying
according to the service plan, registering their sites in the «GRAPERY» system), and shall be effective until
the Contractor provides a full spectrum of services according to the selected service plan.
5.3. The «GRAPERY» system starts tracking website visitors since the installation of Web-agents on the
website is done.
5.4. The Customer agrees and acknowledges that the Offer's changes entails the applying of these
changes in the Contract, and these changes become actual since they are applied in the Offer.
5.5. The Contract can be terminated by either side via a written notice to the other
side.
6. RESPONSIBILITY
6.1. Due to the fact that the «GRAPERY» system monitors the actions of visitors of the websites, the
Contractor recommends the Customer to post a warning message on the website via the code:
6.2. Contractor does not guarantee that the installation of Web-agents on the website does not violate the
law of the Customer's stay place. Customer installs Web-agents and uses the «GRAPERY» system at his
own risk and is solely responsible for his actions and any implied and expected consequences, that can
occure after using the Services under the Contract.
6.3. Any information provided by the Customer and stored on the system servers is not disclosed to third

parties, except if is required by the law.
6.4. While using the services of «GRAPERY» system, the Customer must comply the copyrights, patents
and other rights provided by the Contractor's information and documentation, and is responsible for the
violation of these rights.
6.5. The law, that governs the contract between the parties, is the Russian Federation Law.
6.6. All disputes relating to this Contract the parties settle through negotiations.
6.7. If it is not impossible to reach agreement through negotiations, the dispute shall be examined in the
court of competent jurisdiction in the location of the Contractor.
