If a company which, pursuant to a resolution <strong>of</strong> this <strong>General</strong> <strong>Meeting</strong> <strong>of</strong><br />
<strong>Shareholders</strong>, will take over a company to be established pursuant to this resolution<br />
changes its registrar, such registrar shall simultaneously be <strong>the</strong> registrar <strong>of</strong> <strong>the</strong><br />
established company concerned.<br />
If a company to be spun <strong>of</strong>f pursuant to this resolution is to be taken over by<br />
ano<strong>the</strong>r company, yet this takeover proves impossible due to <strong>the</strong> conditions<br />
envisioned by this resolution, this spun-<strong>of</strong>f company shall be deemed to have been<br />
established in accordance with article 19 <strong>of</strong> <strong>the</strong> Federal Law "On Joint-Stock<br />
Companies" and <strong>the</strong> registrar <strong>of</strong> such company shall be ZAO STATUS Registration<br />
Company located at: 109544, Moscow, ul. Dobrovolcheskaya, d. 1/64.<br />
3.65. The Articles <strong>of</strong> Association <strong>of</strong> JSC Gosudarstvennii Holding (Appendix 1)<br />
shall be approved.<br />
3.66. The Articles <strong>of</strong> Association <strong>of</strong> JSC Gosudarstvennii Holding GidroOGK<br />
(Appendix 2) shall be approved.<br />
3.67. The Articles <strong>of</strong> Association <strong>of</strong> JSC Minoritarnii Holding FGC UES<br />
(Appendix 3) shall be approved.<br />
3.68. The Articles <strong>of</strong> Association <strong>of</strong> JSC Minoritarnii Holding GidroOGK<br />
(Appendix 4) shall be approved.<br />
3.69. The Articles <strong>of</strong> Association <strong>of</strong> JSC OGK-1 Holding (Appendix 5) shall be<br />
approved.<br />
3.70. The Articles <strong>of</strong> Association <strong>of</strong> JSC OGK-2 Holding (Appendix 6) shall be<br />
approved.<br />
3.71. The Articles <strong>of</strong> Association <strong>of</strong> JSC OGK-3 Holding (Appendix 7) shall be<br />
approved.<br />
3.72. The Articles <strong>of</strong> Association <strong>of</strong> JSC OGK-4 Holding (Appendix 8) shall be<br />
approved.<br />

approved.<br />
3.74. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-1 Holding (Appendix 10) shall be<br />
approved.<br />
3.75. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-2 Holding (Appendix 11) shall be<br />
approved.<br />
3.76. The Articles <strong>of</strong> Association <strong>of</strong> JSC Mosenergo Holding (Appendix 12) shall<br />
be approved.<br />
3.77. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-4 Holding (Appendix 13) shall be<br />
approved.<br />
3.78. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-6 Holding (Appendix 14) shall be<br />
approved.<br />
