3.80. The Articles <strong>of</strong> Association <strong>of</strong> JSC UGK TGK-8 Holding (Appendix 16) shall<br />
be approved.<br />
3.81. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-9 Holding (Appendix 17) shall be<br />
approved.<br />
3.82. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-10 Holding (Appendix 18) shall be<br />
approved.<br />
3.83. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-11 Holding (Appendix 19) shall be<br />
approved.<br />
3.84. The Articles <strong>of</strong> Association <strong>of</strong> JSC Kuzbassenergo Holding (Appendix 20)<br />
shall be approved.<br />
3.85. The Articles <strong>of</strong> Association <strong>of</strong> JSC Enisei TGK Holding (Appendix 21) shall<br />
be approved.<br />
3.86. The Articles <strong>of</strong> Association <strong>of</strong> JSC TGK-14 Holding (Appendix 22) shall be<br />
approved.<br />
3.87. The Articles <strong>of</strong> Association <strong>of</strong> JSC Inter RAO UES Holding (Appendix 23)<br />
shall be approved.<br />
3.88. The Articles <strong>of</strong> Association <strong>of</strong> JSC Holding MRSK (Appendix 24) shall be<br />
approved.<br />
3.89. The Articles <strong>of</strong> Association <strong>of</strong> JSC RAO Energy System <strong>of</strong> East (Appendix<br />
25) shall be approved.<br />
3.90. The Articles <strong>of</strong> Association <strong>of</strong> JSC Centerenergyholding (Appendix 26) shall<br />
be approved.<br />
3.91. The Articles <strong>of</strong> Association <strong>of</strong> JSC Sibenergyholding (Appendix 27) shall be<br />
approved.<br />
3.92. The Articles <strong>of</strong> Association <strong>of</strong> JSC Intergeneration (Appendix 28) shall be<br />
approved.<br />
3.93. A company to be established shall not be subject to takeover as provided for<br />
by <strong>the</strong> takeover agreement and such company shall be deemed to have been<br />
established in accordance with article 19 <strong>of</strong> <strong>the</strong> Federal Law "On Joint-Stock<br />
Companies".<br />
3.94. As <strong>of</strong> <strong>the</strong> adoption <strong>of</strong> this resolution until <strong>the</strong> completion <strong>of</strong> reorganization <strong>of</strong><br />
RAO UES <strong>of</strong> Russia, RAO UES <strong>of</strong> Russia shall not be entitled to dispose <strong>of</strong>,<br />
pledge and execute any o<strong>the</strong>r transactions which lead or may lead to <strong>the</strong> disposal<br />
or encumbrance <strong>of</strong> <strong>the</strong> shares in OAO FGC UES, OAO HydroOGK, OAO OGK-<br />
1, OAO OGK-2, OAO OGK-3, OAO OGK-4, OAO OGK-6, OAO TGK-1,<br />
OAO TGK-2, OAO Mosenergo, OAO TGK-4, OAO TGK-6, OAO Volzhskaya<br />
TGK, OAO YUGK TGK-8, OAO TGK-9, OAO TGK-10, OAO TGK-11, OAO<br />
Kuzbassenergo, OAO Yeniseiskaya TGK (TGK-13), OAO TGK-14 in an<br />
amount exceeding <strong>the</strong> total number <strong>of</strong> shares in each above-mentioned company,<br />
which in accordance with <strong>the</strong> separation balance sheet <strong>of</strong> RAO UES <strong>of</strong> Russia<br />
approved by this resolution are allocated to JSC Gosudarstvennii Holding and<br />
JSC Gosudarstvennii Holding GidroOGK.<br />
3.95. The identification <strong>of</strong> <strong>the</strong> legal entities named in this resolution, including in<br />
case <strong>of</strong> change in <strong>the</strong>ir name and/or location, shall be carried out using <strong>the</strong><br />
