General information
Ship-to-Stock Contract
ZKW procures from the supplier an electronic ballast with the ZKW Component No.
XXX. The supplier maintains a certified quality management system according to ISO
9001:2000 and satisfies the requirements of ISO/TS 16949:2002.
Random samples are taken and a 100% function test is carried out for monitoring
serial production at the supplier. Characteristics and type of the tests are specified in
the production steering plan for the product, which is released through ZKW. If a
faulty unit, which means deviations from the production steering plan is discovered in
a random sample test then the production batch is to be checked 100% with regard
to its characteristics before delivery.
At ZKW interim and end tests are carried out to accompany the process. Owing to
the pre-requisites which exist in this respect for supplying fault-free products, the
partners (ZKW and the supplier) hereby agree upon the following points for all deliv-
eries:
1. Quality planning
During quality planning the methods have to be taken into account to magnitude and
extend, which are described in the VDA-manual 4 “safety device of quality before
start of production”, as it was applied in course of product development. As well the
methods stated in the VDA-manual 2 “safety device of quality of deliveries” are con-
sidered.
2. Incoming goods check
Owing to the quality control existing at the supplier the incoming goods check at ZKW
is limited to clearly recognisable external transport and packaging damages and the
observance of quantity and identity. The identity check is carried out based on the
delivery documents.

Faults will be reported to the supplier immediately after they are determined; the
regulation of waive of objection of delayed complaint is deemed as agreed. No fur-
ther responsibilities for inspection exist according to §§ 377 and 378 HGB. – This
shall have no effect on the warranty claims regulated in the other agreements be-
tween ZKW and the supplier.
3. Documentation
The quality management system and the associated quality control measures of the
supplier are to be recorded in regulations (management manual, procedure instruc-
tions, QM plan / control plan, test instructions, etc.). The test results are to be re-
corded or documented and are to be stored or archived according to the require-
ments of QS9000. Upon request by ZKW the data shall be submitted for inspection.
4. Audits
The supplier is to be informed by ZKW in the event of current quality problems. ZKW
shall reserve for itself and its customers the right to assure itself on site of the execu-
tion and the effectiveness of the stipulated agreements within the framework of an
audit.
5. Information
ZKW is to be informed immediately in the event that deviations in quality are pre-
sumed by the supplier on goods which have already been delivered (faulty test
means, faulty purchased parts,…..).
After complaints / changes to products the first improved (i.O.) delivery or the first
delivery of changed products are to be marked on the packaging (e.g. 100% sorting,
change). The marking must be conspicuous and very legible (format A5, lettering fills
the field) whereby the colour red is not to be used for the writing especially as a
background colour.
6. Quality metric
Quality metrics are the documents upon which the order / the delivery call is based–
specifications, drawings, and test regulations.

7. Emergency plan
In the event that the ZKW production processes are impaired to such an extent
through quality defects of the delivered products that the satisfaction of the obligation
to deliver to the ZKW – customer is put at risk or should hidden defects lead to short-
falls in the field, the supplier undertakes after the first request by ZKW to set a re-
sponsible person immediately to solve the problem as soon as possible. The target to
immediately have the problem solved by the person stated is agreed.
This employee receives the funds and the competency to make decisions (capability
and authority) for carrying out the necessary measures for all business units con-
cerned at the supplier.
8. Term of the contract
This shall come into force when signed by both partners. It shall also end when the
Life Time Contract entered into separately for the stated product expires.
Current complaints or faults reported within the period of validity shall have suspen-
sory effect regarding the termination of the contract until they are settled.
9. Further agreements
All other agreements existing between the partners such as Life-Time-Contract, Out-
line Supply Agreement, quality and warranty conditions, terms and conditions of pur-
chase etc. shall not be affected by this Ship-to-Stock Contract.
