General information<br />

<strong>Ship</strong>-<strong>to</strong>-S<strong>to</strong>ck <strong>Contract</strong><br />

ZKW procures from the supplier an electronic ballast with the ZKW Component No.<br />

XXX. The supplier maintains a certified quality management system according <strong>to</strong> ISO<br />

9001:2000 and satisfies the requirements of ISO/TS 16949:2002.<br />

Random samples are taken and a 100% function test is carried out for moni<strong>to</strong>ring<br />

serial production at the supplier. Characteristics and type of the tests are specified in<br />

the production steering plan for the product, which is released through ZKW. If a<br />

faulty unit, which means deviations from the production steering plan is discovered in<br />

a random sample test then the production batch is <strong>to</strong> be checked 100% with regard<br />

<strong>to</strong> its characteristics before delivery.<br />

At ZKW interim and end tests are carried out <strong>to</strong> accompany the process. Owing <strong>to</strong><br />

the pre-requisites which exist in this respect for supplying fault-free products, the<br />

partners (ZKW and the supplier) hereby agree upon the following points for all deliv-<br />

eries:<br />

1. Quality planning<br />

During quality planning the methods have <strong>to</strong> be taken in<strong>to</strong> account <strong>to</strong> magnitude and<br />

extend, which are described in the VDA-manual 4 “safety device of quality before<br />

start of production”, as it was applied in course of product development. As well the<br />

methods stated in the VDA-manual 2 “safety device of quality of deliveries” are con-<br />

sidered.<br />

2. Incoming goods check<br />

Owing <strong>to</strong> the quality control existing at the supplier the incoming goods check at ZKW<br />

is limited <strong>to</strong> clearly recognisable external transport and packaging damages and the<br />

observance of quantity and identity. The identity check is carried out based on the<br />

delivery documents.<br />

Faults will be reported <strong>to</strong> the supplier immediately after they are determined; the<br />

regulation of waive of objection of delayed complaint is deemed as agreed. No fur-<br />

ther responsibilities for inspection exist according <strong>to</strong> §§ 377 and 378 HGB. – This<br />

shall have no effect on the warranty claims regulated in the other agreements be-<br />

tween ZKW and the supplier.<br />

3. Documentation<br />

The quality management system and the associated quality control measures of the<br />

supplier are <strong>to</strong> be recorded in regulations (management manual, procedure instruc-<br />

tions, QM plan / control plan, test instructions, etc.). The test results are <strong>to</strong> be re-<br />

corded or documented and are <strong>to</strong> be s<strong>to</strong>red or archived according <strong>to</strong> the require-<br />

ments of QS9000. Upon request by ZKW the data shall be submitted for inspection.<br />

4. Audits<br />

The supplier is <strong>to</strong> be informed by ZKW in the event of current quality problems. ZKW<br />

shall reserve for itself and its cus<strong>to</strong>mers the right <strong>to</strong> assure itself on site of the execu-<br />

tion and the effectiveness of the stipulated agreements within the framework of an<br />

audit.<br />

5. Information<br />

ZKW is <strong>to</strong> be informed immediately in the event that deviations in quality are pre-<br />

sumed by the supplier on goods which have already been delivered (faulty test<br />

means, faulty purchased parts,…..).<br />

After complaints / changes <strong>to</strong> products the first improved (i.O.) delivery or the first<br />

delivery of changed products are <strong>to</strong> be marked on the packaging (e.g. 100% sorting,<br />

change). The marking must be conspicuous and very legible (format A5, lettering fills<br />

the field) whereby the colour red is not <strong>to</strong> be used for the writing especially as a<br />

background colour.<br />

6. Quality metric<br />

Quality metrics are the documents upon which the order / the delivery call is based–<br />

specifications, drawings, and test regulations.<br />

7. Emergency plan<br />

In the event that the ZKW production processes are impaired <strong>to</strong> such an extent<br />

through quality defects of the delivered products that the satisfaction of the obligation<br />

<strong>to</strong> deliver <strong>to</strong> the ZKW – cus<strong>to</strong>mer is put at risk or should hidden defects lead <strong>to</strong> short-<br />

falls in the field, the supplier undertakes after the first request by ZKW <strong>to</strong> set a re-<br />

sponsible person immediately <strong>to</strong> solve the problem as soon as possible. The target <strong>to</strong><br />

immediately have the problem solved by the person stated is agreed.<br />

This employee receives the funds and the competency <strong>to</strong> make decisions (capability<br />

and authority) for carrying out the necessary measures for all business units con-<br />

cerned at the supplier.<br />

8. Term of the contract<br />

This shall come in<strong>to</strong> force when signed by both partners. It shall also end when the<br />

Life Time <strong>Contract</strong> entered in<strong>to</strong> separately for the stated product expires.<br />

Current complaints or faults reported within the period of validity shall have suspen-<br />

sory effect regarding the termination of the contract until they are settled.<br />

9. Further agreements<br />

All other agreements existing between the partners such as Life-Time-<strong>Contract</strong>, Out-<br />

line Supply Agreement, quality and warranty conditions, terms and conditions of pur-<br />

chase etc. shall not be affected by this <strong>Ship</strong>-<strong>to</strong>-S<strong>to</strong>ck <strong>Contract</strong>.<br />
