ARTICLE IV<br />
<strong>The</strong> management of the <strong>Association</strong> shall be by a<br />
President, Vice President, Secretary, Treasurer, and a<br />
Board of Directors (not to exceed twenty-four (24).<br />
ARTICLE V<br />
<strong>The</strong> ELECTION OF THE MANAGEMENT shall be<br />
as follows:<br />
(a) <strong>The</strong> Officers of the <strong>Association</strong> shall be elected by<br />
the members at the Annual Meeting, and shall hold<br />
office for two years or until their successors are elected<br />
and qualified.<br />
(b) <strong>The</strong> Board of Directors shall be elected by the<br />
members at the Annual Meeting of the <strong>Association</strong>,<br />
and shall hold office for a period of three (3) years as<br />
hereinafter provided. At each Annual Meeting onethird<br />
(113) of the members of the Board of Directors<br />
will be elected for three (3) years.<br />
(c) Vacancies on the Board occurring through causes<br />
other than expiration of the terms of office will be<br />
filled by election at the succeeding Annual Meeting of<br />
the <strong>Association</strong>.<br />
(d) <strong>The</strong> Secretary and/or Treasurer shall be empowered<br />
to employ any personnel necessary to carryon the<br />
work of the <strong>Association</strong>, subject to approval by the<br />
Board of Directors.<br />
(e) All Past Presidents shall automatically become<br />
Honorary Members of the Board of Directors but without<br />
the right to vote. <strong>The</strong>ir primary function will be in<br />
an advisory capacity to the Board.<br />
ARTICLE VI<br />
DUTIES OF THE OFFICERS shall be the duties<br />
normally pertaining to their respective offices.<br />
ARTICLE VII<br />
MEETINGS OF THE ASSOCIATION shall be held<br />
annually at such times and places as the Board of<br />
Directors may select. At least thirty (30) days before<br />
the date of any meeting, the Secretary shall notify<br />
each member of the meeting by letter or notice in the<br />
official Bulletin.<br />
ARTICLE VIII<br />
Quorum of the <strong>Association</strong> at any meeting shall be<br />
forty-five (45) members. Eight (8) members of the<br />
Board of Directors shall constitute a quorum of the<br />
Board.<br />
ARTICLE IX<br />
EXPULSION. Any member may be expelled by the<br />
Board of Directors for causes stated in Article III,<br />
Section (d).<br />
ARTICLE X<br />
VOTING. <strong>The</strong> Board of Directors shall prescribe the<br />
method of voting, but the right of proxy shall not be<br />
denied, provided the material comprising the proxy is<br />
in the hands of the Secretary at least thirty (30) days<br />
before the Annual Meeting.<br />

ARTICLE XI<br />
DUES. <strong>The</strong> Board of Directors shall fix the dues,<br />
which shall be payable in advance. Life Members shall<br />
be exempted from dues.<br />
ARTICLE XII<br />
BRANCH SOCIETIES. One (1) or more branch societies<br />
may be formed in each State or Sector of a State<br />
or Sector consisting of a group of States on approval of<br />
the Board of Directors, provided that such Branch<br />
Society has at least ten (10) members. <strong>The</strong> name of<br />
such Branch shall have the following designation:<br />
