RESOLUTIONIBY-LAWS COMMITTEE<br />

term of one year terminating at the conclusion of the<br />
Annual General Membership Meeting of the <strong>69th</strong><br />
<strong>Infantry</strong> <strong>Division</strong> <strong>Association</strong>. <strong>The</strong> Chairman of the<br />
<strong>No</strong>minating Committee shall commence with the<br />
following units and shall follow in chronological order.<br />
If the designated Chairman of the <strong>No</strong>minating<br />
Committee is not in attendance, the Chairmanship<br />
shall pass to the next Unit in order until filled.<br />
1. 2<strong>69th</strong> Combat Engineers<br />
2. 661st Tank Destroyer Battalion<br />
3. 777th Tank Battalion<br />
4. 3<strong>69th</strong> Medical Battalion<br />
5. 461st AAA<br />
6. 271st <strong>Infantry</strong> Regiment<br />
7. 272nd <strong>Infantry</strong> Regiment<br />
8. 273rd <strong>Infantry</strong> Regiment<br />
9. <strong>Division</strong> Artillery - Consisting of: 724th F.A Battalion,<br />
879th F.A Battalion, 880th F.A Battalion,<br />
881st F.A Battalion, Headquarters and Headquarters<br />
Battery.<br />
10. Special Troops - Consisting of: <strong>Division</strong> Headquarters,<br />
Headquarters Company, <strong>69th</strong> <strong>Division</strong> Band,<br />
<strong>69th</strong> M.P.s, <strong>69th</strong> Recon, 5<strong>69th</strong> Signal Company,<br />
7<strong>69th</strong> Ordnance and <strong>69th</strong> Quartermaster Company<br />
Section 3. Reunion Committee.<br />
<strong>The</strong> Reunion Committee shall be appointed by the<br />
President and shall be residents of the city, or vicinity<br />
thereof in which the next Annual Reunion is to be<br />
held. Subject to the direction and approval of the<br />
Board of Directors, the committee shall be in charge of<br />
arrangements for the Annual Reunion.<br />
Section 4. Chairmen of Standing Committees.<br />
<strong>The</strong> Chairmen of the several Standing Committees<br />
shall be appointed by the President of the <strong>Association</strong><br />
from the membership of the respective committees.<br />
ARTICLE III<br />
MEMBERSHIP DUES<br />
Section 1. Dues.<br />
<strong>The</strong> amount of Membership Dues shall be set by a<br />
majority vote of the Board of Directors. <strong>The</strong> dues<br />
period shall be the interval between the close of the<br />
Annual Reunion and the end of the succeeding Annual<br />
Reunion, and shall be payable at any time preceding<br />
the Annual Reunion.<br />
ARTICLE IV<br />
ORDER OF BUSINESS<br />
<strong>The</strong> Order of Business shall be governed by Robert's<br />
Rules of Order, except as herein modified. <strong>The</strong> Order<br />
of Business and program for each Reunion shall be<br />
arranged by the President of the <strong>Association</strong>.<br />
ARTICLE V<br />
FISCAL YEAR<br />
<strong>The</strong> Fiscal Year shall commence on August 1, and<br />
terminate on July 31, of the following year.<br />

ARTICLE VI<br />
BRANCH SOCIETIES<br />
Any area desiring a Branch Society should be aware<br />
of these requirements.<br />
Section 1.<br />
Local Chapters of this <strong>Association</strong> may be formed by<br />
not fewer than ten (10) eligible members of the<br />
<strong>Association</strong> in any State or Sector thereof. <strong>No</strong>t more<br />
than one (1) local chapter shall be formed in anyone<br />
(1) community.<br />
Section 2.<br />
Petitions for organization of Branch Societies shall<br />
be addressed to the President of the <strong>Association</strong>, who<br />
shall submit same to the next meeting of the Board of<br />
Directors. <strong>The</strong> Board of Directors shall have final<br />
authority to approve any and all such petitions. Upon<br />
approval of a petition by the Board of Directors, the<br />
President shall issue a Charter for such Branch<br />
Societies.<br />
Section 3.<br />
<strong>The</strong> Constitution and By-Laws of each Branch<br />
Society shall contain nothing inconsistent with the<br />
Constitution and By-Laws of the <strong>Association</strong>. A copy of<br />
the By-Laws and Constitutions of each Local Chapter,<br />
with amendments thereto shall be filed with the<br />
Secretary of the <strong>Association</strong>. Each Branch Society<br />
shall file with the Secretary of the <strong>Association</strong> the<br />
names and addresses of all officers of such Branch<br />
Society.<br />
ARTICLE VII<br />
AMENDMENTS<br />
<strong>The</strong>se By-Laws may be amended by a majority vote<br />
of the Quorum of eligible members attending any<br />
Annual Reunion of the <strong>Association</strong>.<br />
1997 Recommended<br />
Amendments to the<br />
Constitution & By-Laws<br />
For a number of years, your officers have been<br />
aware that some of our older records have been missing<br />
and could not be reconstructed. One missing document<br />
is our Articles of <strong>Inc</strong>orporation. A year ago I was<br />
asked to get a copy of these Articles and I requested<br />
assistance from Sherman S. Lawrence who had<br />
<strong>Inc</strong>orporated this <strong>Association</strong>. Sherman obtained a<br />
copy of the Articles from the Secretary of State of the<br />
State of New York and sent it to me. Our Executive<br />
Officers now have copies, including the Secretary. In<br />
reviewing these Articles, we noticed something that<br />
caused us concern. <strong>The</strong> Articles of <strong>Inc</strong>orporation provide<br />
that the <strong>Association</strong> "Shall have not less than Ten<br />
(10) nor more than Twenty-Five (25) Directors."<br />
