AUTHORIZATION FOR APPROVAL OF STUDENT TRAVEL AND/OR EDUCATIONAL<br />

ORGANIZATION CONTRACT<br />

WHEREAS, the Board of Education believes that field trips and other travel opportunities<br />

for students are a valuable tool in supporting classroom instruction and promoting students'<br />

awareness of places and events.<br />

WHEREAS, Board Policy 6143 requires the Board of Education of the Oakland Unified<br />

School District to approve all trips involving out-of-state and out of country travel; and<br />

WHEREAS, pursuant to Board Policy 6143, Superintendent requests the Board of Education<br />

to approve the Request for student travel to _London, England and Edinburgh, Scotland_ for the<br />

period of August 14, 2010 through August 27, 2010 by Oakland Technical High School .<br />

WHEREAS, pursuant to Board Policy 6143, Superintendent requests the Board of Education<br />

EDUCATIONAL ORGANIZATION CONTRACT<br />

This Agreement is entered into between American High School Theatre Festival / WorldStrides<br />

(CONTRACTOR) and the Oakland Unified School District (OUSD). OUSD is authorized by Government Code Section 53060<br />

to contract for the furnishing of special services and advice in financial, economic, accounting, engineering, legal, and<br />

administrative matters with persons specially trained, experienced, and competent to perform such services. CONTRACTOR<br />

is specially trained, experienced, and competent to provide such services. The parties agree as follows:<br />

1. Services and Scope: CONTRACTOR shall provide services as described in Exhibit "A" Educational Organization Compliance<br />

Form, attached hereto and incorporated herein by this reference ("Services" or "Work").<br />

2. Terms: CONTRACTOR shall commence work on 8/14/10 . The work shall be completed no later than 8/27/10 .<br />

3. Compensation: OUSD agrees to pay CONTRACTOR for services satisfactorily rendered pursuant to this Agreement a total fee not to<br />

exceed $0 District funds. Fee is $5829/person from participants Dollars ($0.00 ). This sum shall<br />

be for full performance of this Agreement and includes all fees, costs, and expenses incurred by Contractor including, but not limited<br />

to, labor, materials, taxes, profit, overhead, travel, insurance, subcontractor costs, and other costs.<br />

If CONTRACTOR will be compensated hourly for services provided under this Contract, CONTRACTOR shall describe in Exhibit "A,"<br />

attached hereto, the specific scope of services to be delivered on an hourly basis to ()USD.<br />

OUSD shall not be liable to CONTRACTOR for any costs or expenses paid or incurred by CONTRACTOR in performing services for<br />

OUSD, except as follows: None<br />

Payment for work shall be made in line with<br />

schedule set forth in attached Addendum to Educational Organization Contract "AHSTF Terms and Conditions."<br />

The granting of any payment by OUSD, or the receipt thereof by CONTRACTOR, shall in no way lessen the liability of CONTRACTOR<br />

to correct unsatisfactory work, although the unsatisfactory character of that work may not have been apparent or detected at the time a<br />

payment was made. Work, which does not conform to the requirements of this Agreement, may be rejected by District and in that case<br />

must be replaced by CONTRACTOR without delay.<br />

4. Submittal of Documents: CONTRACTOR shall not commence the Work under this Contract until CONTRACTOR has submitted and<br />

OUSD has approved the certificate(s) and affidavit(s), and the endorsement(s) of insurance required as indicated below:<br />

5. Equipment and Materials: CONTRACTOR shall provide all equipment, materials, and supplies necessary for the performance of the<br />

Agreement except: See Exhibit A<br />

6. CONTRACTOR Qualifications 1 Performance of Services.<br />

a. CONTRACTOR Qualifications. CONTRACTOR is specially trained, experienced, competent and fully licensed to provide the<br />

Services required by this Agreement in conformity with the laws and regulations of the State of California, the United States of<br />

America, and all local laws, ordinances and regulations, as they may apply.<br />

b. Standard of Care. CONTRACTOR represents that CONTRACTOR has the qualifications and ability to perform the Services in a<br />

professional manner, without the advice, control, or supervision of OUSD. CONTRACTOR's services will be performed, findings<br />

obtained, reports and recommendations prepared in accordance with generally and currently accepted principles and practices of<br />

its profession for services to California <strong>school</strong> districts.<br />

7. Noticesflnvoicing: All notices and invoices provided for under this Agreement shall be in writing and either personally delivered<br />

during normal business hours or sent by U.S. Mail (certified, return receipt requested) with postage prepaid to the other party at the<br />

Notice shall be effective when received if personally served or, if mailed, three days after mailing. Either party must give written notice<br />

of a change in address. CONTRACTOR shall submit invoices in a form that includes the name of the person providing the service, the<br />

service performed, the date service was rendered, and the hours spent on the work.<br />

8. Status of Contractor: This is not an employment contract. CONTRACTOR, in the performance of this Agreement, shall be and act<br />

as an independent contractor. CONTRACTOR understands and agrees that it and all of its employees shall not be considered<br />

officers, employees, agents, partner, or joint venture of OUSD, and are not entitled to benefits of any kind or nature normally provided<br />

employees of OUSD and/or to which OUSD's employees are normally entitled, including, but not limited to, State Unemployment<br />

Compensation or Worker's Compensation. CONTRACTOR shall assume full responsibility for payment of all federal, state, and local<br />

taxes or contributions, including unemployment insurance, social security and income taxes with respect to CONTRACTOR's<br />

employees. In the performance of the work herein contemplated, CONTRACTOR is an independent contractor or business entity, with<br />

the sole authority for controlling and directing the performance of the details of the work, OUSD being interested only in the results<br />

obtained.<br />

9. Insurance:<br />

Unless specifically waived by OUSD, the following insurance is required:<br />

I. If CONTRACTOR employs any person to perform work in connection with this Agreement, CONTRACTOR shall procure and<br />

maintain at all times during the performance of such work, Workers' Compensation Insurance in conformance with the laws of the<br />

State of California and Federal laws when applicable. Employers' Liability Insurance shall not be less than One Million Dollars<br />

($1,000,000) per accident or disease.<br />

ii. CONTRACTOR shall maintain general liability insurance, including automobile, contractual, products and completed operations,<br />

corporal punishment and sexual misconduct and harassment coverage with limits of One Million Dollars ($1,000,000) per<br />

occurrence for bodily injury and property damage. The coverage shall be primary as to OUSD and shall name ()USD, its officers,<br />

employees, volunteers and agents as additional insured. Evidence of insurance is attached. Inclusion of OUSD as an additional<br />

insured shall not affect OUSD's rights to any claim, demand, suit or judgment made, brought or recovered against<br />

CONTRACTOR. The policy shall protect CONTRACTOR and OUSD in the same manner as though each were separately issued.<br />

Nothing in said policy shall operate to increase the Insurer's liability as set forth in the policy beyond the amount or amounts<br />

shown or to which the Insurer would have been liable if only one interest were named as an insured.<br />

iii. If CONTRACTOR is offering ()USD professional advice under this Contract, CONTRACTOR shall maintain errors and omissions<br />

insurance or professional liability insurance with coverage limits of One Million Dollars ($1,000,000) per claim.<br />

10. Child Abuse Reporting: Comply with the Child Abuse and Neglect Reporting Act (CANRA) guidelines as Mandated Reporters to<br />

report suspicions of possible child abuse to the appropriate reporting agency as stated in California Penal Code § 11164 — 11174.<br />

11. Licenses and Permits: CONTRACTOR shall obtain and keep in force all licenses, permits, and certificates necessary for the<br />

performance of this Agreement.<br />

12. Assignment: The obligations of CONTRACTOR under this Agreement shall not be assigned by CONTRACTOR without the express<br />

prior written consent of OUSD which shall not be unreasonably withheld. Due to the nature of AHSTF, OUSD is aware and accepts<br />

that World<strong>strides</strong> and AHSTF do not own touring companies such as buses, accommodations restaurants and others and that these<br />

services/components will be contracted out to other organizations. .AHSTF will provide OUSD with written AHSTF minimum standards<br />

and screening procedures for vendor selection. (see Exhbit C attached and incorporated herein bv reference).<br />

13. Anti-Discrimination. It is the policy of OUSD that in connection with all work performed under Contracts there be no discrimination<br />

against any employee engaged in the work because of race, color, ancestry, national origin, religious creed, physical disability, medical<br />

condition, marital status, sexual orientation, gender, or age and therefore the CONTRACTOR agrees to comply with applicable Federal<br />

and California laws including, but not limited to, the Califomia Fair Employment and Housing Act beginning with Government Code<br />

Section 12900 and Labor Code Section 1735 and OUSD policy. In addition, the CONTRACTOR agrees to require like compliance by<br />

all its subcontractor(s).<br />

14. Drug-Free / Smoke Free Policy. No non-prescription drugs or alcohol are allowed at any time in any buildings and/or grounds on<br />

OUSD property or during field trips. Smoking is not permitted on OUSD property. No students, staff, visitors, CONTRACTORS, or<br />

subcontractors are to use non-prescription drugs on these sites or during field trips.<br />

15. Indemnification: CONTRACTOR agrees to hold harmless, indemnify, and defend OUSD and its officers, agents, and employees<br />

from any and all claims or losses accruing or resulting from injury, damage, or death of any person, firm, or corporation in connection<br />

with the performance of this Agreement. CONTRACTOR also agrees to hold harmless, indemnify, and defend OUSD and its elective<br />

board, officers, agents, and employees from any and all claims or losses Incurred by any supplier, contractor, or subcontractor<br />

furnishing work, services, or materials to CONTRACTOR in connection with the performance of this Agreement. This provision<br />

survives termination of this Agreement.<br />

16. Waiver: No delay or omission by either party in exercising any right under this Agreement shall operate as a waiver of that or any<br />

other right or prevent a similar subsequent act from constituting a violation of the Agreement.<br />

17. Termination: OUSD may at any time terminate this Agreement upon written notice to CONTRACTOR in line with the cancellation<br />

policy set forth in attached Addendum to Educational Organization Contract "AHSTF Terms and Conditions.". OUSD shall<br />

19. No Rights in Third Parties. This Agreement does not create any rights in, or inure to the benefit of, any third party except as<br />

expressly provided herein.<br />

21. Umitatlon of ()USD Liability. Other than as provided in this Agreement, OUSD's financial obligations under this Agreement shall be<br />

limited to the payment of the compensation provided in this Agreement and in the attached Addendum to Educational Organization<br />

Contract "AHSTF Terms and Conditions." Notwithstanding any other provision of this Agreement, in no event, shall OUSD be liable,<br />

regardless of whether any claim is based on contract or tort, for any special, consequential, indirect or incidental damages, including,<br />

but not limited to, lost profits or revenue, arising out of or in connection with this Agreement for the services performed in connection<br />

with this Agreement.<br />

22. Confidentiality. The CONTRACTOR and all CONTRACTOR's agents, personnel, employee(s), and/or subcontractor(s) shall<br />

maintain the confidentiality of all information received in the course of performing the Services. CONTRACTOR understands that<br />

student records are confidential and agrees to comply with all state and federal laws concerning the maintenance and disclosure of<br />

student records. This requirement to maintain confidentiality shall extend beyond the termination of this Agreement.<br />

23. Conflict of interest. CONTRACTOR shall abide by and be subject to all applicable OUSD policies, regulations, statutes or other laws<br />

regarding conflict of interest. CONTRACTOR shall not hire any officer or employee of OUSD to perform any service by this Agreement.<br />

oONTRACTOR affirms to the best of his/her/its knowledge, there exists no actual or potential conflict of interest between<br />

CONTRACTOR's family, business or financial interest and the services provided under this Agreement, and in the event of change in<br />

either private interest or services under -this Agreement, any question regarding possible conflict of interest which may arise as a result<br />

of such change will be brought to OUSD's attention in writing.<br />

Through its execution of this Agreement, CONTRACTOR acknowledges that it is familiar with the provisions of section 1090 et seq.<br />

and Section 87100 et seq. of the Government Code of the State of California, and certifies that it does not know of any facts which<br />

constitute a violation of said provisions, in the event CONTRACTOR receives any information subsequent to execution of this<br />

Agreement, which might constitute a violation of said provisions, CONTRACTOR agrees it shall notify ()USD of this information.<br />

24. Integration/Entire Agreement of Parties. This Agreement. along with the attached Addendum to Educational Organization Contract<br />

"AHSTF Terms and Conditions' and Exhibit C constitutes the entire agreement between the Parties and supersedes all prior<br />

discussions, negotiations, and agreements, whether oral or written. This Agreenient may be amended or modified only by a written<br />

instrument executed by both Parties. •<br />

25. Litigation: If any litigation is initiated to enforce or interpret this Agreement, the prevailing party shall be entitled to reasonable<br />

attorney's fees and costs. This Agreement shall be performed in Oakland, CA and is governed by the laws of the State of Califomia3:<br />

26. Approval: This Agreement is not effective and no payment shall be made to CONTRACTOR until it is approved. Approval requires<br />

signature by the State Administrator, the Board of Education, and/or the Superintendent as their designee. OUSD and AHSTF anreiRo<br />

work to make this approval process move forward as timely as possible and acknowledge that delays in approval may affect<br />

WorldStrides and AHSTF's ability to confirm tour components for particioants. Should delays make it so that tour components cannot<br />

be confirmed. OUSD agrees to abide by the terms and conditions as set forth in the attached Addendum to Educational Organization<br />

Contract `AHSTF Terms and Conditions."<br />

27. Signature Authority. Each party has the full power and authority to enter into and perform this Agreement, and the person signing<br />

this Agreement on behalf of each Party has been given the proper authority and empowered to enter into this Agreement.<br />

28. Counterparts. This Agreement and all amendments and supplements to it may be executed in counterparts, and all counterparts<br />

together shall be construed as one document.<br />

prohibitions of this article, it is a violation of this article for an educational travel organization to place or use<br />

any misleading or untruthful advertising or statements or make a substantial misrepresentation in conducting<br />

an educational travel program.<br />

2. PENALTIES: Business and Professions Code Section 17556.5: Except as otherwise provided, a person who<br />

3. Program Artangements. &apt as othenvise agreed in writing, participant shall not make any<br />

independent anangements for travel, hotel accommodation% touts, etc. Deviations from group travel must<br />

be requested in writing by Febtuary 19,2010,and will be subject to a $75 fee in addition to any fees hnposed<br />

by the airline. A release form rnust be completed & signed for any and all deviations from the group travel.<br />

Participant or Parent, as applicable, is responslie for Participant's petsonal expenses of all sorts. Where<br />

requested by AHSTF, room assionmerns shall be made by &rector. Participant shall not change rooms<br />

wtthout approval of Rimier. Each participant is expected to partidpate in ail scheduled activities.<br />

4.Health and Safety Measures. Participant or Parent, as applicable, certifies that Participant does not<br />

have any physkal or mental condition whkh could create a danger or hazard for participants. AHSTF shaN<br />

have the right, butnot the duty, totakewhatevetaction it deems necessary in regardto the health and safety<br />

of Parodpant. Partidpant Parent as applicable, authorize the adults on the trip, and others with whom<br />

Participant has coroact to obtain emergency treatment as deemed necessary by medical professionals.<br />

Participant or Patent, as applicable, giant PAU the debt to take whatever action it deems necessary in<br />

regard to Participant's health and safety Wading, without limitation, obtaining medical treatment on<br />

Participant's behalf and transporting Participant at Participant's or Parents, expense, as applicable, back<br />

home for medical reasons. Participant or Parent, as applicable, must submit to Director a complete and<br />

atcurate Medkal Release fotm to be supplied by AMU, and any medical or physical conditions that may<br />

interfere with participation on the trip or wkil others on thetrip must be stated therein.<br />

S. Milts and Regulations. AHSTF and/or Director will establish rules and tegulations for all participants.<br />

Failure to abide by these rules ot regulations may result in Participant being sent home at Participant's or<br />

Parent's expense, as applkable, with no refund. Protidpants am responsible for exertising sound judgment,<br />

caution and respect for people, plans and things while on the trip and must adhere to all Ivies and<br />

regulations. Constonption ot possession of alcoholic beverages or non-prescription drugs of any kind, as<br />

well as viobtion of certain otheovies, ornlitutegroundsfor immediate expuision.Partkipant must submit<br />

to Director a signed Behavior Contract fonn to be supplied by AHSTE All participants are responsible for<br />

their own actions at all &nes, and Directot and thaperones are responsible for the actions of allpartldpants<br />

in their group. Them will be periods of free time on the trip. AliSlf is not responsible for Participant or<br />

Participant's activities while on free time.<br />

6. Changes and Program Costs. The pmgrams offered by MISTI have been designed many months in<br />

advance of departure. AHSIF shall have the unqualified right to alter, amend, or canal soch programs and to<br />

make any adjustment to the program cost prior to departure in order to meet unanticipated contingencies,<br />

incitaing any changes in transportation or lodging costs, airline increases, government issued taxes and<br />

fees, fuel surcharges, program costs, international exchange rates, ot latk of participation in the program. It<br />

is understood that any requested additions or alterations to the pogrom by Director may increase the cast<br />

dile Preempt<br />

7. Insurance. Personal Medical Insurance is not included. Udder& illness, and accident-related dental<br />

insurance coveraget are provided for all participants. Limits per single occurrence are $7,5C0 for accident<br />

STS00 for illness and $750 for mddent-related dentaL Any charges lot covered by this insurance are the<br />

responsibility of Participant orParentat applicable. This knorance is only payable for reimbursement upon<br />

return borne. It cannot be used for payment of bills whik in the United ringdoin. Pre-existing conditions<br />

and air travel are not covered under this accident policy. WIT maintains a comprehensive lability<br />

Participating enterprises all maintain Insurance coverage. Travel insurance is available for purchase by<br />

participants.<br />

& Cancellation. All cancellations mist be in writing.Upon a cancellation, with no replacement participant<br />

AHSTF will retain program fees already paid as follows. For a cancellation made:<br />

a partidpant.<br />

• Between April 16, 2010 and May 28, 2010, MISTF will retain 50% of the total program fee for a<br />

participant,<br />

• Between May 29, 2010 and June 30, 2010, AHSTF will retain 75% of the total program fee for a<br />

participant.<br />

Should a Director cancel the group or a participant awl without having paid fees sufficient to meet the<br />

9. Late Registration Fee. Groups that have not completed their registration within 120 days or less<br />

from departute date will be subject ea a $'10.00 per person late registration fee. RegistrUion is considered<br />

rompleted when AHSTF receives the completed and signed 2010 AHSIT Registration Form.<br />

10.Payment Sdtodulo and Late Pus. AHSTF has set forth the bilowing payment schedule:<br />

The non-refundable $3000 deposk (doe May 29, 2009) remarns in the group's account, to beapp lied<br />

to the group's final balance at the time of the group's final payment (June 30,2010).<br />

• On July 10, 2009 $150 per partidpant deposit is due.<br />

• On September 10,2009 $500 per panidpant is due<br />

• On October 30, 2009 S750 perpartkipant is due<br />

• On January 15, 2010 $750 per participant is due<br />

• On March 12, 2010 another 51,000 per person instalment payment is due.<br />

• On May 5,2010 another $1,000 pet person installment payment is due and your balance due will be<br />

meet all applicable complianm requkernents Issued by theTransportafron Security Administration or related<br />

agencies. it is Partidpant's or Parent's, as applicable, sole responsibility to assure that this infonnation is<br />

fully up to date by May 5, 2010. If changes occur after that date. MISTF3 customer service department<br />

must be contacted and additional change tees may apply. Visit the-Transportation Security Ageocyal http://<br />

wwwasa.gov for more ktormation. For international travel, Participant or Parent, as applicable, Is solely<br />

14.Miscellaneous. As used hetein,*Partidpanr means the participant named on theitegistration form,<br />

'Parent* means the parent or guardian of the Participant and 'Director means the director of the group<br />

named in the Registration Form. Participant and Parent appoint the &rector as their agentforplannIng the<br />

trip and communicating with AHSTF. These Terns and Conditions may be amended by AWE torn time to<br />

time with notice to Participant or Parent, as applicable.

Personal Medical Irtsurance<br />

Each student and adult traveling overseas with AHSTF needs to verify with his or her own health insurance company that<br />

his or her coverage can be extended while they travel in the United Kingdom. If this is the case, no other action is necessary.<br />

If, however, a person's health insurance coverage does not extend to the United Kingdom, we strongly suggest that a<br />

short-term international insurance policy be purchased for the duration of their overseas stay.<br />

Accident illness, and accident-related dental insurance coverage is provided for all participants. Limits per single occurrence<br />

are $7,500 for accident, $1500 for illness, and,$750 for accident-related dental. Any charges not covered by this insurance<br />

are the responsibility of the participant. This insurance is only payable for reimbursement upon return from the<br />

trip. It cannot be used for payment of bills while in the United Kingdom. Pre-existing conditions and air travel are not<br />

covered under this accident policy. WorldStrides maintains a comprehensive liability policy. Participating enterprises all<br />

maintain insurance Coverage.<br />

United States Tour Operators Consumer Protection Plan<br />

By working with WorldStrides and AHSTF, you benefit from our extensive Consumer Protection Plan. WorldStrides is a<br />

member of the United States Tour Operators Association (USTOA) and the associated United States Tour Operators Consumer<br />

Protection Plan. Under this plan we maintain a $1,000,000 security pledge or a $1,000,000 bond to refund consumer<br />

deposits in the event of our bankruptcy or insolvency.<br />

Each active member of USTOA is required to post $1,000,000 in security. These monies are held solely to reimburse<br />

consumers for tour payments or deposits lost In the event of bankruptcy, insolvency, or cessation of operations involving<br />

active USTOA members. The security is also available to consumers in cases where an Active Member company fails to<br />

refund consumer monies within 120 days of cancellation of a tour package. If an operator leaves the USTOA program, the<br />

$1,000,000 security of that operator is kept in place for a specified amount of time.<br />

General & Professional Liability Insurance<br />

AHSTF's parent company, WorldStrides, holds the largest and most comprehensive insurance policy in the industry. Upon<br />

request, WorldStrides can provide a copy of its certificate of insurance.<br />

AHSTF does offer a student travel protection plan. Information on coverage, costs, and application provided upon request,
