NOTICE OF ANNUAL GENERAL MEETING
NOTICE IS HEREBY GIVEN that the 2012-2013 Annual General Meeting of The German Swiss
International School Association Limited (the "Association") will be held in the Old Gym of the German
Swiss International School, 11 Guildford Road, Hong Kong on Thursday, the 24 th January 2013 at 6:30
pm for the following purposes:
1. To consider and pass the minutes of the Annual General Meeting of the Association held on 30
November 2011;
2. To receive and consider the Chairman's Report on the activities of the Board (joint report for the
Association and The German Swiss International School Foundation Limited (the "Foundation"));
3. To receive and consider the Principal's Report;
4. To receive and approve the Treasurer's Report;
5. To receive the Auditor's Report and the Statement of Accounts for the year ended 31 July 2012;
6. To appoint KPMG as the Association's Auditor and to authorise the Directors to fix their
remuneration;
7. To elect members to the Board, as per Article 47.1 of the Association's Articles of Association
(please download the addendum and form of Nomination of member(s) of the Board of the
Association by Members from the link on the following page):
Pursuant to Article 59 of the Association's Articles of Association, at the Annual General Meeting,
one half of the Directors for the time being, or, if their number is not 2 or a multiple of 2, then the
number nearest one half, shall retire from office, but all such retiring Directors shall be eligible
for re-election. The following Directors will retire at the Annual General Meeting and have offered
themselves for re-election:

Mr KJ Festl
Mr M Gibson
Mrs G Albrecht
Mr M Zankel
Mrs B Gunn
Mr P Jean-Richard
8. Any other business.
