<strong>Property</strong> or which may be levied on the basis of ownership or operation of the<br />

<strong>Property</strong>.<br />

c) Upon request of Owner, Agent shall annually make a review of and submit a report on,<br />

all real estate, personal property and other taxes and all assessments affecting the <strong>Property</strong>.<br />

d) Upon request of Owner, Agent shall timely file all personal property tax returns after<br />

execution of such returns by Owner.<br />

x. Compliance with Legal Requirements<br />

a) Agent shall use reasonable means to become aware of, and shall take such actions as<br />

Agent deems prudent and necessary to comply with any laws, regulations orders,<br />

plans or requirements affecting the use or operation of the <strong>Property</strong> by any federal,<br />

state, county, or municipal agency or authority, including but not limited to<br />

compliance with and participation in administrative grievance procedures, provided<br />

that if the cost of compliance in any instance exceeds $5,000.00, Agent shall not<br />

expend funds <strong>for</strong> compliance without Owner's prior written consent.<br />

b) Owner shall provide Agent with all in<strong>for</strong>mation necessary <strong>for</strong> Agent to be fully<br />

in<strong>for</strong>med as to the nature and extent of all programs applicable to the <strong>Property</strong>,<br />

including, but not limited to, providing copies of regulatory agreements,<br />

management plan, tenant selection criteria, restrictive covenants or other instruments,<br />

whether or not recorded, against the <strong>Property</strong> which contain operating covenants or<br />

restrictions. -<br />

c) Agent shall promptly, within 24 hours, notify Owner in writing of all such orders,<br />

notices, plans or requirements requiring expenditure of non-budgeted amounts.<br />

Agent, however, shall not take any action as long as Owner is contesting, or has<br />

affirmed its intention to contest and promptly institutes proceedings contesting any law,<br />

order, plan or requirement.<br />

d) Agent shall prepare, execute, and, after obtaining the written approval of Owner, file<br />

any customary and standard reports and documents required by an applicable<br />

governmental authority.<br />

e) Agent covenants and agrees to obtain and maintain all licenses and permits<br />

necessary <strong>for</strong> the conduct of its business as Agent of the <strong>Property</strong>. Licenses and<br />

permits specific to the <strong>Property</strong> shall be expensed to the <strong>Property</strong>'s Operating<br />

Account.<br />

f) Agent’s expense <strong>for</strong> use of third party consultants or experts, including attorneys,<br />

<strong>Property</strong> <strong>Management</strong> Agreement 8<br />
