28. Termin<strong>at</strong>ion <strong>of</strong> Contract 28.1 Termin<strong>at</strong>ion for Default<br />

General Conditions <strong>of</strong> Contract (Goods)<br />

27.2 If the EQUIPMENTS are not <strong>of</strong> specific<strong>at</strong>ion or fail to<br />

perform specified duties or are otherwise not<br />

s<strong>at</strong>isfactory the PURCHASER/CONSULTANT shall be<br />

entitled to reject the EQUIPMENT/MATERIAL or part<br />

there<strong>of</strong> and ask free replacement <strong>with</strong>in reasonable<br />

time failing which obtain his requirements from<br />

elsewhere <strong>at</strong> SELLER’s cost and risk.<br />

27.3 Nothing in this clause shall be deemed to deprive the<br />

PURCHASER AND/OR AFFECT ANY rights under the<br />

Contract which it may otherwise have in respect <strong>of</strong> such<br />

defects or deficiencies or in any way relieve the<br />

SELLER <strong>of</strong> his oblig<strong>at</strong>ions under the Contract.<br />

27.4 EQUIPMENT rejected by the PURCHASER/<br />

CONSULTANT shall be removed by the Seller <strong>at</strong> his<br />

cost <strong>with</strong>in 14 days <strong>of</strong> notice after repaying the amounts<br />

received against the SUPPLY. The PURCHASER shall<br />

in no way be responsible for any deterior<strong>at</strong>ion or<br />

damage to the EQUIPMENT under any circumstances<br />

wh<strong>at</strong>soever.<br />

27.5 In case <strong>of</strong> rejection <strong>of</strong> EQUIPMENT, PURCHASER shall<br />

have the right to recover the amounts, if any, from any<br />

<strong>of</strong> CONTRACTOR’S invoices pending <strong>with</strong><br />

PURCHASER or by altern<strong>at</strong>ive method(s).<br />

28.1.1 The PURCHASER may, <strong>with</strong>out prejudice to any other<br />

remedy for breach <strong>of</strong> CONTRACT, by written notice <strong>of</strong><br />

default sent to the SELLER, termin<strong>at</strong>e the CONTRACT<br />

in whole or in part:<br />

A) If the SELLER fails to deliver any or all <strong>of</strong> the<br />

GOODS <strong>with</strong>in the time period(s) specified in the<br />

CONTRACT; or<br />

B) If the SELLER fails to perform any other<br />

oblig<strong>at</strong>ion(s) under the CONTRACT, and<br />

C) If the SELLER, in either <strong>of</strong> the above<br />

circumstances, does not cure his failure <strong>with</strong>in a<br />

period <strong>of</strong> 30 days (or such longer period as the<br />

PURCHASER may authorize in writing) after<br />

receipt <strong>of</strong> the default notice from the<br />

PURCHASER.<br />

28.1.2 In the event the PURCHASER termin<strong>at</strong>es the<br />

CONTRACT in whole or in part, pursuant to Article<br />

28.1.1, the PURCHASER may procure, upon such<br />

terms and in such manner as it deems appropri<strong>at</strong>e,<br />

goods similar to those undelivered and the SELLER<br />

shall be liable to the PURCHASER for any excess costs<br />

for such similar GOODS. However, the SELLER shall<br />

continue performance <strong>of</strong> the CONTRACT to the extent<br />

not termin<strong>at</strong>ed.
