<strong>Guyli<strong>an</strong></strong> <strong>reaches</strong> <strong>an</strong> <strong>agreement</strong> <strong>to</strong> <strong>partner</strong><br />

<strong>with</strong> <strong>Lotte</strong> <strong>Confectionery</strong><br />

Chocolaterie <strong>Guyli<strong>an</strong></strong> NV (“<strong>Guyli<strong>an</strong></strong>”), one of the world’s leading br<strong>an</strong>ds of premium<br />

Belgi<strong>an</strong> boxed chocolates, <strong>an</strong>nounced <strong>to</strong>day that it has reached <strong>an</strong> <strong>agreement</strong> <strong>to</strong><br />

<strong>partner</strong> <strong>with</strong> <strong>Lotte</strong> <strong>Confectionery</strong> Co., Ltd. (“<strong>Lotte</strong> <strong>Confectionery</strong>”), the <strong>Lotte</strong> Group's<br />

publicly listed subsidiary specializing in confectionery.<br />

Following completion of the <strong>agreement</strong>, <strong>Guyli<strong>an</strong></strong> will benefit from <strong>Lotte</strong>’s unequalled<br />

distribution in the fast growing Asi<strong>an</strong> confectionery markets <strong>an</strong>d its know-how in<br />

sales, marketing <strong>an</strong>d development of new products.<br />

In addition the <strong>Guyli<strong>an</strong></strong> br<strong>an</strong>d will benefit from additional resources <strong>to</strong> strengthen<br />

further its distribution network <strong>an</strong>d the network of <strong>Guyli<strong>an</strong></strong> Belgi<strong>an</strong> Chocolate Cafés.<br />

The acquisition of <strong>Guyli<strong>an</strong></strong> will diversify <strong>Lotte</strong>’s existing confectionery business on a<br />

product, ch<strong>an</strong>nel <strong>an</strong>d geographic basis <strong>an</strong>d will be <strong>Lotte</strong>’s gateway in<strong>to</strong> the Europe<strong>an</strong><br />

markets <strong>to</strong>gether <strong>with</strong> the recently <strong>an</strong>nounced investment in Russia. <strong>Lotte</strong> will also<br />

benefit from <strong>Guyli<strong>an</strong></strong>’s strong br<strong>an</strong>d name in the premium-boxed chocolate segment<br />

<strong>an</strong>d its successful position in Duty Free worldwide.<br />

Under the terms of the <strong>agreement</strong>, <strong>Lotte</strong> through a subsidiary will acquire 100% of the<br />

shares of Chocolaterie <strong>Guyli<strong>an</strong></strong> NV <strong>an</strong>d of all of its subsidiaries for <strong>an</strong> undisclosed<br />

sum. After completion of the <strong>agreement</strong>, <strong>Guyli<strong>an</strong></strong> will continue under the existing<br />

M<strong>an</strong>agement Team <strong>with</strong> the same m<strong>an</strong>agement philosophy <strong>an</strong>d strategy. <strong>Lotte</strong> <strong>an</strong>d the<br />

former family shareholders have agreed <strong>to</strong> continue <strong>to</strong> invest in the state-of-the-art<br />

pl<strong>an</strong>t in Sint-Niklaas, m<strong>an</strong>agement <strong>an</strong>d employees, R&D <strong>an</strong>d the <strong>Guyli<strong>an</strong></strong> br<strong>an</strong>d name.<br />

“Founded in 1960 by Guy <strong>an</strong>d Lili<strong>an</strong>e Foubert, <strong>Guyli<strong>an</strong></strong> has progressively developed<br />

<strong>to</strong> become The World’s Favourite Belgi<strong>an</strong> Chocolates. The <strong>partner</strong>ship <strong>with</strong> <strong>Lotte</strong> is<br />

<strong>an</strong> his<strong>to</strong>ric event <strong>an</strong>d is in-line <strong>with</strong> our strategy <strong>to</strong> make the next qu<strong>an</strong>tum leap in the<br />

confectionery industry <strong>an</strong>d <strong>to</strong> take full adv<strong>an</strong>tage of the potential of the everyday<br />

confectionery market <strong>an</strong>d the fast growing Asi<strong>an</strong> markets. On behalf of the Chairm<strong>an</strong><br />

The <strong>agreement</strong> is subject <strong>to</strong> certain conditions, but both parties <strong>an</strong>ticipate a smooth<br />

closing of the tr<strong>an</strong>saction.<br />

Lazard acted as sole fin<strong>an</strong>cial advisor <strong>to</strong> the shareholders of Chocolaterie <strong>Guyli<strong>an</strong></strong> NV<br />

<strong>an</strong>d <strong>Lotte</strong> was advised by Mizuho.<br />
