GENERAL TERMS & CONDITIONS<br />

1. For the purposes of the General Terms and Conditions set forth<br />

hereinafter, the “advertising order” is the contract with regard to<br />

the publication of one or more advertisements or other advertising<br />

materials by a person or body that engages in advertising activities<br />

or by another advertising customer in a printed publication for<br />

purposes of distribution.<br />

2. In case of any doubt, release orders for publication of advertisements<br />

must be placed within one year after entry into the contract.<br />

If, within the scope of entry into a contract, the Parties have agreed<br />

that there is the right to place release orders for individual advertisements,<br />

the order must be handled within one year after the<br />

publication of the first advertisement provided that a release order<br />

is placed for the first advertisement, and the first advertisement is<br />

published, within the time limit mentioned in the first sentence hereof.<br />

When entering into the contract, the client is entitled to place<br />

release orders for additional advertisements beyond the quantity<br />

mentioned in the order, provided that such release orders are placed<br />

within the agreed time limit.<br />

3. Advertisement prices are as shown in the publisher’s advertising<br />

price list as valid at the time of entry into the contract. If the advertising<br />

rate changes after entry into the contract, the publisher is<br />

entitled to calculate the price according to the price list valid at the<br />

time of publication; this does not apply in business dealings with<br />

parties not defined as commercial entities (Kaufleute), provided<br />

that not more than four months have elapsed between the time<br />

of entry into the contract and the time of publication. Advertising<br />

agencies and advertising intermediaries are prohibited from passing<br />

along any intermediaries’ fees granted by the publisher, in whole or<br />

in part, to their own clients.<br />

4. If an order is not fulfilled due to circumstances for which the<br />

publisher is not responsible, the client is, without prejudice to any<br />

further legal obligations, required to reimburse the publisher for<br />

the difference between the discount granted and the discount<br />

applicable to the actual quantity for which release orders have<br />

been placed. If the non-fulfillment of the order is based on events<br />

of force majeure lying within the scope of the publisher’s risk, the<br />

client shall have no claim to reimbursement.<br />

5. In calculating the quantity for which release orders have been<br />

placed, the number of millimeters in a line of text is converted into<br />

millimeters of advertisement space, in accordance with pricing.<br />

6. Orders for advertisements and other advertising materials<br />

that are explicitly supposed to be published only in certain issue<br />

numbers, certain issues, or in certain locations within the printed<br />

publication must be received by the publisher with sufficient<br />

lead time to notify the client, prior to the ad deadline, if the order<br />

cannot be performed as stated. Classified ads will be printed in the<br />

appropriate section without any express agreement between the<br />

Parties being required to that end.<br />

7. “Full-position ads” are ads with at least two sides adjacent to<br />

text, and not other ads. Ads whose editorial design renders them<br />

unrecognizable as ads will be clearly labeled by the publisher as<br />

such, using the word “Anzeige” (Advertisement).<br />

8. The publisher reserves the right to decline advertising orders,<br />

including individual release orders placed within the scope of a<br />

contract, and orders for loose inserts due to the content, origin, or<br />

technical form thereof, according to standard, objectively justified<br />

principles followed by the publisher; the same applies if the content<br />

thereof violates laws or official regulations, or if the publication<br />

thereof is unreasonable for the publisher. This also applies to orders<br />

placed with business offices, order acceptance locations, or representatives.<br />

Advertising orders for other advertising materials are<br />

not binding on the publisher until after a sample of the advertising<br />

material has been presented and approved. Advertising materials<br />

whose format or presentation causes the reader to believe that<br />

they are part of the newspaper or magazine or that contain thirdparty<br />

advertisements will not be accepted. If an order is declined,<br />

the client will be notified thereof without delay.<br />

9. The client is responsible for ensuring that the ad text and perfect<br />

print copy/artwork or inserts are delivered on time. The publisher<br />

guarantees that the print quality will be as customary for the title<br />

in which the advertisement is placed, within the scope possible for<br />

the print copy/artwork. The publisher will request a replacement<br />

without delay for any print copy/artwork that is evidently unsuitable<br />

or damaged.<br />

10. In the event that an advertisement is illegible in whole or in<br />

part once printed or is printed incorrectly or incompletely and such<br />

circumstance represents more than a minor error, the client shall<br />

be entitled to reduce payment therefor or to provision of a perfect<br />

replacement advertisement, but only to the extent to which the<br />

purpose of the ad has been adversely affected. If the publisher<br />

allows an appropriate time limit that has been set for the publisher<br />

to publish such a replacement ad to elapse, or if the replacement<br />

ad is once again not perfect, the client shall be entitled to reduce<br />

the price or to reverse the order. Claims to damages based on<br />

positive violations of contractual duties, fault upon entry into the<br />

contract, and tortious acts are ruled out, particularly for orders<br />

placed by phone; claims to damages based on impossibility of<br />

performance and on default are limited to compensation for the<br />

foreseeable amount of damage or loss, and are limited in amount<br />

to the compensation to be paid for the advertisement or insert in<br />

question. The foregoing does not apply in the event of intent or<br />

gross negligence on the part of the publisher, any of its statutory<br />

representatives, or any of its agents in the performance of its<br />

contractual obligations (Erfüllungsgehilfen). Nothing herein shall<br />

affect the publisher’s liability for damage or losses sustained due<br />

to failure to provide warranted characteristics. In its dealings with<br />

commercial entities, the publisher is moreover also not liable for<br />

gross negligence on the part of its agents in the performance of its<br />

contractual obligations (Erfüllungsgehilfen); in all other cases, the<br />

publisher’s liability for gross negligence vis-à-vis parties defined as<br />

commercial entities (Kaufleute) is limited in scope to the amount<br />

of the foreseeable damage or loss, up to the amount of the<br />

compensation to be paid for the ad in question. Except in the case<br />

of non-evident defects, complaints must be asserted within four<br />

weeks after receipt of the invoice and specimen copy.

11. Proofs will be supplied only upon an explicit request. The client<br />

is responsible for the accuracy of the returned proofs. The publisher<br />

will take into account all corrections of errors that are communicated<br />

to the publisher within the time limit set upon sending of<br />

the proof.<br />

12. If no particular size specifications are provided, the actual print<br />

height customary for the type of advertisement in question shall be<br />

taken as the basis for billing.<br />

13. If the client does not render payment in advance, the invoice will<br />

be sent immediately, but if at all possible 14 days after publication<br />

of the ad. The invoice shall be payable within the time limit stated<br />

in the price list, which shall run from receipt of the invoice onward,<br />

unless another payment deadline or advance payment has been<br />

agreed upon in the individual case. Discounts, if any, for early<br />

payment shall be granted in accordance with the price list.<br />

14. In the event of default or delay in payment, interest shall be<br />

charged, along with the costs of collection. In the event of default<br />

of payment, the publisher is permitted to suspend the further fulfillment<br />

of the ongoing order until such time as payment is rendered,<br />

and may also demand payment in advance for all remaining ads.<br />

If there is good reason to doubt the client’s solvency, the publisher<br />

is entitled to render the publication of further ads dependent on<br />

advance payment of the amount in question and on settlement<br />

of any and all open invoiced sums, including during the term of an<br />

advertising contract, and regardless of any payment terms that<br />

may have been originally agreed.<br />

15. Upon request, the publisher shall supply a specimen copy of<br />

the ad with the invoice. Depending on the nature and scope of<br />

the advertising order, ad clippings, specimen pages, or complete<br />

specimen issues will be supplied. If a specimen can no longer<br />

be obtained, it shall be replaced by a legally binding certificate<br />

from the publisher, attesting to the publication and distribution<br />

of the ad.<br />

16. The client shall bear the costs of producing print copy/artwork<br />

and drawings that have been ordered as well as the costs of any<br />

substantial changes to the originally agreed format or configuration,<br />

where such changes are requested by the client or the client is<br />

responsible for them.<br />

17. A claim to reduction of the price may be derived from a reduction<br />

in circulation in the case of a contract concerning multiple ads, if,<br />

on average across a period of one full year commencing with the<br />

first ad, the circulation falls short of the average circulation stated<br />

in the price list or otherwise or – if no such circulation is stated – the<br />

average circulation sold (in the case of trade publications, the average<br />

circulation actually distributed, where applicable) during the<br />

previous calendar year. A reduction in circulation is only considered<br />

a defect that gives rise to an entitlement to a price reduction if it<br />

amounts to the following:<br />

for circulation of up to 50,000 copies, 20%,<br />

for circulation of up to 100,000 copies, 15%,<br />

for circulation of up to 500,000 copies, 10%, and<br />

for circulation of over 500,000 copies, 5%.<br />

Claims to reduction of the price are, however, ruled out if the publisher<br />

has notified the client of the decline in circulation in due time,<br />

with an offer to permit the client to rescind the contract.<br />

18. In the case of box number advertisements, the publisher shall<br />

demonstrate the level of care expected of a proper business entity<br />

(Sorgfalt eines ordentlichen Kaufmanns) in ensuring that the<br />

offers are stored and passed along in due time. Letters sent via<br />

certified/registered mail and special delivery letters in response to<br />

box number advertisements shall be forwarded via normal mail<br />

only. Items received in response to box number advertisements<br />

shall be stored for four weeks. Incoming documents that are not<br />

picked up within this time limit shall be destroyed. The publisher<br />

will return valuable documents, but is under no obligation<br />

to do so. The Parties may enter into an individual agreement<br />

designating the publisher as a representative and authorizing the<br />

publisher to open incoming offers in the client’s stead, provided<br />

that it does so in the client’s stated interests. Letters that exceed<br />

the permissible DIN A4 format, along with shipments of goods,<br />

books, catalogs, and parcels, are excluded from forwarding and<br />

will not be accepted. The Parties may, however, agree that the<br />

publisher will accept and forward such items, by way of exception,<br />

in cases in which the client assumes the fees and charges thereby<br />

incurred.<br />

19. Print copy/artwork will not be returned to the client except<br />

where explicitly requested. If the publisher stores the advertising<br />

materials without being obligated to do so, such storage shall take<br />

place for a maximum of three months.<br />

20. Credit vouchers and subsequent credits shall, as a basic<br />

principle, not be applied until the end of a period of one year of<br />

advertising.<br />

21. Placement confirmations are conditional and subject to change<br />

for technical reasons. The publisher cannot be held liable in such<br />

cases.<br />

22. German law applies to the advertising order. The place of<br />

performance is the place in which the publisher has its registered<br />

office. In business dealings with commercial entities (Kaufleute),<br />

legal entities organized and existing under public law, or public-law<br />

special funds, the place of jurisdiction for all legal actions is the<br />

place in which the publisher has its registered office. If and insofar<br />

as claims of the publisher are not asserted via the dunning process,<br />

the place of jurisdiction for persons and entities not defined as<br />

commercial entities (Kaufleute) shall be determined according<br />

to their domicile. If the client’s domicile or usual residence is not<br />

known at the time an action is filed, or if the client’s domicile or<br />

usual residence has changed after entry into the contract and now<br />

lies outside the jurisdiction of applicable law, including if the client<br />

is not defined as a commercial entity (Kaufmann), the Parties agree<br />

that the place of jurisdiction is the place in which the publisher has<br />

its registered office.
