Introducti<strong>on</strong><br />

To prevent the use <strong>of</strong> pirated copies <strong>in</strong> bus<strong>in</strong>ess and <strong>in</strong> the <strong>in</strong>terest <strong>of</strong> promot<strong>in</strong>g<br />

corporate accountability and resp<strong>on</strong>sible governance, the Copyright (Amendment)<br />

Ord<strong>in</strong>ance 2007 1 imposes certa<strong>in</strong> resp<strong>on</strong>sibilities <strong>on</strong> directors, partners and pers<strong>on</strong>s<br />

who are resp<strong>on</strong>sible for the <strong>in</strong>ternal management <strong>of</strong> their organisati<strong>on</strong>s.<br />

For the purpose <strong>of</strong> this <str<strong>on</strong>g>Guidance</str<strong>on</strong>g> <str<strong>on</strong>g>Note</str<strong>on</strong>g>, the terms “bus<strong>in</strong>ess(es)” and “bus<strong>in</strong>ess enduser(s)”<br />

are not restricted to bus<strong>in</strong>ess proprietors or enterprises. They broadly cover<br />

organisati<strong>on</strong>s or bodies (whether pr<strong>of</strong>it-mak<strong>in</strong>g or not), <strong>in</strong>clud<strong>in</strong>g but not limited<br />

to companies, partnerships, educati<strong>on</strong>al establishments, tra<strong>in</strong><strong>in</strong>g <strong>in</strong>stituti<strong>on</strong>s, clubs,<br />

societies and trade uni<strong>on</strong>s.<br />

Not <strong>on</strong>ly does proper management <strong>of</strong> copyright assets (<strong>in</strong>clud<strong>in</strong>g but not limited to<br />

publicati<strong>on</strong>s and s<strong>of</strong>tware) improve productivity and enhance system security; it also<br />

helps prevent <strong>in</strong>advertent piracy <strong>in</strong> bus<strong>in</strong>ess. This <str<strong>on</strong>g>Guidance</str<strong>on</strong>g> <str<strong>on</strong>g>Note</str<strong>on</strong>g> serves to help<br />

bus<strong>in</strong>esses better manage their copyright assets and guard aga<strong>in</strong>st <strong>in</strong>advertent enduser<br />

piracy.<br />

This <str<strong>on</strong>g>Guidance</str<strong>on</strong>g> <str<strong>on</strong>g>Note</str<strong>on</strong>g> outl<strong>in</strong>es –<br />

i. the types <strong>of</strong> bus<strong>in</strong>ess end-user piracy which may attract crim<strong>in</strong>al liability under the<br />

Copyright Ord<strong>in</strong>ance;<br />

ii. the resp<strong>on</strong>sibilities <strong>of</strong> directors/partners <strong>of</strong> a bus<strong>in</strong>ess; and<br />

iii. some suggested good practices that organisati<strong>on</strong>s and their senior management<br />

may adopt to help guard aga<strong>in</strong>st bus<strong>in</strong>ess end-user piracy.<br />

Please note that the c<strong>on</strong>tent <strong>of</strong> this <str<strong>on</strong>g>Guidance</str<strong>on</strong>g> <str<strong>on</strong>g>Note</str<strong>on</strong>g> is provided for reference <strong>on</strong>ly.<br />

Compliance with this guide should not be taken as automatically exempt<strong>in</strong>g an<br />

organisati<strong>on</strong> or its senior management from all liabilities <strong>in</strong> relati<strong>on</strong> to bus<strong>in</strong>ess end-user<br />

(I) What is “Bus<strong>in</strong>ess <strong>End</strong>-user <strong>Piracy</strong>”?<br />

The use <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g materials by bus<strong>in</strong>ess end-users may attract legal (civil and/or<br />

crim<strong>in</strong>al) liabilities. Specifically, there are two types <strong>of</strong> crim<strong>in</strong>al <strong>of</strong>fences perta<strong>in</strong><strong>in</strong>g to<br />

bus<strong>in</strong>ess end-user piracy under the Copyright Ord<strong>in</strong>ance –<br />

Offence<br />

(1) Possessi<strong>on</strong> <strong>of</strong>fence -<br />

(2) Copy<strong>in</strong>g and distributi<strong>on</strong><br />

<strong>of</strong>fence -<br />

without the copyright<br />

owner’s authorisati<strong>on</strong>,<br />

possess<strong>in</strong>g an <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g<br />

copy <strong>of</strong> any <strong>of</strong> the<br />

follow<strong>in</strong>g 4 types <strong>of</strong> works<br />

for use <strong>in</strong> bus<strong>in</strong>ess<br />

without the copyright owner’s<br />

authorisati<strong>on</strong>, do<strong>in</strong>g the follow<strong>in</strong>g<br />

acts for the purpose <strong>of</strong> or <strong>in</strong> the<br />

course <strong>of</strong> any trade or bus<strong>in</strong>ess<br />

<strong>on</strong> a regular or frequent basis to<br />

an extent bey<strong>on</strong>d the prescribed<br />

numeric limits (see Part (II) below),<br />

result<strong>in</strong>g <strong>in</strong> a f<strong>in</strong>ancial loss to the<br />

copyright owners -<br />

(i) mak<strong>in</strong>g an <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copy <strong>of</strong><br />

a copyright work <strong>in</strong> any <strong>of</strong> the<br />

follow<strong>in</strong>g 4 types <strong>of</strong> publicati<strong>on</strong>s<br />

for distributi<strong>on</strong> 2 ; or<br />

(ii) distribut<strong>in</strong>g 2 an <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copy<br />

<strong>of</strong> a copyright work <strong>in</strong> any <strong>of</strong> the<br />

follow<strong>in</strong>g 4 types <strong>of</strong> publicati<strong>on</strong>s<br />

2 The copy<strong>in</strong>g and distributi<strong>on</strong> <strong>of</strong>fence applies to distributi<strong>on</strong> <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies by electr<strong>on</strong>ic means (e.g. email or fax), <strong>in</strong> additi<strong>on</strong> to the<br />

distributi<strong>on</strong> <strong>of</strong> hard copies.<br />

The <strong>of</strong>fence will not apply to distributi<strong>on</strong> through an Intranet or other private network <strong>of</strong> an organisati<strong>on</strong> for the time be<strong>in</strong>g. The Adm<strong>in</strong>istrati<strong>on</strong><br />

will further c<strong>on</strong>sult the stakeholders about the numeric limits applicable to Intranet distributi<strong>on</strong>, hav<strong>in</strong>g regard to the availability <strong>of</strong> appropriate<br />

licens<strong>in</strong>g schemes cover<strong>in</strong>g such distributi<strong>on</strong> before extend<strong>in</strong>g the coverage <strong>of</strong> the <strong>of</strong>fence to the Intranet.<br />

Distributi<strong>on</strong> <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies through the Internet is not covered by the copy<strong>in</strong>g and distributi<strong>on</strong> <strong>of</strong>fence. Please note, however, that<br />

distributi<strong>on</strong> <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies (irrespective <strong>of</strong> the types <strong>of</strong> copyright works and the distributi<strong>on</strong> media) to such an extent as to affect prejudicially<br />

the copyright owner(s) is already subject to crim<strong>in</strong>al sancti<strong>on</strong> under secti<strong>on</strong> 118(1)(g) <strong>of</strong> the Copyright Ord<strong>in</strong>ance.<br />

Coverage <strong>of</strong><br />

the <strong>of</strong>fence<br />

The <strong>of</strong>fence applies to all<br />

bus<strong>in</strong>ess end-users.<br />

The <strong>of</strong>fence applies to all bus<strong>in</strong>ess<br />

end-users except n<strong>on</strong>-pr<strong>of</strong>it<br />

mak<strong>in</strong>g educati<strong>on</strong>al establishments.<br />

(Educati<strong>on</strong>al establishments may<br />

however still <strong>in</strong>cur civil liability,<br />

subject to certa<strong>in</strong> acts permitted<br />

by the Copyright Ord<strong>in</strong>ance.)<br />

(II) The Numeric Limits prescribed for the<br />

Copy<strong>in</strong>g and Distributi<strong>on</strong> Offence<br />

There are two separate sets <strong>of</strong> numeric limits 4 applicable to different categories <strong>of</strong><br />

copyright works with<strong>in</strong> which the copy<strong>in</strong>g and distributi<strong>on</strong> <strong>of</strong>fence does not apply.<br />

These numeric limits are as follows -<br />

(a) Numeric limit for newspapers, magaz<strong>in</strong>es or periodicals (other than academic<br />

journals)<br />

The number <strong>of</strong> “<strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g pages” (i.e. those pages each c<strong>on</strong>ta<strong>in</strong><strong>in</strong>g <strong>in</strong> whole or <strong>in</strong><br />

part any <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copy) made for distributi<strong>on</strong> or distributed with<strong>in</strong> any 14-day<br />

period must not exceed 500 (calculated <strong>on</strong> the basis <strong>of</strong> A4-size pages).<br />

(b) Numeric limit for books or academic journals<br />

The total value <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies made for distributi<strong>on</strong> or distributed with<strong>in</strong> any<br />

period <strong>of</strong> 180 days must not exceed HK$6,000 based <strong>on</strong> the follow<strong>in</strong>g evaluati<strong>on</strong><br />

methods -<br />

(i) where the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies c<strong>on</strong>ta<strong>in</strong> more than 25% <strong>of</strong> the total number <strong>of</strong><br />

pr<strong>in</strong>ted pages <strong>of</strong> a book or an issue <strong>of</strong> an academic journal, the value <strong>of</strong> such<br />

<strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies is taken to be the same as the relevant book or the relevant<br />

issue <strong>of</strong> the academic journal; and<br />

(ii) where the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies c<strong>on</strong>ta<strong>in</strong> not more than 25% <strong>of</strong> the total number<br />

<strong>of</strong> pr<strong>in</strong>ted pages <strong>of</strong> an issue <strong>of</strong> an academic journal but <strong>in</strong>clude <strong>on</strong>e or more<br />

than <strong>on</strong>e complete article(s) <strong>of</strong> that issue, the value <strong>of</strong> such <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies is<br />

taken to be the same as the relevant article(s).<br />

Related Questi<strong>on</strong>s & Illustrati<strong>on</strong>s<br />

(a) Numeric limit for newspapers, magaz<strong>in</strong>es or periodicals (other than academic<br />

journals)<br />

Q1: What if I reduce/enlarge the size <strong>of</strong> the orig<strong>in</strong>al image when mak<strong>in</strong>g photocopies<br />

<strong>of</strong> news articles, and/or use photocopy<strong>in</strong>g papers which are larger/smaller than<br />

A4-size?<br />

A1: When determ<strong>in</strong><strong>in</strong>g the number <strong>of</strong> “<strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g pages” made or distributed, the<br />

degree <strong>of</strong> reducti<strong>on</strong>/enlargement <strong>of</strong> the image and the size <strong>of</strong> the paper used<br />

will be taken <strong>in</strong>to account. In terms <strong>of</strong> calculat<strong>in</strong>g the total number <strong>of</strong> “<strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g<br />

pages”, there is neither advantage nor downside for adjust<strong>in</strong>g the size <strong>of</strong> the<br />

orig<strong>in</strong>al image or us<strong>in</strong>g photocopy<strong>in</strong>g papers larger/smaller than A4-sizes (see the<br />

illustrati<strong>on</strong>s <strong>in</strong> scenario (ii) + (iii) + (iv) <strong>in</strong> Example A below).<br />

Q3: How do I calculate the value <strong>of</strong> the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copy if the book/issue <strong>of</strong> the<br />

journal <strong>in</strong> questi<strong>on</strong> has no marked retail price?<br />

A3: In such circumstances, the value <strong>of</strong> the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies should be calculated<br />

accord<strong>in</strong>g to the follow<strong>in</strong>g methods –<br />

(a) For books<br />

(i) its retail price (sometimes known as list price) as recommended by the<br />

publisher before any discount is given (such <strong>in</strong>formati<strong>on</strong> could usually be<br />

found <strong>on</strong> major <strong>on</strong>l<strong>in</strong>e bookshops); or<br />

(ii) (if no such recommended price is available) the readily ascerta<strong>in</strong>able<br />

market value <strong>of</strong> the book.<br />

(b) For issues <strong>of</strong> academic journals<br />

(i) the marked subscripti<strong>on</strong> price <strong>of</strong> the journal as pr<strong>in</strong>ted <strong>in</strong> or <strong>on</strong> its issue<br />

divided by the number <strong>of</strong> issues covered by the subscripti<strong>on</strong>; or<br />

(ii) (if no such marked subscripti<strong>on</strong> price is available) the subscripti<strong>on</strong> price<br />

number <strong>of</strong> issues covered by the subscripti<strong>on</strong>.<br />

Q4: How do I determ<strong>in</strong>e the value <strong>of</strong> the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copy where the marked retail<br />

price <strong>of</strong> a book (or marked retail/subscripti<strong>on</strong> price <strong>of</strong> an issue <strong>of</strong> an academic<br />

journal) is denom<strong>in</strong>ated <strong>in</strong> more than <strong>on</strong>e currencies?<br />

A4: The marked price <strong>in</strong> H<strong>on</strong>g K<strong>on</strong>g dollar will be adopted, if available. Otherwise<br />

the value <strong>in</strong> H<strong>on</strong>g K<strong>on</strong>g dollar shall be calculated by reference to the value <strong>in</strong><br />

other currencies pr<strong>in</strong>ted <strong>in</strong> or <strong>on</strong> the book/issue <strong>of</strong> the journal <strong>in</strong> the follow<strong>in</strong>g<br />

order -<br />

(i) US dollars;<br />

(ii) the first foreign currency be<strong>in</strong>g pr<strong>in</strong>ted <strong>in</strong> or <strong>on</strong> the book/journal<br />

Q5: What is the applicable exchange rate <strong>in</strong> c<strong>on</strong>vert<strong>in</strong>g foreign currencies <strong>in</strong>to<br />

H<strong>on</strong>g K<strong>on</strong>g dollar value?<br />

A5: The exchange rate at the time when the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies are made/distributed<br />

will be relevant, and reference is to be made to -<br />

(i) the open<strong>in</strong>g <strong>in</strong>dicative counter exchange sell<strong>in</strong>g rate published by The H<strong>on</strong>g<br />

K<strong>on</strong>g Associati<strong>on</strong> <strong>of</strong> Banks <strong>in</strong> respect <strong>of</strong> that foreign currency; or<br />

(ii) (if no such rate is published) the representative exchange rate published by<br />

the Internati<strong>on</strong>al M<strong>on</strong>etary Fund <strong>in</strong> respect <strong>of</strong> that foreign currency 9 .<br />

In a nutshell, unauthorised copy<strong>in</strong>g and distributi<strong>on</strong> activities c<strong>on</strong>ducted by<br />

a bus<strong>in</strong>ess end-user frequently or regularly <strong>in</strong>volv<strong>in</strong>g the follow<strong>in</strong>g quantity<br />

or value <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g materials will run the risk <strong>of</strong> be<strong>in</strong>g prosecuted for the<br />

copy<strong>in</strong>g and distributi<strong>on</strong> <strong>of</strong>fence -<br />

(a) For newspapers/magaz<strong>in</strong>es/periodicals (other than academic journals)<br />

• with<strong>in</strong> any 14-day period;<br />

• the total number <strong>of</strong> "<strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g pages" made/distributed exceeds 500<br />

(calculated <strong>on</strong> the basis that each "<strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g page" is <strong>in</strong> A4-size and<br />

there be<strong>in</strong>g no reducti<strong>on</strong>/enlargement <strong>of</strong> the orig<strong>in</strong>al image <strong>of</strong> the<br />

copyright works throughout the copy<strong>in</strong>g process).<br />

(b) For books/academic journals<br />

• with<strong>in</strong> any 180-day period;<br />

• the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies made/distributed c<strong>on</strong>ta<strong>in</strong> more than 25% <strong>of</strong> the<br />

pr<strong>in</strong>ted pages <strong>of</strong> a book/an issue <strong>of</strong> an academic journal;<br />

• the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies made/distributed c<strong>on</strong>ta<strong>in</strong> not more than 25% <strong>of</strong><br />

the pr<strong>in</strong>ted pages <strong>of</strong> an issue <strong>of</strong> an academic journal, but c<strong>on</strong>ta<strong>in</strong> <strong>on</strong>e<br />

or more complete article(s) <strong>of</strong> that issue;<br />

• the total value <strong>of</strong> the relevant book(s)/academic journal(s)/article(s)<br />

exceeds HK$6,000.<br />

Please note also that the respective numeric limits for newspapers/magaz<strong>in</strong>es/<br />

periodicals (other than academic journals) and for books/academic journals<br />

operate <strong>in</strong>dependently <strong>of</strong> each other. In other words, regular or frequent<br />

copy<strong>in</strong>g/distributi<strong>on</strong> <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies <strong>of</strong> works from different k<strong>in</strong>ds <strong>of</strong><br />

publicati<strong>on</strong>s to such an extent that exceeds <strong>on</strong>ly <strong>on</strong>e <strong>of</strong> the prescribed numeric<br />

limits is sufficient to be caught by the copy<strong>in</strong>g and distributi<strong>on</strong> <strong>of</strong>fence.<br />

(III) What are the Resp<strong>on</strong>sibilities <strong>of</strong><br />

Directors/Partners <strong>of</strong> a Bus<strong>in</strong>ess <strong>in</strong><br />

guard<strong>in</strong>g aga<strong>in</strong>st <strong>Piracy</strong>?<br />

Directors/partners may be subject to crim<strong>in</strong>al liability if their bodies corporate/<br />

partnerships have d<strong>on</strong>e an <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g act stated <strong>in</strong> Part (I) above that attracts bus<strong>in</strong>ess<br />

end-user crim<strong>in</strong>al liability. Hence, directors/partners are well advised to take prudent<br />

steps to guard aga<strong>in</strong>st bus<strong>in</strong>ess end-user piracy activities.<br />

Who would be liable?<br />

The directors’/partners’ liability provisi<strong>on</strong> applies to –<br />

• Company directors or partners who are resp<strong>on</strong>sible for the <strong>in</strong>ternal management<br />

<strong>of</strong> their organisati<strong>on</strong>s; or<br />

• If there is no such director or partner, the pers<strong>on</strong> who is resp<strong>on</strong>sible, under the<br />

immediate authority <strong>of</strong> the director(s)/partner(s), for the <strong>in</strong>ternal management <strong>of</strong><br />

the body corporate or partnership at the time when the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g act is d<strong>on</strong>e.<br />

The above pers<strong>on</strong>nel should be regarded as hav<strong>in</strong>g the overall resp<strong>on</strong>sibility for<br />

manag<strong>in</strong>g the use <strong>of</strong> copyright works <strong>in</strong> bus<strong>in</strong>ess even if they delegate the matters to<br />

other staff. Hence they should ma<strong>in</strong>ta<strong>in</strong> supervisi<strong>on</strong> even where delegati<strong>on</strong> is made.<br />

What defences are available to a director/partner charged with<br />

the <strong>of</strong>fence?<br />

When a director, par tner or any other pers<strong>on</strong> resp<strong>on</strong>sible for the <strong>in</strong>ternal<br />

management <strong>of</strong> the organisati<strong>on</strong> is charged with any <strong>of</strong> the aforesaid <strong>of</strong>fences under<br />

the Copyright Ord<strong>in</strong>ance, he or she may defend himself or herself by putt<strong>in</strong>g forward<br />

sufficient evidence to show that he or she did not authorise the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g act.<br />

Evidence that could c<strong>on</strong>v<strong>in</strong>ce the court <strong>of</strong> either <strong>of</strong> the follow<strong>in</strong>g matters would be<br />

taken as “sufficient evidence” -<br />

• the defendant has caused the body corporate or partnership to set aside f<strong>in</strong>ancial<br />

resources and has directed the use <strong>of</strong> the resources for buy<strong>in</strong>g a sufficient number<br />

<strong>of</strong> genu<strong>in</strong>e copies <strong>of</strong> the copyright work <strong>in</strong>volved or appropriate licences for use<br />

by the organisati<strong>on</strong>; or<br />

• the organisati<strong>on</strong> has actually <strong>in</strong>curred the expenditure for buy<strong>in</strong>g a sufficient<br />

number <strong>of</strong> genu<strong>in</strong>e copies <strong>of</strong> the copyright work <strong>in</strong>volved or appropriate licences<br />

for use by the organisati<strong>on</strong>.<br />

In additi<strong>on</strong>, the court may take other relevant factors <strong>in</strong>to account, such as –<br />

• whether the defendant has <strong>in</strong>troduced policies or practices aga<strong>in</strong>st the use, mak<strong>in</strong>g<br />

or distributi<strong>on</strong> <strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies <strong>of</strong> copyright <strong>in</strong> his or her organisati<strong>on</strong>; and<br />

• whether the defendant has taken acti<strong>on</strong> to prevent the use, mak<strong>in</strong>g or distributi<strong>on</strong><br />

<strong>of</strong> <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies <strong>of</strong> copyright works <strong>in</strong> his or her organisati<strong>on</strong>.<br />

After a director, partner or pers<strong>on</strong> resp<strong>on</strong>sible for <strong>in</strong>ternal management <strong>of</strong> the<br />

bus<strong>in</strong>ess has put forward “sufficient evidence” to the court’s satisfacti<strong>on</strong>, the burden<br />

will be <strong>on</strong> the prosecuti<strong>on</strong> to prove the c<strong>on</strong>trary, i.e. the director/partner/pers<strong>on</strong> has<br />

authorised the c<strong>on</strong>cerned <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g act. If the prosecuti<strong>on</strong> fails to prove this bey<strong>on</strong>d<br />

reas<strong>on</strong>able doubt, the director/partner/pers<strong>on</strong> would be acquitted <strong>of</strong> the crim<strong>in</strong>al<br />

charge.<br />

(IV) Good Practices Guide<br />

This part suggests good practices that a director/partner may adopt for the purpose<br />

<strong>of</strong> guard<strong>in</strong>g aga<strong>in</strong>st bus<strong>in</strong>ess end-user piracy. Evidence <strong>of</strong> prudent steps and<br />

reas<strong>on</strong>able efforts hav<strong>in</strong>g been taken to guard aga<strong>in</strong>st bus<strong>in</strong>ess end-user piracy would<br />

be useful evidence to show that the director/partner c<strong>on</strong>cerned does not authorise<br />

bus<strong>in</strong>ess end-user piracy activities.<br />

(A) General Guidel<strong>in</strong>es<br />

Bus<strong>in</strong>ess Policy & Staff Awareness<br />

The director, partner or any other pers<strong>on</strong> resp<strong>on</strong>sible for <strong>in</strong>ternal management <strong>of</strong> the<br />

bus<strong>in</strong>ess (“the resp<strong>on</strong>sible pers<strong>on</strong>nel”) should set out clearly the bus<strong>in</strong>ess’s policy –<br />

• <strong>on</strong> the proper use <strong>of</strong> legitimate s<strong>of</strong>tware, <strong>in</strong>clud<strong>in</strong>g their <strong>in</strong>stallati<strong>on</strong>, use and<br />

disposal;<br />

• aga<strong>in</strong>st unauthorised 10 mak<strong>in</strong>g and distributi<strong>on</strong> <strong>of</strong> copies <strong>of</strong> copyright works<br />

published <strong>in</strong> a book, newspaper, magaz<strong>in</strong>e or periodical; and<br />

• <strong>on</strong> the use <strong>of</strong> n<strong>on</strong>-<strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies <strong>of</strong> movies, televisi<strong>on</strong> dramas, musical sound<br />

record<strong>in</strong>gs and musical visual record<strong>in</strong>gs.<br />

The policy should be properly documented and made known to all employees,<br />

<strong>in</strong>clud<strong>in</strong>g new recruits. The resp<strong>on</strong>sible pers<strong>on</strong>nel should ensure that the policy is<br />

brought to the attenti<strong>on</strong> <strong>of</strong> all employees periodically. The employees may also be<br />

asked to signify their understand<strong>in</strong>g <strong>of</strong> the policy by sign<strong>in</strong>g a copy <strong>of</strong> the policy, which<br />

should be reta<strong>in</strong>ed. In devis<strong>in</strong>g the policy, reference may be made to the template<br />

<strong>on</strong> “Compliance with the Copyright Ord<strong>in</strong>ance – Guides for Bus<strong>in</strong>ess Organisati<strong>on</strong>s”<br />

posted <strong>on</strong> the website <strong>of</strong> the Intellectual Property Department (http://www.ipd.gov.<br />

Check<strong>in</strong>g<br />

To f<strong>in</strong>d out if <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies are be<strong>in</strong>g used <strong>in</strong> bus<strong>in</strong>ess <strong>in</strong>advertently, the resp<strong>on</strong>sible<br />

pers<strong>on</strong>nel should c<strong>on</strong>duct periodic (announced and/or unannounced) checks. The<br />

check<strong>in</strong>g should seek to identify discrepancies between (a) the <strong>in</strong>ventory and copies<br />

<strong>of</strong> copyright work actually <strong>in</strong> use, and (b) the terms <strong>of</strong> the relevant licences and the<br />

actual use <strong>of</strong> the copyright works. Where <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies are discovered, staff should<br />

immediately stop us<strong>in</strong>g the <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies. Remedial acti<strong>on</strong>, <strong>in</strong>clud<strong>in</strong>g purchase <strong>of</strong> the<br />

required genu<strong>in</strong>e copies or acquisiti<strong>on</strong> <strong>of</strong> the appropriate licences, should be taken<br />

immediately. Results <strong>of</strong> the check<strong>in</strong>g and the remedial acti<strong>on</strong> taken (if applicable)<br />

should be reported to management and recorded.<br />

M<strong>on</strong>itor<strong>in</strong>g the Usage Requirements for Copyright Works and<br />

Keep<strong>in</strong>g Records <strong>of</strong> Procurement<br />

Records <strong>of</strong> procurement taken together with records show<strong>in</strong>g that the usage<br />

requirements for copyright works with<strong>in</strong> the organisati<strong>on</strong> are be<strong>in</strong>g m<strong>on</strong>itored would<br />

be useful evidence to show that the organisati<strong>on</strong> has bought sufficient number <strong>of</strong><br />

genu<strong>in</strong>e copies <strong>of</strong> the copyright work or acquired appropriate licences for use by the<br />

organisati<strong>on</strong>.<br />

The resp<strong>on</strong>sible pers<strong>on</strong>nel should c<strong>on</strong>duct regular reviews cover<strong>in</strong>g the current and<br />

forecast needs <strong>of</strong> the bus<strong>in</strong>ess <strong>in</strong> the use <strong>of</strong> copyright works (such as s<strong>of</strong>tware and<br />

publicati<strong>on</strong>s). Such needs should be compared with the exist<strong>in</strong>g <strong>in</strong>ventory/s<strong>of</strong>tware<br />

register. Where it is decided that additi<strong>on</strong>al copies/licences are or will be needed for<br />

use <strong>in</strong> bus<strong>in</strong>ess, the resp<strong>on</strong>sible pers<strong>on</strong>nel should –<br />

• direct the sett<strong>in</strong>g aside <strong>of</strong> f<strong>in</strong>ancial resources (and use <strong>of</strong> the resources) for buy<strong>in</strong>g<br />

the required copies/licences;<br />

• document the budget and the directi<strong>on</strong>s given; and<br />

• record all the purchases properly, with <strong>in</strong>voices or sales receipts reta<strong>in</strong>ed as pro<strong>of</strong><br />

<strong>of</strong> the expenditure <strong>in</strong>curred.<br />

(B) S<strong>of</strong>tware<br />

The guidel<strong>in</strong>es below apply specifically to the use <strong>of</strong> s<strong>of</strong>tware <strong>in</strong> bus<strong>in</strong>ess.<br />

It is advisable for the resp<strong>on</strong>sible pers<strong>on</strong>nel to appo<strong>in</strong>t a staff member, preferably with<br />

IT knowledge to assist him/her <strong>in</strong> manag<strong>in</strong>g s<strong>of</strong>tware assets.<br />

Bus<strong>in</strong>ess Policy & Staff Awareness<br />

It should be clearly set out <strong>in</strong> the bus<strong>in</strong>ess policy <strong>on</strong> the use <strong>of</strong> s<strong>of</strong>tware, am<strong>on</strong>g other<br />

th<strong>in</strong>gs, that -<br />

• the use <strong>of</strong> unlicensed s<strong>of</strong>tware (<strong>in</strong>clud<strong>in</strong>g those downloaded from the Internet<br />

without authorisati<strong>on</strong> <strong>of</strong> the copyright owner) <strong>in</strong> bus<strong>in</strong>ess is strictly prohibited; and<br />

• where staff members need to br<strong>in</strong>g their own laptops or s<strong>of</strong>tware for use <strong>in</strong><br />

bus<strong>in</strong>ess, they should ensure that these are genu<strong>in</strong>e copies and licensed for<br />

bus<strong>in</strong>ess use 11 .<br />

In additi<strong>on</strong> to sett<strong>in</strong>g out the relevant policies, the resp<strong>on</strong>sible pers<strong>on</strong>nel should also<br />

ensure that staff members comply with the policies. Measures to ensure compliance<br />

may <strong>in</strong>clude requir<strong>in</strong>g permissi<strong>on</strong> to be sought from the resp<strong>on</strong>sible <strong>of</strong>ficer before<br />

staff members are allowed to br<strong>in</strong>g/<strong>in</strong>stall s<strong>of</strong>tware for use <strong>in</strong> bus<strong>in</strong>ess, and c<strong>on</strong>duct<strong>in</strong>g<br />

regular s<strong>of</strong>tware audits to identify any unauthorised s<strong>of</strong>tware.<br />

Management <strong>of</strong> S<strong>of</strong>tware Assets<br />

To facilitate the keep<strong>in</strong>g <strong>of</strong> a clear record/registry <strong>of</strong> the organisati<strong>on</strong>’s s<strong>of</strong>tware assets,<br />

it is advisable that –<br />

• the resp<strong>on</strong>sible <strong>of</strong>ficer or IT Manager should set out the organisati<strong>on</strong>’s procedure<br />

for acquir<strong>in</strong>g s<strong>of</strong>tware;<br />

• all purchases <strong>of</strong> s<strong>of</strong>tware be centrally processed and approved by the resp<strong>on</strong>sible<br />

<strong>of</strong>ficer or IT Manager;<br />

• <strong>in</strong>stallati<strong>on</strong> <strong>of</strong> s<strong>of</strong>tware be carried out by designated staff, with all <strong>in</strong>stallati<strong>on</strong>s <strong>in</strong><br />

specific computers recorded <strong>in</strong> the <strong>in</strong>ventory or s<strong>of</strong>tware register; and<br />

<strong>of</strong> copyright <strong>in</strong>fr<strong>in</strong>gement, but also issues related to bus<strong>in</strong>ess’s data security and possible spread <strong>of</strong> computer viruses. It is preferable for<br />

bus<strong>in</strong>esses that require their staff members to work outside the <strong>of</strong>fice to provide them with portable computers specifically for bus<strong>in</strong>ess<br />

use.<br />

• when acquir<strong>in</strong>g computer hardware with pre-<strong>in</strong>stalled s<strong>of</strong>tware, the resp<strong>on</strong>sible<br />

<strong>of</strong>ficer or IT Manager should ascerta<strong>in</strong> that all pre-<strong>in</strong>stalled s<strong>of</strong>tware are properly<br />

licensed and take steps to reta<strong>in</strong> the licence documents properly.<br />

The resp<strong>on</strong>sible <strong>of</strong>ficer or IT Manager should arrange to c<strong>on</strong>duct s<strong>of</strong>tware audits<br />

periodically to –<br />

(a) identify s<strong>of</strong>tware assets <strong>in</strong> use;<br />

(b) verify the s<strong>of</strong>tware assets with reference to licences, usage and rights;<br />

(c) identify any discrepancies that may exist between <strong>in</strong>stallati<strong>on</strong>s, the acquired<br />

licences and the terms <strong>of</strong> licences, e.g. the situati<strong>on</strong> <strong>of</strong> “under-licence” i.e.<br />

<strong>in</strong>sufficient number <strong>of</strong> licences for the number <strong>of</strong> users;<br />

(d) look for unauthorised copies <strong>of</strong> s<strong>of</strong>tware;<br />

(e) take immediate acti<strong>on</strong> to rectify any identified discrepancies, <strong>in</strong>clud<strong>in</strong>g the purchase<br />

<strong>of</strong> required licences. Staff should immediately stop us<strong>in</strong>g the unauthorised<br />

s<strong>of</strong>tware; and<br />

(f) record the results <strong>of</strong> the audit and the remedial acti<strong>on</strong>s, e.g. pro<strong>of</strong> <strong>of</strong> purchase and<br />

report them to the resp<strong>on</strong>sible <strong>of</strong>ficer.<br />

(C) Movies, Televisi<strong>on</strong> Dramas, Musical Sound or Visual<br />

The guidel<strong>in</strong>es below apply specifically to the use <strong>of</strong> movies, televisi<strong>on</strong> dramas,<br />

musical record<strong>in</strong>gs (sound or visual) <strong>in</strong> bus<strong>in</strong>ess.<br />

Bus<strong>in</strong>ess Policy & Staff Awareness<br />

Organisati<strong>on</strong>s should clearly set out <strong>in</strong> their policies <strong>on</strong> the use <strong>of</strong> movies, televisi<strong>on</strong><br />

dramas or musical record<strong>in</strong>gs (sound or visual) that –<br />

• the use <strong>of</strong> pirated copies (<strong>in</strong>clud<strong>in</strong>g pirated discs and copies downloaded illegally<br />

from Internet) <strong>in</strong> bus<strong>in</strong>ess is strictly prohibited; and<br />

• the use <strong>of</strong> parallel imported copies for public play<strong>in</strong>g or show<strong>in</strong>g is prohibited 12 .<br />

It should be noted that “public play<strong>in</strong>g” <strong>in</strong>cludes the play<strong>in</strong>g <strong>of</strong> music <strong>in</strong> areas<br />

with<strong>in</strong> the bus<strong>in</strong>ess premises to which the public have access, as well as for the<br />

enjoyment by <strong>in</strong>ternal staff members.<br />

Seek<strong>in</strong>g Authorisati<strong>on</strong> for Public Performance<br />

“Public performance” <strong>in</strong>cludes the play<strong>in</strong>g <strong>of</strong> music or movie clips <strong>in</strong>serted <strong>in</strong>to<br />

bus<strong>in</strong>ess presentati<strong>on</strong>s. Organisati<strong>on</strong>s that need to play or show movies, televisi<strong>on</strong><br />

dramas, musical record<strong>in</strong>gs (sound or visual) <strong>in</strong> public or for the benefit <strong>of</strong> their staff<br />

members <strong>in</strong> the course <strong>of</strong> their bus<strong>in</strong>ess should observe that, apart from us<strong>in</strong>g n<strong>on</strong><strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g<br />

copies, they should also acquire appropriate licences from the copyright<br />

owners or the relevant licens<strong>in</strong>g bodies for the public play<strong>in</strong>g or show<strong>in</strong>g <strong>of</strong> such<br />

works 13 .<br />

(D) Books, Magaz<strong>in</strong>es, Newspapers, Periodicals<br />

The guidel<strong>in</strong>es below apply specifically to the use <strong>of</strong> books, magaz<strong>in</strong>es, periodicals or<br />

newspapers <strong>in</strong> bus<strong>in</strong>ess. This part is <strong>of</strong> particular relevance to organisati<strong>on</strong>s that use<br />

newspapers, periodicals, magaz<strong>in</strong>es and books <strong>in</strong> the course <strong>of</strong> bus<strong>in</strong>ess, such as the<br />

circulati<strong>on</strong> <strong>of</strong> news articles for <strong>in</strong>ternal reference or us<strong>in</strong>g materials extracted from<br />

books for the provisi<strong>on</strong> <strong>of</strong> tra<strong>in</strong><strong>in</strong>g.<br />

Licens<strong>in</strong>g Agreements<br />

For organisati<strong>on</strong>s that need to copy and distribute copyright works c<strong>on</strong>ta<strong>in</strong>ed <strong>in</strong> books,<br />

newspapers, periodicals and magaz<strong>in</strong>es <strong>in</strong> the course <strong>of</strong> their bus<strong>in</strong>ess, the resp<strong>on</strong>sible<br />

<strong>of</strong>ficer should ensure that appropriate licences have been obta<strong>in</strong>ed from the relevant<br />

copyright owners or licens<strong>in</strong>g bodies represent<strong>in</strong>g the owners, such as the H<strong>on</strong>g K<strong>on</strong>g<br />

for copy<strong>in</strong>g and distributi<strong>on</strong> <strong>of</strong> articles from a number <strong>of</strong> local newspapers.<br />

Bus<strong>in</strong>ess Policy & Staff Awareness<br />

It should be clearly set out <strong>in</strong> the bus<strong>in</strong>ess policy that -<br />

• where appropriate licences have been obta<strong>in</strong>ed from the copyright owners<br />

or licens<strong>in</strong>g bodies to authorise copy<strong>in</strong>g or distributi<strong>on</strong> <strong>of</strong> copies <strong>of</strong> pr<strong>in</strong>ted<br />

publicati<strong>on</strong>s, employees must comply with the terms <strong>of</strong> the licences <strong>in</strong> mak<strong>in</strong>g<br />

copies or distribut<strong>in</strong>g copies <strong>of</strong> such publicati<strong>on</strong>s; and<br />

• <strong>in</strong> the absence <strong>of</strong> appropriate licences, employees should not make for distributi<strong>on</strong><br />

or distribute any <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g copies <strong>of</strong> pr<strong>in</strong>ted publicati<strong>on</strong>s.<br />

The terms <strong>of</strong> the licences acquired by the organisati<strong>on</strong> should be publicised and<br />

made known to the staff to facilitate observance <strong>of</strong> the permissible limit <strong>of</strong> copy<strong>in</strong>g/<br />

distributi<strong>on</strong> under the licences.<br />
