"Extension Date" means the latest of (a) the Scheduled Termination Date, (b) the Grace Period<br />
Extension Date if (i) Grace Period Extension is specified to apply in the Issue Terms, (ii) the Credit<br />
Event that is the subject of the Credit Event Notice or Credit Event Resolution Request Date, as<br />
applicable, is a Failure to Pay that occurs after the Scheduled Termination Date (determined by<br />
reference to Greenwich Mean Time (or, if the Transaction Type of the relevant Reference Entity is<br />
Japan Corporate or Japan Sovereign, Tokyo time)) and (iii) the Potential Failure to Pay with respect<br />
to such Failure to Pay occurs on or prior to the Scheduled Termination Date (determined by<br />
reference to Greenwich Mean Time (or, if the Transaction Type of the relevant Reference Entity is<br />
Japan Corporate or Japan Sovereign, Tokyo time)) and (c) the Repudiation/Moratorium Evaluation<br />
Date if (i) the Credit Event that is the subject of the Credit Event Notice or Credit Event Resolution<br />
Request Date, as applicable, is a Repudiation/Moratorium for which a Failure to Pay (determined<br />
without regard to the Payment Requirement) or a Restructuring (determined without regard to the<br />
Default Requirement) occurs after the Scheduled Termination Date (determined by reference to<br />
Greenwich Mean Time (or, if the Transaction Type of the relevant Reference Entity is Japan<br />
Corporate or Japan Sovereign, Tokyo time)), (ii) the Potential Repudiation/Moratorium with respect<br />
to such Repudiation/Moratorium occurs on or prior to the Scheduled Maturity Date (determined by<br />
reference to Greenwich Mean Time (or, if the Transaction Type of the relevant Reference Entity is<br />
Japan Corporate or Japan Sovereign, Tokyo time)) and (iii) the Repudiation/Moratorium Extension<br />
Condition is satisfied.<br />
"Extension Notice" means a notice from the Counterparty to the Issuer (copied to the Trustee, the<br />
Principal Paying Agent) and the Calculation Agent giving notice of the following in relation to a<br />
Reference Entity:<br />
(i)<br />
(ii)<br />
(iii)<br />
without prejudice to sub-paragraphs (ii) and (iii) below, that a Credit Event has occurred or<br />
may occur on or prior to the Scheduled Termination Date; or<br />
that a Potential Failure to Pay has occurred or may occur on or prior to the Scheduled<br />
Termination Date; or<br />
that a Potential Repudiation/Moratorium has occurred or may occur on or prior to the<br />
Scheduled Termination Date. For the purposes of this sub-paragraph (iii), the giving of a<br />
Repudiation/Moratorium Extension Notice (if on or prior to the Scheduled Termination<br />
Date) shall be deemed to satisfy the requirement to give notice under this definition of<br />
"Extension Notice". However, the giving of an Extension Notice in accordance with this<br />
sub-paragraph (iii) shall not in any way preclude the subsequent giving of a<br />
Repudiation/Moratorium Extension Notice so long as the Repudiation/Moratorium<br />
Extension Condition is satisfied.<br />
An Extension Notice shall be subject to the requirements regarding notices set out in Condition CL3<br />
(Notices).<br />
"Extended Physical Settlement Date" means, if a Hedge Disruption Event (as determined by the<br />
Calculation Agent in its absolute discretion) has occurred on or prior to the Initial Physical<br />
Settlement Date, the date designated by the Calculation Agent in its absolute discretion, and such<br />
date shall be not more than 60 Business Days following the Initial Physical Settlement Date.<br />
"Failure to Pay" means, after the expiration of any applicable Grace Period (after the satisfaction of<br />
any conditions precedent to the commencement of such Grace Period), the failure by a Reference<br />
