1. General Terms and Conditions of Delivery and Payment 

1.1 Offer, Order 

1.1.1 Any deliveries made and performances rendered by the Fischer Panda GmbH [private company 

limited by shares pursuant to German law] are subject to these terms and conditions and terms of payment 

and the agreement entered into by the Fischer Panda GmbH and the seller. The Fischer Panda 

GmbH T&Cs apply exclusively; T&Cs of the customer which are inconsistent with these T&Cs or which 

deviate from them are hereby expressly excluded by Fischer Panda GmbH, except where Fischer Panda 

GmbH has expressly approved of them in writing. These Fischer Panda GmbH T&Cs also apply if the 

Fischer Panda GmbH unconditionally renders performance despite having had knowledge of the conflicting 

or deviating T&Cs of the customer. 

1.1.2 Orders placed by the customer represent binding offers, which the Fischer Panda GmbH may accept 

within one week by way of serving an order confirmation or by way of performing the order. All 

offers of the Fischer Panda GmbH are non-binding, except where they have been expressly specified 

as binding. 

1.1.3 Offer-related documentation such as images, drawings, indications of weight and dimensions are 

meant to be approximates, except where these have been expressly specified as binding. 

1.1.4 Fischer Panda GmbH reserves all proprietary and intellectual property rights in any cost estimates, 

drawings and other documentation; these must not be disclosed to third parties. The Fischer Panda 

GmbH undertakes not to disclose to third parties any schemes and plans which have been designated 

as confidential by the customer without his prior consent. 

Where construction-related documentation has been prepared on behalf of or at the request of the 

customer, it will be invoiced separately. The same applies if no agreement is being entered into subsequently. 

1.1.5 Samples, models, drawings or data carriers provided by the customer will only be returned upon 

the request and at the expense of the customer. Where no agreement is being entered into subsequently 

and no such request [for return] is being made in due course, the Fischer Panda GmbH is entitled 

to destroy such samples, models and drawings within one month following the submission of the 

offer, without being liable for any claims for damages. 

1.1.6 Our T&Cs apply in relation to consumers as well in relation to businessmen [“Unternehmer” technical 

term defined in the German Commercial Code “Handelsgesetzbuch”], except where a differentiation 

is made in the respective clause. 

1.2 Pricing and Payment 

1.2.1 The purchase price set out in the offer is binding. In relation to consumers, the statutory VAT is 

included. 

1.2.2 If the customer is a businessman, the prices – if not agreed otherwise – are meant to be ex works 

including the loading at the works, excluding, however, the shipping costs, costs of packaging and VAT 

in the statutorily prescribed amount.

1.2.3 Where no specific agreement has been made, invoices shall be paid in advance and without any 

deductions. 

The receipt of the payment on one of the bank accounts designated on the invoices shall be decisive 

as regards the timeliness of any payments made. Cheques will only be accepted on account of performance. 

Bills of exchange will not be accepted. 

1.2.4 In the case of individual deliveries which have been constructed pursuant to customer specifications, 

advance payments shall be agreed individually. 

1.2.5 If the customer is in arrears with a payment, Fischer Panda GmbH is entitled to declare that all 

amounts owed to it are due for payment at once, without giving consideration to the actual maturity of 

the payments owed and to refuse any further performances and deliveries as long as these payments 

have not been made in full. Moreover, Fischer Panda GmbH may claim the statutory interest for late 

payments. If Fischer Panda GmbH evidences damage and loss beyond this scope, then Fischer Panda 

GmbH may claim the respective damages, except if the customer evidences that Fischer Panda GmbH 

did not suffer or did suffer a lesser damage and loss as a consequence of the late payment. 

1.2.6 A right to a set-off may only be invoked by the customer if the respective counter-claims have 

been fully and finally adjudicated, are undisputed or admitted by Fischer Panda GmbH. If the customer 

is a businessman, he may only assert any rights of retention he may have if the respective counterclaims 

stems from the same contractual relationship and provided these have been fully and finally 

adjudicated or where these are undisputed. 

1.3 Delivery Times 

1.3.1 The term of delivery commences with the posting of the order confirmation, however, not before 

the production of the documentation, approvals and releases as well as the clarification of technical 

issues which are to be procured by the customer and not prior to the receipt of any advance payments 

due. 

1.3.2 The delivery deadline is deemed to have been complied with if the delivery item has left the 

works until the expiry of the deadline or if readiness for shipping has been indicated. Where an acceptance 

procedure must be carried out, the date of delivery shall – except if a refusal of the acceptance is 

justified – be decisive; alternatively, the indication of the readiness for shipment shall be decisive. The 

compliance with the delivery deadline is conditional upon correct and timely supply of Fischer Panda 

GmbH itself. The Fischer Panda GmbH has the right to rescind the contract if Fischer Panda GmbH does 

not receive the respective delivery item on time, despite having entered into a respective purchase 

agreement in good time. Fischer Panda GmbH will notify the customer of any impending delays or nondeliveries 

and will reimburse any consideration received in the case of a rescission. 

1.3.3 The delivery deadline shall be reasonably extended in the case of measures relating to industrial 

action, in particular strikes and lockouts, as well as in the case of an occurrence of unexpected 

hindrances which fall outside of the sphere of influence of Fischer Panda GmbH, provided that such 

hindrances affect the manufacture and delivery of delivery items. The same applies where such circumstances 

occur in relation to the suppliers of Fischer Panda GmbH. The circumstances described above 

do also not fall within the sphere of influence of Fischer Panda GmbH if they occur due to a default.

Fischer Panda GmbH will notify the customer of the commencement and the ending of such hindrances 

as quickly as possible. 

1.3.4 If Fischer Panda GmbH is in default [of performance], the customer must grant Fischer Panda 

GmbH a reasonable grace period for specific performance. If delivery is not made until the expiry of 

the grace period, the customer may rescind the contract and may claim damages in accordance with 

Section 8 below. 

1.3.5 Where the shipping is being delayed at the request of the customer, he shall be invoiced, commencing 

one month following the indication of readiness for shipping, for the costs incurred due to the 

storage in the works of Fischer Panda GmbH, however, for no less than 1% of the invoice value of each 

given month. However, following the grant and the fruitless expiry of a reasonable grace period, Fischer 

Panda GmbH is entitled to dispose of the delivery item. 

1.3.6 Compliance with the delivery deadline further requires the timely and orderly performance of all 

duties of the customer. The defence of unperformed contract [Einrede des nicht erfüllten Vertrages - 

Section 320 Bürgerliches Gesetzbuch – German Civil Code] shall remain unaffected. 

1.4 Passing of Risk and Acceptance 

1.4.1 Where the customer is a businessman, the risk passes to the customer at the moment in time in 

which the delivery item leaves the works of Fischer Panda GmbH; the same applies where part-deliveries 

are being made or where Fischer Panda GmbH has undertaken further performances such as the 

delivery and the on-site installation of the delivery item. At the request of the customer, Fischer Panda 

GmbH will insure his delivery at his expense against theft, damage, transport damage, fire damage and 

water damage as well as against any other insurable events. The request must be phrased expressly and 

must be made in writing. 

1.4.2 If the customer is a businessman and if delivery is delayed or omitted due to circumstances which 

cannot be attributed to Fischer Panda GmbH, the risk passes to the customer on the date on which 

readiness for shipping has been indicated. Fischer Panda GmbH is entitled to insure the delivery item 

against theft, damage, transport damage, fire damage and water damage as well as against any other 

insurable events at the expense of the customer, provided that the customer did not demonstrably 

object to taking out such insurance policies. 

1.4.3 Any items delivered must be taken on by the customer, even where these show defects, however, 

without prejudice to the rights of the customer specified in Section 1.6. 

1.5 Retention of Title 

1.5.1 If the customer is a consumer, Fischer Panda GmbH retains title to the delivery items until all debts 

owed to Fischer Panda GmbH have been paid in full by the customer. 

1.5.2 If the customer is a businessman, Fischer Panda GmbH retains title to the delivery items until 

all debts owed to Fischer Panda GmbH by the customer which stem from their business relationship, 

including all future liabilities arising from contracts entered into concomitantly or at some later stage, 

are settled, even if the actual delivery items in question have already been paid. The same applies

where individual or all debts owed to Fischer Panda GmbH have been included into a current account 

whose balance has been struck and accepted. The customer is entitled to sell the delivery item in the 

course of his regular business operation. He hereby assigns any claims against his customers arising 

from such selling-on of goods which are subject to retention of title to the Fischer Panda GmbH by 

way of security. In the case of a processing, transformation or combination with other goods which are 

subject to retention of title, the Fischer Panda GmbH directly and unconditionally acquires legal title 

to the goods so created. The goods in question are then subject to retention of title. The customer 

may collect these claims even after these have been assigned. This shall not affect the right of Fischer 

Panda GmbH to collect its claims; however, Fischer Panda GmbH undertakes not to collect its claims as 

long as the customer honours his payment obligations in due course, is not in arrears and in particular 

as long as no application for the initiation of insolvency proceedings has been filed or no cessation of 

payments is given. Fischer Panda GmbH may require that the client discloses the assigned claims and 

the identity of the respective debtors, discloses all details necessary for the collection, hands over all 

related documentation and to notifies the creditor of such assignment. If the delivery item is being 

sold on together with other goods which are not the property of Fischer Panda GmbH, the claims of 

the customer against his end consumers are deemed to have been assigned in the amount of the initial 

contract price. The retention of title and other collateral to be provided for the benefit of Fischer 

Panda GmbH persist as long as Fischer Panda GmbH has been fully released from any liabilities which it 

incurred in the interest of the customer. If the value of the collateral exceeds the value of Fischer Panda 

GmbH’s claims more than 20%, Fischer Panda GmbH is, upon the request of the customer and at the 

discretion of Fischer Panda GmbH, obliged to release collateral belonging to Fischer Panda GmbH in the 

value of the respective amount. 

1.5.3 The customer must not pledge the delivery item nor assign it by way of security. The customer 

must notify Fischer Panda GmbH of any third party compulsory execution measures relating to goods 

which are subject to retention of title without delay, and in doing so must provide the documentation 

required for any related legal intervention; the same applies in the case of other types of detriments. 

Irrespective of this, the customer must specify existing rights in the goods to such third parties. The 

customer must bear the costs of such intervention by Fischer Panda GmbH to the extent in which the 

third party is unable to reimburse these. 

1.6 Liability for Defects of the Delivery/Warranty 

1.6.1 If the customer is a consumer, Fischer Panda GmbH’s liability for defects follows the respective 

statutory provisions. 

1.6.2 If the customer is a businessman, the warranty claims of the customer require that the latter has 

complied with his obligation to inspect the goods and to give notice of defects (Section 377 Handelsgesetzbuch 

– German Commercial Code) without delay. Any identified defects must be documented in 

an as intelligible as possible manner and must be described using all documentation required for this 

purpose. In the case of an orderly notice of defect, Fischer Panda GmbH will perform specific performance 

as follows: 

1.6.2.1 In the context of such specific performance, Fischer Panda GmbH is, in its sole discretion, entitled 

to cure the defect or to provide a replacement. Parts which have been replaced become the 

property of Fischer Panda GmbH. Fischer Panda GmbH shall be granted at least two opportunities to 

perform specific performance.

1.6.2.2 The customer shall grant the time and opportunity required for the implementation of all repairs 

and replacement deliveries which in the opinion of Fischer Panda GmbH are necessary, following 

a respective consultation with Fischer Panda GmbH; otherwise Fischer Panda GmbH shall be released 

from its liability. In the case of an urgency arising from an imminent danger to industrial safety as well 

as for purposes of preventing unreasonably high damage and loss, or should Fischer Panda GmbH be 

in default of specific performance, the customer may be granted the right to cure the defect himself or 

to let third parties perform such cure and to invoice Fischer Panda GmbH with the costs so incurred, 

provided, however, that Fischer Panda GmbH has given its prior written consent to such. 

1.6.2.3 The customer must immediately return the delivery item to Fischer Panda GmbH’s premises, 

should the former decide to assert a warranty claim. Fischer Panda GmbH will bear the costs of such 

return as well as the costs for the least expensive shipping of the cured delivery item or its replacement. 

Should the reclamation prove to be justified, Fischer Panda GmbH will bear the costs of the replacement 

ex works. Where delivery items (electric generators and other aggregates and components) 

shall become an integral part and should the modification and return to Fischer Panda GmbH entail 

an unreasonable effort, it may be agreed that a Fischer Panda GmbH technician or an authorised subcontractor 

shall cure the defect on-site. Apart from the costs for the replacement including the costs for 

the least expensive shipping, the customer shall bear all other related costs, including any travel costs 

or costs of assembly. The costs of installation and/or any modifications will not be borne by Fischer 

Panda GmbH. 

1.6.3 Should Fischer Panda GmbH fail to render specific performance within the reasonable grace period 

granted by the customer or should specific performance definitively fail after several attempts, or 

should Fischer Panda GmbH refuse such specific performance, the customer shall be entitled to reduce 

the agreed remuneration and may claim the reimbursement of any related expenses incurred or may 

rescind the contract. If the defect in question is insignificant, the customer may merely ask for a reduction 

of the purchase price. 

1.6.4 Fischer Panda GmbH is not liable for defects which are caused by inappropriate or inexpedient 

use or by a faulty installation or commissioning by the customer or by third parties which have not been 

instructed or authorised by Fischer Panda GmbH, or which represent regular wear and tear, or which 

stem from faulty or negligent treatment, lack of proper maintenance, inappropriate working materials, 

defective construction works, inappropriate foundation soil, or a chemical, electrochemical or electrical 

interference which does not fall within Fischer Panda GmbH’s sphere of influence. Where the specific 

performance rendered by the customer or by a third party proves to be inappropriate, Fischer Panda 

GmbH does not assume any liability from the consequences so caused. The same applies where the 

delivery item has been modified without the prior consent of Fischer Panda GmbH. 

1.6.5 If the customer is a consumer, the warranty period for the delivery of a new item is two years, 

and one year in the case of a second hand item. The limitation period commences upon the passing 

of the risk. This shall not apply to claims for damages arising from defects. Section 1.8 applies to such 

claims for damages. 

1.6.6 If the customer is a businessman, the warranty period is one year. The limitation period for any 

recourse claims pursuant to Sections 478, 479 BGB shall remain unaffected. This shall not apply in the 

case of claims for damages arising from defects. Section 1.8 applies to such claims for damages.

1.7 Commissioning 

1.7.1 Any expenses for mechanics and allowance rates incurred on account of the commissioning, in 

particular for overtime work, work on Sundays and public holidays shall be borne by the customer in 

accordance with the laws of the Federal Republic of Germany. Journey times and travel times also count 

as working hours. 

1.7.2 The costs for the return journey as well as for the transportation of tools and other working materials 

and the luggage shall be borne by the customer. 

1.8 Liability for Defects 

1.8.1 Fischer Panda GmbH’s liability for breaches of contractual duties as well as for tortuous acts is 

limited to intentional acts and to gross negligence. This shall not apply to any impairments of life or 

health or to bodily harm caused to the customer, or to claims arising from an infringement of material 

contractual terms, i.e. terms which reflect the nature of the contract at hand and whose infringement 

put the objective of the contract at peril, as well as to product liability claims and to claims for damages 

for default (Section 286 BGB). In relation to the above, Fischer Panda GmbH shall assume liability for any 

type of culpable behaviour. In addition, the above exclusion of liability shall equally apply to bodily harm 

caused by a merely careless negligence on the part of individuals which Fischer Panda GmbH employs 

to perform its contractual obligations [Erfüllungsgehilfen pursuant to Section 278 BGB]. Where liability 

for damages caused by a merely careless negligence is excluded for loss of life, bodily harm or health 

impairments of the client, the respective claims expire within one year after the respective claim arises 

or, in the case of damages for defects, within one year following the delivery of the item. Where Fischer 

Panda GmbH’s liability for damages is excluded or limited, the same applies in relation to the personal 

liability of employees, staffers, representatives and individuals which Fischer Panda GmbH employs to 

perform its contractual obligations [Erfüllungsgehilfen pursuant to Section 278 BGB]. 

1.9 Cancellation of the Contract 

1.9.1 Should the customer unjustly rescind the contract, Fischer Panda GmbH is entitled, without prejudice 

to an assertion of higher damage and loss, to claim 10% of the gross contract value for the processing 

of the order and for any loss of profit incurred. The customer is entitled to furnish evidence for the 

fact that a lesser or no damage and loss has been incurred by Fischer Panda GmbH. 

1.10 Applicable Law and Place of Jurisdiction 

1.10.1 If not provided for otherwise in the contract, the place of performance shall be the place of 

business of the Fischer Panda GmbH. The statutory provisions regarding jurisdiction shall remain unaffected, 

except where the special provisions contained in Section 1.10.3 below provide otherwise. 

1.10.2 These T&Cs are governed by the laws of the Federal Republic of Germany under exclusion of the 

Vienna Convention on the International Sale of Goods [CiSG]. 

1.10.3 The exclusive place of jurisdiction for disputes arising from contracts with businessmen, bodies 

corporate or special funds under public law is the competent court of law which has jurisdiction at the 

place of business of the Fischer Panda GmbH. The Fischer Panda GmbH, however, has the right to bring 

legal action against the customer at the general place of jurisdiction applicable to the latter.

Guarantee Conditions 

1. Warranty Conditions for mobile and stationary Fischer Panda Generators 

In relation to the present generator, Fischer Panda GmbH grants the customer a manufacturer’s warranty 

in addition to the warranty claims he may have against the seller. 

1.1 Requirements of the Warranty 

Important requirements for the warranty to arise: 

Technical documentation containing a form for an “application for registration and for the issue of a 

warranty certificate” is being provided together with the generator itself. This form must be carefully 

completed and must be received by Fischer Panda GmbH within two weeks following the installation of 

the generator. This applies to all generators alike. The installation must have been carried out in accordance 

with the instructions for installation set out in the instruction manual and the health and safety 

instructions of Fischer Panda GmbH. The prescribed commissioning inspection and the recording of the 

commissioning protocol must have been carried out, too. The remainder of the inspections must also 

have been carried out in accordance with the respective provisions and must be recorded in the form. 

The user is obliged to check oil levels on a daily basis and to carry out a ‘prima facie inspection’ in accordance 

with the instruction manual or the checklist. 

1.2 Warranty Period 

Fischer Panda GmbH guarantees the faultlessness of the working material and the error-free operation 

of the generator for a period of time of 24 months commencing on the date of delivery ex works in 

Paderborn, Germany. The warranty period is limited to 12 months if the generator is being employed 

for commercial purposes (and not just privately). The limitation period commences on the date of delivery 

ex works on Fischer Panda GmbH’s premises and is limited to a total of 1.000 operating hours. The 

warranty period for components of the water-cooled electrical asynchronous Panda generator specified 

in Section 5 of these warranty conditions is hereby extended for a period of time of 5 years. However, 

this extension of the warranty period is subject to limitations which are detailed in Section 5 of this 

warranty conditions. 

Apart from that, all provisions stipulated by the Fischer Panda GmbH and set out below are legally 

binding. 

1.3 Warranties 

Where specific performance [cure of defects] becomes necessary, the customer is, in the sole discretion 

of Fischer Panda GmbH, obliged to show the generator to a customer service centre individually 

designated and authorised by Fischer Panda GmbH or to send the generator to Fischer Panda GmbH 

directly, at his expense respectively. In the event of an assertion of warranty claims, if the generator 

is mounted in a vehicle (farm vehicle, watercraft, etc.), Fischer GmbH must a first be consulted as to 

where and how the repairs shall be carried out. In general, the customer is obliged to bring the vehicle 

or the generator to the business premises of Fischer Panda GmbH in Paderborn, Germany. In any event, 

Fischer Panda GmbH has discretion as to whether the repairs shall be carried out at its place of business 

or at some other location, using the services of an authorised Fischer Panda GmbH partner. If the 

customer requires that the mechanic travels to the location where the object in question is situated, 

the travel costs shall be borne by the customer. This comprises the manpower and other costs of the

journey (such as accommodation and per diem allowances). 

If in individual cases, warranty-related repairs need to be carried out on-board at the location where the 

vehicle is situated, the customer must ensure that both the vehicle and the generator can be accessed 

without difficulties and must cater for reasonable and appropriate working conditions. 

This comprises accessibility of the vehicle for work from 7am until 8pm. 

The customer may, having obtained the prior consent of Fischer Panda GmbH, dismount defective parts 

on-site. These must, upon request, be sent free-of-charge to Fischer Panda GmbH or to a different address 

designated by Fischer Panda GmbH. Following an examination, Fischer Panda GmbH shall, in its 

sole discretion, replace them on- site or repair them and return them to the customer at his peril and 

at his expense. 

In the event that parts are being replaced, the defective parts become the property of the Fischer 

Panda GmbH. Where repairs cannot be carried out by Fischer Panda GmbH on its business premises, 

the customer must at first advance all costs of the repair. The costs of the defective part including the 

costs for the least expensive shipping shall be borne by the Fischer Panda GmbH. The travel costs as 

well as any costs for assembly and disassembly shall be borne by the customer. The performance of 

warranty repairs does not entail an extension of the warranty period or a recommencement of the 

respective limitation period. 

1.4 Expiry of the Warranty 

The warranty expires if 

The customer does not give notice of defects without undue delay; 

The customer does not give Fischer Panda GmbH the immediate opportunity to repair defects. (The 

customer is obliged to cooperate in the context of such specific performance. This comprises that he 

sends defective parts which he dismounted on his own responsibility to Fischer Panda GmbH at his own 

expense, or, alternatively, if the aggregate has been installed on-site, to bring the vehicle to Fischer 

Panda GmbH’s premises.); 

• The defect can be attributed to an overload or to erroneous instruction manuals; 

• The required service and maintenance works have not been performed; 

• The monitoring and stop-functions of the generator could not be activated because these systems 

did not operate because the cable had been removed or damaged, or for any other reason which prevented 

the operation of said functions; or 

• The instructions for the installation have not been heeded. 

• The warranty claims equally expire if 

• A non-authorised service provider has carried out repairs on the generator or the system assembly; or 

• Parts which have not been supplied by Fischer Panda GmbH have been used; or 

• Parts which have been modified and not examined by Fischer Panda GmbH have been used; or 

• The cooling system of on-site built-in generators does not comply with the requirements set out in 

the instruction manual; or 

• The application for registration and for the issue of a warranty certificate has not been submitted in

due course or is incomplete; or 

• Temperature-related data contained in test logs deviate from the maximum values specified by Fischer 

Panda 

GmbH; or 

• In the case of aggregates with a nominal output of 25kVA, if the required acceptance procedure for 

the installation works has not been carried out by an authorised dealer; or 

• Essential instructions contained in the instruction manual have not been heeded. Further, the warranty 

claim expires in all cases of force majeure or in times of war. 

1.5 Extended Warranty 

Extended warranty for Fischer Panda generators – 5 years commencing with the purchase: 

The electric part of the generator (stator with windings, generator casing together with sealing Re 

exposure of all auriferous parts) is subject to a warranty period of 5 years. This extended warranty 

comprises any damage and loss suffered by the above-mentioned parts due to the impact of cooling 

water. Fischer Panda GmbH will decide in its sole discretion whether these [parts] will be repaired or 

replaced free-of- charge. All parts must be dismounted and must be sent carriage prepaid to Fischer 

Panda GmbH. We hereby expressly exclude damage and loss caused by an overheating of the generator 

and by components which are defective due to regular wear and tear or due to a breakdown of peripheral 

aggregate units, water pumps, water supply, automatic stop functions, etc. Expenses incurred due 

to labour costs, etc., e.g. for the mounting and dismounting of the aggregates, are only included in this 

warranty to the extent in which a lump sum has been agreed which reflects the working hours required 

by an experienced mechanic who has free access to the object at hand. 

Further, we hereby expressly exclude damage and loss caused by third parties and an improper compensation 

or overcompensation with condensers. Further warranties may be available and can be derived 

from the extended Fischer Panda warranty package offering. 

1.6 Applicable Law and Place of Jurisdiction 

If not provided for otherwise in the contract, the place of performance shall be the place of business 

of the Fischer Panda GmbH. The statutory provisions regarding jurisdiction shall remain unaffected, 

except where the special provisions below provide otherwise. These T&Cs are governed by the laws of 

the Federal Republic of Germany under exclusion of the Vienna Convention on the International Sale 

of Goods [CiSG]. 

The exclusive place of jurisdiction for disputes arising from contracts with businessmen, bodies corporate 

or special funds under public law is the competent court of law which has jurisdiction at the place 

of business of the Fischer Panda GmbH. The Fischer Panda GmbH, however, has the right to bring legal 

action against the customer at the general place of jurisdiction applicable to the latter.

Allgemeine Lieferungs- und Zahlungsbedingungen 

1. Allgemeine Lieferungs- und Zahlungsbedingungen 

1.1 Angebot, Auftragserteilung 

1.1.1 Lieferungen und Leistungen von Fischer Panda GmbH erfolgen ausschließlich aufgrund nachstehender 

Bedingungen und nach Maßgabe des zwischen Fischer Panda GmbH und dem Kunden geschlossenen 

Vertrages. Diese AGB von Fischer Panda GmbH gelten ausschließlich; entgegenstehende 

oder von diesen AGB abweichende Bedingungen des Kunden erkennt Fischer Panda GmbH nicht an, es 

sei denn, Fischer Panda GmbH hat ausdrücklich schriftlich ihrer Geltung zugestimmt. Diese AGB von Fischer 

Panda GmbH gelten auch dann, wenn Fischer Panda GmbH in Kenntnis entgegenstehender oder 

von diesen Geschäftsbedingungen abweichender Bedingungen des Kunden die Lieferung vorbehaltlos 

ausführt. 

1.1.2 Die Bestellung des Kunden stellt ein bindendes Angebot dar, das Fischer Panda GmbH innerhalb 

einer Woche durch Zusendung einer Auftragsbestätigung oder durch Lieferung der Ware annehmen 

kann. Alle Angebote von Fischer Panda GmbH sind freibleibend, sofern sie nicht ausdrücklich als 

verbindlich bezeichnet sind. 

1.1.3 Die zu dem Angebot gehörenden Unterlagen wie Abbildungen, Zeichnungen, Gewichts- und 

Maßangaben sind nur annähernd maßgebend, soweit sie nicht ausdrücklich als verbindlich bezeichnet 

sind. 

1.1.4 An Kostenvoranschlägen, Zeichnungen und anderen Unterlagen behält sich Fischer Panda GmbH 

Eigentums- und Urheberrechte vor; diese dürfen Dritten nicht zugänglich gemacht werden. Fischer 

Panda GmbH ist verpflichtet, vom Besteller als vertraulich bezeichnete Pläne nur mit dessen Zustimmung 

Dritten zugänglich zu machen. Sofern Konstruktionsunterlagen im Auftrag bzw. auf Veranlassung 

des Kunden angefertigt werden, werden diese gesondert berechnet. Dies gilt auch dann, wenn der 

Auftrag nicht zustande kommt. 

1.1.5 Vom Kunden überlassene Muster, Modelle, Zeichnungen oder Datenträger werden nur auf Anforderung 

und Kosten des Kunden zurückgesandt. Kommt ein Auftrag nicht zustande und geht nicht 

rechtzeitig eine Anforderung ein, ist Fischer Panda GmbH berechtigt, überlassene Muster, Modelle oder 

Zeichnungen einen Monat nach Abgabe eines Angebots zu vernichten, ohne dass irgendwelche Ersatzansprüche 

entstehen. 

1.1.6 Unsere AGB gelten sowohl gegenüber Verbrauchern als auch gegenüber Unternehmern, es sei 

denn, in der jeweiligen Klausel wird eine Differenzierung vorgenommen. 

1.2 Preis und Zahlung 

1.2.1 Der angebotene Kaufpreis ist bindend. Gegenüber Verbrauchern ist die gesetzliche Umsatzsteuer 

enthalten. 

1.2.2 Ist der Kunde Unternehmer, gelten die Preise - wenn keine andere Vereinbarung getroffen wurde 

- ab Werk, einschließlich Verladung im Werk, jedoch zuzüglich Fracht, Verpackung sowie Umsatzsteuer 

in der jeweiligen gesetzlichen Höhe. 

1.2.3 Wenn keine besondere Vereinbarung getroffen wurde, sind Rechnungen per Vorkasse und ohne

jeden Abzug zu zahlen. Maßgeblich für die Rechtzeitigkeit der Zahlung ist der Zahlungseingang auf einem 

der auf den Rechnungen angegebenen Konten. Schecks werden nur erfüllungshalber akzeptiert. 

Wechselzahlungen werden nicht akzeptiert. 

1.2.4 Bei allen Einzellieferungen, die nach Kundenspezifikation gebaut werden müssen, werden Anzahlungen 

im Einzelfall geregelt. 

1.2.5 Gerät der Kunde mit einer geschuldeten Zahlung in Verzug, so ist Fischer Panda GmbH berechtigt, 

sofortige Bezahlung der gesamten Vergütung ohne Rücksicht auf die Fälligkeit zu verlangen und weitere 

Leistungen solange einzustellen bzw. Lieferungen solange zurückzuhalten, bis die vollständige Zahlung 

erfolgt ist. Fischer Panda GmbH ist darüber hinaus berechtigt, Verzugszinsen in gesetzlicher Höhe zu 

verlangen. Falls Fischer Panda GmbH einen höheren Verzugsschaden nachweist, kann dieser geltend 

gemacht werden, es sei denn, der Kunde weist nach, dass Fischer Panda GmbH als Folge des Zahlungsverzuges 

kein oder nur ein geringerer Schaden entstanden ist. 

1.2.6 Aufrechnungsrechte stehen dem Kunden nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt, 

unbestritten oder von Fischer Panda GmbH anerkannt sind. Ist der Kunde Unternehmer, ist 

er zur Ausübung eines Zurückbehaltungsrechts nur befugt, wenn sein Gegenanspruch aus demselben 

Vertragsverhältnis stammt und unbestritten oder rechtskräftig festgestellt ist. 

1.3 Lieferzeit 

1.3.1 Die Lieferfrist beginnt mit der Absendung der dem Angebot entsprechenden Auftragsbestätigung, 

jedoch nicht vor der Beibringung der vom Kunden zu beschaffenden Unterlagen, Genehmigungen, Freigaben 

und Abklärung aller technischen Fragen sowie vor Eingang einer gegebenenfalls fälligen Anzahlung. 

1.3.2 Die Lieferfrist ist eingehalten, wenn bis zu ihrem Ablauf der Liefergegenstand das Werk verlassen 

hat oder die Versandbereitschaft mitgeteilt ist. Soweit eine Abnahme zu erfolgen hat, ist - außer 

bei berechtigter Abnahmeverweigerung - der Abnahmetermin maßgebend, hilfsweise die Meldung der 

Abnahmebereitschaft. Die Einhaltung der Lieferfrist steht unter dem Vorbehalt richtiger und rechtzeitiger 

Selbstbelieferung. Fischer Panda GmbH ist berechtigt, vom Vertrag zurückzutreten, soweit Fischer 

Panda GmbH trotz des vorherigen Abschlusses eines Einkaufsvertrages den Liefergegenstand nicht erhält. 

Sich abzeichnende Verzögerungen bzw. die Nichtlieferung teilt Fischer Panda GmbH dem Kunden 

unverzüglich mit. und wird im Falle eins Rücktritts eine bereits erhaltene Gegenleistung unverzüglich 

zurückerstatten. 

1.3.3 Die Lieferfrist verlängert sich angemessen bei Maßnahmen im Rahmen von Arbeitskämpfen, insbesondere 

Streik und Aussperrung sowie beim Eintritt unvorhergesehener Hindernisse, die von Fischer 

Panda GmbH nicht beeinflusst werden können, soweit solche Hindernisse nachweislich auf die 

Fertigstellung oder Ablieferung des Liefergegenstandes von Einfluss sind. Dies gilt auch, wenn diese 

Umstände bei Zulieferern eintreten. Die vorbezeichneten Umstände sind auch dann nicht von Fischer 

Panda GmbH zu vertreten, wenn sie während eines bereits vorliegenden Verzuges entstehen. 

Beginn und Ende derartiger Hindernisse wird Fischer Panda GmbH dem Kunden so schnell wie möglich 

mitteilen.

1.3.4 Kommt Fischer Panda GmbH in Verzug, so hat der Kunde Fischer Panda GmbH eine angemessene 

Nachfrist zu setzen. Erfolgt die Lieferung nicht bis zum Ablauf der Nachfrist, so kann der Kunde vom 

Vertrag zurücktreten und Schadensersatzansprüche nach Maßgabe des nachstehenden Abschnitts 8 

geltend machen. 

1.3.5 Wird der Versand auf Wunsch des Kunden verschoben, so werden ihm, beginnend einen Monat 

nach Anzeige der Versandbereitschaft, die durch die Lagerung entstandenen Kosten bei Lagerung im 

Werk von Fischer Panda GmbH, mindestens jedoch 1% des Rechnungsbetrages für jeden Monat berechnet. 

Fischer Panda GmbH ist jedoch berechtigt, nach Setzung und fruchtlosem Verlauf einer angemessenen 

Frist anderweitig über den Liefergegenstand zu verfügen. 

1.3.6 Die Einhaltung der Lieferfrist setzt weiter die rechtzeitige und ordnungsgemäße Erfüllung der 

Verpflichtung des Kunden voraus. Die Einrede des nicht erfüllten Vertrages bleibt vorbehalten. 

1.4 Gefahrübergang und Entgegennahme 

1.4.1 Ist der Kunde Unternehmer, geht die Gefahr auf den Kunden über, wenn der Liefergegenstand das 

Werk verlassen hat, und zwar auch dann, wenn Teillieferungen erfolgen oder Fischer Panda GmbH noch 

andere Leistungen, z.B. die Anlieferung und Aufstellung des Liefergegenstandes vor Ort übernommen 

hat. Auf Wunsch des Kunden kann auf seine Kosten die Sendung durch Fischer Panda GmbH gegen 

Diebstahl-, Bruch-, Transport-, Feuer- und Wasserschäden sowie sonstige versicherbare Risiken versichert 

werden. Dies muss jedoch ausdrücklich schriftlich verlangt worden sein. 

1.4.2 Ist der Kunde Unternehmer und verzögert sich oder unterbleibt der Versand infolge von Umständen, 

die Fischer Panda GmbH nicht zuzurechnen sind, so geht die Gefahr vom Tag der Meldung 

über die Versandbereitschaft auf den Kunden über. Fischer Panda GmbH ist berechtigt, den Liefergegenstand 

auf Kosten des Kunden gegen Diebstahl-, Bruch-, Feuer-, Wasser- und sonstige Schäden zu 

versichern, sofern nicht der Kunde selbst die Versicherung nachweislich abgeschlossen hat. 

1.4.3 Angelieferte Gegenstände sind, auch wenn sie Mängel aufweisen, vom Kunden unbeschadet der 

Rechte aus Abschnitt 1.6 zunächst entgegenzunehmen. 

1.5 Eigentumsvorbehalt 

1.5.1 Ist der Kunde Verbraucher behält sich Fischer Panda GmbH das Eigentum an den Liefergegenständen 

bis zur vollständigen Zahlung des Kaufpreises vor. 

1.5.2 Ist der Kunde Unternehmer behält sich Fischer Panda GmbH das Eigentum an den Liefergegenständen 

vor, bis sämtliche Forderungen von Fischer Panda GmbH gegen den Kunden aus der Geschäftsverbindung 

einschließlich der künftig entstehenden Forderungen auch aus gleichzeitig oder später abgeschlossenen 

Verträgen beglichen sind, auch wenn die konkreten Liefergegenstände bereits bezahlt 

wurden. Dieses gilt auch, wenn einzelne oder sämtliche Forderungen von Fischer Panda GmbH in eine 

laufende Rechnung aufgenommen wurden und der Saldo gezogen und anerkannt ist. 

Der Kunde ist berechtigt, den Liefergegenstand im ordentlichen Geschäftsgang weiter zu verkaufen 

Er tritt für den Fall der Weiterveräußerung der Vorbehaltsware schon jetzt bist zur Erfüllung aller 

Ansprüche der Fischer Panda GmbH, die ihm aus den genannten Geschäften entstehenden Forderungen 

gegen seine Kunden zur Sicherheit ab. Bei einer Verarbeitung der Vorbehaltsware, ihrer Umbildung

oder ihrer Verbindung mit einer anderen Sache erwirbt Fischer Panda GmbH unmittelbar Eigentum an 

der hergestellten Sache. Diese gilt als Vorbehaltsware. Zur Einziehung dieser Forderungen ist der Kunde 

auch nach der Abtretung berechtigt. Die Befugnis von Fischer Panda GmbH, die Forderungen selbst 

einzuziehen, bleibt hiervon unberührt; jedoch verpflichtet sich Fischer Panda GmbH, die Forderungen 

nicht einzuziehen, solange der Kunde seinen Zahlungsverpflichtungen ordnungsgemäß nachkommt, 

nicht in Zahlungsverzug gerät und insbesondere kein Antrag auf Eröffnung eines Insolvenzverfahrens 

gestellt ist oder Zahlungseinstellung vorliegt. Fischer Panda GmbH kann verlangen, dass der Kunde die 

ihr abgetretenen Forderungen und dessen Schuldner bekannt gibt, alle zum Einzug erforderlichen Angaben 

macht, die dazugehörenden Unterlagen aushändigt und den Schuldnern die Abtretung mitteilt. 

Wird der Liefergegenstand zusammen mit anderen Waren, die Fischer Panda GmbH nicht gehören, 

weiterverkauft, so gilt die Forderung des Kunden gegen den Abnehmer in Höhe des zwischen Fischer 

Panda GmbH und dem Kunden vereinbarten Lieferpreis als abgetreten. Der Eigentumsvorbehalt und 

andere Fischer Panda GmbH zustehenden Sicherungen, gelten bis zur vollständigen Freistellung von Fischer 

Panda GmbH aus eventuellen Verbindlichkeiten, die Fischer Panda GmbH im Interesse des Kunden 

eingeht. Übersteigt der Wert der Sicherung die Ansprüche von Fischer Panda GmbH gegen den Kunden 

um mehr als 20 %, so hat Fischer Panda GmbH auf Verlangen des Kunden und nach Wahl von Fischer 

Panda GmbH ihr zustehende Sicherheiten in entsprechendem Umfang freizugeben. 

1.5.3 Der Kunde darf den Liefergegenstand weder verpfänden noch zur Sicherung übereignen. Über 

Zwangsvollstreckungsmaßnahmen Dritter in die Vorbehaltsware hat der Kunde Fischer Panda GmbH 

unverzüglich unter Übergabe der für eine Intervention notwendigen Unterlagen zu unterrichten; dies 

gilt auch für Beeinträchtigungen sonstiger Art. Unabhängig davon hat der Kunde bereits im Vorhinein 

die Dritten auf die an der Ware bestehenden Rechte hinzuweisen. Der Kunde hat die Kosten einer Intervention 

von Fischer Panda GmbH zu tragen, soweit der Dritte nicht in der Lage ist, diese zu erstatten. 

1.6 Haftung für Mängel der Lieferung/Gewährleistung 

1.6.1 Ist der Kunde Verbraucher, haftet Fischer Panda GmbH bei Vorliegen eines Mangels nach den 

gesetzlichen Vorschriften. 

1.6.2 Ist der Kunde Unternehmer setzen die Gewährleistungsrechte des Kunden voraus, dass dieser 

seinen Untersuchungs- und Rügepflichten (§ 377 HGB) unverzüglich nachgekommen ist. Etwa aufgetretene 

Mängel sind in möglichst nachvollziehbarer Weise zu dokumentieren und unter Beifügung aller 

erforderlichen Unterlagen zu beschreiben. Im Falle einer ordnungsgemäßen Rüge wird Fischer Panda 

GmbH wie folgt Nacherfüllung leisten: 

1.6.2.1 Im Rahmen der Nacherfüllung ist Fischer Panda GmbH berechtigt, den Mangel nach seiner Wahl 

durch Nachbesserung zu beseitigen oder Ersatz zu leisten. Ersetzte Teile werden Eigentum von Fischer 

Panda GmbH. Fischer Panda GmbH stehen mindestens zwei Nacherfüllungsversuche zu. 

1.6.2.2 Zur Durchführung aller Fischer Panda GmbH notwendig erscheinender Ausbesserungen und 

Ersatzlieferungen hat der Kunde nach Verständigung mit Fischer Panda GmbH die erforderliche Zeit 

und Gelegenheit zu geben; sonst ist Fischer Panda GmbH von der Mängelhaftung befreit. In dringenden 

Fällen der Gefährdung der Betriebssicherheit und zur Abwehr unverhältnismäßig großer Schäden oder, 

wenn Fischer Panda GmbH mit der Beseitigung des Mangels in Verzug ist, kann dem Kunden das Recht 

zugestanden werden, den Mangel selbst oder durch Dritte beseitigen zu lassen und von Fischer Panda 

GmbH Ersatz der notwendigen Kosten zu verlangen, jedoch nur nach zuvor schriftlich vorliegender

Einverständniserklärung durch Fischer Panda GmbH. 

1.6.2.3 Im Gewährleistungsfall muss der Kunde den Liefergegenstand unverzüglich an das Werk von Fischer 

Panda GmbH zurücksenden. Fischer Panda GmbH trägt die Kosten der Rücksendung sowie die Kosten 

des günstigsten Versandes des nachgebesserten Liefergegenstandes oder des Ersatzstückes. Wenn 

sich die Beanstandung als berechtigt herausstellt, trägt Fischer Panda die Kosten des Ersatzstückes ab 

Werk. Falls Liefergegenstände (Stromerzeuger und andere Aggregate und Komponenten) fest eingebaut 

werden und der Ausbau oder die Rücksendung an Fischer Panda GmbH nicht oder nur mit einem 

unverhältnismäßig großen Aufwand durchführbar ist, kann vereinbart werden, dass zur Beseitigung 

eines Mangels u. U. auch ein Techniker von Fischer Panda GmbH oder einer autorisierten Vertragsfirma 

die Reparatur vor Ort durchführt. Mit Ausnahme der Kosten für das Ersatzstück, zuzüglich eventuell 

günstigster anfallender Versandkosten, trägt der Kunde alle übrigen Kosten einschließlich der Reiseund 

der Montagekosten. Etwa anfallende Einbaukosten und/oder Ausbaukosten werden von Fischer 

Panda GmbH nicht übernommen. 

1.6.3 Ist Fischer Panda GmbH mit der Nacherfüllung innerhalb einer angemessenen, vom Kunden gesetzten 

Frist nicht erfolgreich, schlägt die Nacherfüllung auch nach mehreren Nacherfüllungsversuchen 

endgültig fehl oder lehnt Fischer Panda GmbH eine Nacherfüllung ab, ist der Kunde berechtigt, Herabsetzung 

der vereinbarten Vergütung und Aufwendungsersatz zu verlangen oder vom Vertrag zurückzutreten. 

Liegt nur ein unerheblicher Mangel vor, steht dem Kunden lediglich ein Recht zur Minderung 

der Vergütung zu. 

1.6.4 Für Mängel, die durch ungeeignete oder unsachgemäße Verwendung bzw. fehlerhafte Montage 

oder Inbetriebsetzung durch den Kunden oder von Fischer Panda GmbH nicht beauftragte oder autorisierte 

Dritte, natürliche Abnutzung, fehlerhafte oder nachlässige Behandlung, nicht ordnungsgemäße 

Wartung, ungeeignete Betriebsmittel, mangelhafte Bauarbeiten, ungeeigneten Baugrund, chemische, 

elektrochemische oder elektrische Einflüsse, sofern sie nicht von Fischer Panda GmbH zu vertreten 

sind, entstanden sind, übernimmt Fischer Panda GmbH keine Gewähr. Bessert der Kunde oder ein Dritter 

unsachgemäß nach, besteht keine Haftung von Fischer Panda GmbH für die daraus entstehenden 

Folgen. Gleiches gilt für ohne Zustimmung von Fischer Panda GmbH vorgenommene Änderungen des 

Liefergegenstandes. 

1.6.5 Ist der Kunde Verbraucher, beträgt die Verjährungsfrist für Mängelansprüche bei Lieferung neuer 

Sachen zwei Jahre, bei Lieferung gebrauchter Sachen ein Jahr. Die Frist beginnt mit Gefahrübergang. 

Dies gilt nicht, soweit es sich um Schadensersatzansprüche wegen Mängeln handelt. Für Schadensersatzansprüche 

wegen eines Mangels gilt Ziff. 1.8. 

1.6.6 Ist der Kunde Unternehmer, beträgt die Gewährleistungsfrist immer ein Jahr. Die Verjährungsfrist 

im Falle eins Lieferregresses nach den §§ 478, 479 BGB bleibt unberührt. Dies gilt nicht, soweit es 

sich um Schadensersatzansprüche wegen Mängeln handelt. Für Schadensersatzansprüche wegen eines 

Mangels gilt Ziff. 1.8.

1.7 Inbetriebsetzung 

1.7.1 Die bei Inbetriebsetzung entstehenden Aufwendungen für Monteur- und Auslösungssätze trägt 

der Kunde, insbesondere auch für Überstunden, Sonn- und Feiertagsarbeit nach dem Recht der Bundesrepublik 

Deutschland. Reise- und Wegezeiten gelten als Arbeitszeit. 

1.7.2 Die Kosten für Hin- und Rückfahrt sowie für die Beförderung von Werkzeug und sonstigen Hilfsmitteln 

sowie des Reisegepäcks trägt der Kunde. 

1.8 Haftung für Schäden 

1.8.1 Die Haftung von Fischer Panda GmbH für vertragliche Pflichtverletzungen sowie aus Delikt ist auf 

Vorsatz und grobe Fahrlässigkeit beschränkt. Dies gilt nicht bei Verletzung von Leben, Körper und Gesundheit 

des Kunden, Ansprüchen wegen der Verletzung von Kardinalpflichten, d. h. von Pflichten, die 

sich aus der Natur des Vertrages ergeben und bei deren Verletzung die Erreichung des Vertragszwecks 

gefährdet ist, Ansprüchen aus Produkthaftung und Ersatz von Verzugsschäden (§ 286 BGB). Insoweit 

haftet Fischer Panda GmbH für jeden Grad des Verschuldens. Der vorgenannte Haftungsausschluss gilt 

ebenfalls für leicht fahrlässige Pflichtverletzungen von Erfüllungsgehilfen von Fischer Panda GmbH. Soweit 

eine Haftung für Schäden, die nicht auf der Verletzung von Leben, Körper oder Gesundheit des 

Kunden beruhen für leichte Fahrlässigkeit nicht ausgeschlossen ist, verjähren derartige Ansprüche innerhalb 

eines Jahres beginnend mit der Entstehung des Anspruchs bzw. bei Schadensersatzansprüchen 

wegen eines Mangels ab Übergabe der Sache. Soweit die Schadensersatzhaftung gegenüber Fischer 

Panda GmbH ausgeschlossen oder eingeschränkt ist, gilt dies auch im Hinblick auf die persönliche 

Schadensersatzhaftung von Angestellten, Arbeitnehmern, Mitarbeitern, Vertreten und Erfüllungsgehilfen 

von Fischer Panda GmbH. 

1.9 Vertragsannullierung 

1.9.1 Falls der Kunde von einem Vertrag unberechtigt zurücktritt, ist Fischer Panda GmbH, unbeschadet 

der Geltendmachung eines tatsächlich höheren Schadens, berechtigt, 10 % des Bruttoauftragswertes 

für die durch die Bearbeitung des Vertrages entstandenen Kosten und den entgangenen Gewinn geltend 

zu machen. Dem Kunden bleibt vorbehalten, nachzuweisen, dass Fischer Panda GmbH ein geringerer 

oder gar kein Schaden entstanden ist. 

1.10 Anwendbares Recht und Gerichtsstand 

1.10.1 Soweit sich aus dem Vertrag nichts anderes ergibt, ist Erfüllungs- und Zahlungsort der Geschäftssitz 

von Fischer Panda GmbH. Die gesetzlichen Regelungen über die Gerichtsstände bleiben unberührt, 

soweit sich nicht aus der nachstehenden Sonderregelung der nachstehenden Ziff. 1.10.3 etwas anderes 

ergibt. 

1.10.2 Für diesen Vertrag gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN- 

Kaufrechts. 

1.10.3 Ausschließlicher Gerichtsstand ist bei Verträgen mit Kaufleuten, juristischen Personen des öffentlichen 

Rechts oder öffentlich rechtlichen Sondervermögen das für den Geschäftssitz von Fischer Panda 

GmbH zuständige Gericht. Fischer Panda GmbH ist jedoch berechtigt, den Kunden an seinem allgemeinen 

Gerichtsstand zu verklagen.

Fischer Panda GmbH gewährt für diesen Generator dem Kunden zusätzlich zu seinen Rechten gegenüber 

dem 

Verkäufer auf Gewährleistung zu folgenden Bedingungen eine Herstellergarantie. 

1.1 Garantievoraussetzungen 

Wichtige Voraussetzung für die Garantieleistung: 

Mit dem Generator wird in den technischen Unterlagen ein Formular „Antrag auf Registrierung und 

Ausstellung der Garantieurkunde“ mitgeliefert. Dieses Formular muss sorgfältig ausgefüllt werden und 

innerhalb von 2 Wochen nach dem Einbau des Generators bei Fischer Panda GmbH eingegangen sein. 

Dies gilt für alle Aggregate. 

Es muss eine ordnungsgemäße Installation gemäß den Installationsanweisungen im Handbuch und Sicherheitshinweisen 

von Fischer Panda GmbH vorgenommen worden sein. Die vorgeschriebene Inbetriebnahmeinspektion 

mit der Aufzeichnung der im mitgelieferten Inbetriebnahmeprotokoll aufgeführten 

Parameter muss durchgeführt worden sein. 

Die weiteren Inspektionen müssen gemäß Vorschrift durchgeführt und in das Formblatt eingetragen 

worden sein. Der Benutzer ist verpflichtet, täglich den Ölstand zu prüfen und dabei eine „Sicht- 

Inspektion“ gemäß Betriebsanleitung bzw. Checkliste durchzuführen. 

1.2 Garantiedauer 

Fischer Panda GmbH garantiert fehlerfreies Material und einwandfreien Betrieb des Generators für 

einen Zeitraum von 24 Monaten ab Lieferdatum ab Werk Paderborn. Die Garantiezeit ist auf 12 Monate 

begrenzt, wenn der Generator gewerblich (also nicht zu privaten Zwecken) genutzt wird. Die Frist beginnt 

mit dem Lieferdatum des Generators ab Werk Fischer Panda GmbH und ist auf eine maximale 

Betriebsstundenzahl von 1.000 Stunden begrenzt. Für die in Ziff. 1.5 dieser Garantiebedingungen 

genannten Teile des wassergekühlten elektrischen Panda Asynchrongenerators wird die Garantie auf 

einen Zeitraum von 5 Jahren erweitert. Diese erweiterte Garantiezeit ist allerdings Einschränkungen 

unterworfen, die unter Ziff. 1.5 dieser Garantiebedingungen näher genannt sind. Im Übrigen sind die 

nachfolgend aufgeführten Bestimmungen von Fischer Panda GmbH verbindlich. 

1.3 Garantieleistungen 

Wenn Garantiearbeiten erforderlich sind, ist der Kunde verpflichtet, nach Wahl von Fischer Panda 

GmbH den Generator auf seine Kosten bei einer von Fischer Panda GmbH autorisierten und jeweils 

individuell benannten Kundendienststelle vorzustellen oder an die Fischer Panda GmbH direkt einzusenden.Sofern 

der Generator in einem Fahrzeug eingebaut ist (Landfahrzeug, Wasserfahrzeug etc.), ist 

mit Fischer Panda GmbH im Garantiefall konkret zu verabreden, wo und wie die Reparaturarbeiten 

vorgenommen werden können. Grundsätzlich ist der Kunde verpflichtet, das Fahrzeug oder den Generator 

zum Sitz von Fischer Panda GmbH nach Paderborn zu bringen. In jedem Falle kann Fischer Panda 

GmbH entscheiden, ob eine Reparatur an ihrem Geschäftssitz oder an einem anderen Ort durch einen 

autorisierten Partner von Fischer Panda GmbH ausgeführt werden soll. Wenn der Kunde verlangt, dass 

ein Monteur zum Objekt anreist, sind in jedem Falle die Reisekosten vom Kunden zu tragen. Hierzu ge-

hören auch die für die Reise erforderliche Arbeitszeit sowie die Reisespesen (Übernachtung, Tagegeld). 

Sofern in besonderen Fällen Garantiearbeiten an Bord von Fahrzeugen am Standort des Fahrzeuges 

durchgeführt werden, muss der Kunde dafür sorgen, dass sowohl das Fahrzeug als auch der Generator 

einwandfrei zugänglich sind und dass angemessene und zumutbare Arbeitsbedingungen gegeben sind. 

Hierzu gehört auch, dass das Fahrzeug ab 7.00 Uhr morgens bis 20.00 Uhr abends für Arbeiten frei zur 

Verfügung steht. 

Der Kunde kann nach Genehmigung auch nach Absprache mit Fischer Panda GmbH defekte Teile vor 

Ort ausbauen. Diese müssen auf Verlangen kostenfrei zu Fischer Panda GmbH oder zu einer anderen, 

von Fischer Panda GmbH benannten Adresse eingesandt werden. Sie werden nach Überprüfung nach 

Wahl von Fischer Panda GmbH ausgetauscht oder repariert und auf Gefahr und Kosten des Kunden 

zurückgesandt. 

Für den Fall, dass ein Teil ausgetauscht wird, geht das defekte Teil in das Eigentum von Fischer Panda 

GmbH über. Wenn Reparaturen nicht durch Fischer Panda GmbH an deren Sitz durchgeführt werden 

können, hat der Kunde zunächst alle Kosten der Reparatur zu verauslagen. Die Kosten für das defekte 

Teil zuzüglich eventuell günstigster anfallender Versandkosten übernimmt Fischer Panda GmbH. Die 

Reisekosten sowie Ein- und Ausbaukosten trägt der Kunde. 

Die Ausführung von Garantieleistungen bewirkt weder eine Verlängerung noch einen Neubeginn der 

Garantiezeit. 

1.4 Erlöschen der Garantie 

Die Garantieverpflichtung erlischt, wenn 

• der Kunde den aufgetretenen Fehler nicht unverzüglich bei Fischer Panda GmbH anzeigt, 

• der Kunde Fischer Panda GmbH nicht unverzüglich die Möglichkeit gibt, den aufgetretenen Fehler 

zu reparieren. (Der Kunde ist insoweit zur Mitwirkung der Behebung der Fehler verpflichtet. Hierzu 

gehört auch, dass er defekte Teile in eigener Verantwortung ausbauen lassen muss, um sie auf seine 

Kosten an Fischer Panda GmbH zur Reparatur einzusenden, oder das Fahrzeug, falls das Aggregat 

mobil installiert wurde, bei Fischer Panda GmbH vorzustellen), 

• der Fehler auf Überlastung oder falsche Betriebsbedingungen zurückzuführen ist, 

• die erforderlichen Service- und Wartungsarbeiten nicht durchgeführt worden sind, 

• die Überwachungs- und Abschaltfunktionen des Generators nicht wirksam werden konnten, weil 

sie durch Abziehen oder Beschädigen der Kabel außer Betrieb genommen wurden oder weil sie aus 

sonstigen Gründen nicht in Betrieb waren, 

• die Einbauvorschriften nicht beachtet worden sind. 

• Der Garantieanspruch erlischt ebenfalls, wenn 

• eine nicht autorisierte Servicestelle Reparaturarbeiten an dem Generator oder der


Systembaugruppe vornimmt oder 

• Teile verwendet wurden, die nicht von Fischer Panda GmbH geliefert wurden oder 

• Teile verwendet wurden, die modifiziert sind und nicht von Fischer Panda GmbH geprüft sind oder 

• bei Einbaugeneratoren das Kühlsystem nicht den im Handbuch aufgeführten Erfordernissen 

entspricht, 

• der Antrag auf Registrierung und Ausstellung der Garantieurkunde nicht fristgerecht bei Fischer 

Panda GmbH 

eingegangen oder unvollständig ist, 

• im Testprotokoll Temperaturdaten von den von Fischer Panda GmbH vorgegebenen Maximalwerten 

abweichen, 

• bei Aggregaten mit einer Nennleistung ab 25kVA die erforderliche Installationsabnahme durch einen 

autorisierten 

Händler nicht durchgeführt wurde, 

• wesentliche Hinweise in der Installationsanweisung nicht beachtet worden sind. 

Weiterhin entfällt der Garantieanspruch in allen Fällen höherer Gewalt oder Kriegseinwirkung. 

1.5 Erweiterte Garantie 

Erweiterte Garantie für FISCHER PANDA Generatoren - 5 Jahre ab Kaufdatum: 

Für den elektrischen Teil des Generators (Stator mit Wicklung, Generatorgehäuse, Gehäuseabdichtung 

mit allen wasserführenden Teilen) wird eine Garantie von fünf Jahren gegeben. Diese erweiterte Garantie 

umfasst alle Schäden, die an den oben genannten Teilen durch die Einwirkung von Kühlwasser 

entstehen. 

Fischer Panda GmbH entscheidet nach ihrer Wahl, ob sie repariert oder kostenlos ein Ersatzteil zur Verfügung 

stellt. Alle Teile müssen ausgebaut und frachtfrei an Fischer Panda GmbH eingesandt werden. 

Es sind Schäden ausgeschlossen, die durch Temperaturüberlastung des Generators, durch das Versagen 

von Bauteilen, durch normalen Verschleiß oder durch Ausfall von Peripherie-Aggregaten, Wasserpumpen, 

Wasserzulauf, automatische Abschalteinrichtungen usw. entstehen. 

Aufwendungen für Arbeitszeit etc. zum Ein- und Ausbauen der Aggregate sind von dieser erweiterten 

Garantie nur insoweit erfasst, als für die Arbeit ein Pauschalbetrag verrechnet wird, der sich an der 

Arbeitszeit orientiert, die zu erwarten ist, wenn die Reparatur von einem erfahrenen Monteur bei guter 

Zugänglichkeit des Objektes entstehen würde. 

Ausgenommen sind auch solche Schäden, die durch Fremdeinwirkung, unsachgemäße Kompensation 

oder 

Überkompensation mit Kondensatoren entstehen. 

Zusätzliche Garantieleistungen sind möglich und können den erweiterten Fischer Panda Garantiepaketen 

entnommen werden.

1.6 Anwendbares Recht, Gerichtsstand 

Soweit sich aus diesen Garantiebedingungen nichts anderes ergibt, ist Erfüllungsort der Geschäftssitz 

von Fischer Panda GmbH. Die gesetzlichen Regelungen über die Gerichtsstände bleiben unberührt, 

soweit sich nicht aus der nachstehenden Sonderregelung etwas anderes ergibt. 

Für diese Garantiebedingungen gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des 

UN- Kaufrechts. 

Ausschließlicher Gerichtsstand ist bei Kaufleuten, juristischen Personen des öffentlichen Rechts oder 

öffentlich rechtlichen Sondervermögen das für den Geschäftssitz von Fischer Panda GmbH zuständige 

Gericht. Fischer Panda GmbH ist jedoch berechtigt, den Kunden an seinem allgemeinen Gerichtsstand 

zu verklagen
