Mr. M<strong>in</strong>or is a lawyer and <strong>the</strong> former CEo of aol Europe Services. He has published numerous articles<br />

on legal issues impact<strong>in</strong>g e-commerce bus<strong>in</strong>esses <strong>in</strong> Europe, <strong>in</strong>clud<strong>in</strong>g tax, <strong>in</strong>ternet privacy<br />

law, and corpor<strong>at</strong>e governance, and promotes luxembourg as an e-commerce jurisdiction. His<br />

first book, VAT on Electronically Supplied Services <strong>to</strong> EU Consumers: A Practical Compliance Guide<br />

for Cross-Border Supplies, <strong>was</strong> published <strong>in</strong> 2012.<br />

It <strong>was</strong> recently announced th<strong>at</strong> <strong>the</strong><br />

U.S. <strong>in</strong>tends <strong>to</strong> <strong>be</strong>g<strong>in</strong> negoti<strong>at</strong>ions<br />

on a Trans<strong>at</strong>lantic Trade and Investment<br />

Partnership with <strong>the</strong> EU. As an<br />

American bus<strong>in</strong>ess person, wh<strong>at</strong> is<br />

<strong>the</strong> view <strong>to</strong>wards Europe <strong>in</strong> general –<br />

and Luxembourg specifically – as a<br />

bus<strong>in</strong>ess loc<strong>at</strong>ion?<br />

Personally, I wish <strong>the</strong>re were more<br />

trade <strong>be</strong>tween <strong>the</strong> U.S. and Europe<br />

and hope this agreement will enhance<br />

th<strong>at</strong>. In fact, I expect it <strong>to</strong> do so. The<br />

strong commercial ties <strong>to</strong> Europe have<br />

<strong>be</strong>en overshadowed <strong>in</strong> <strong>the</strong> past decade<br />

by an <strong>in</strong>creased focus on Ch<strong>in</strong>a <strong>in</strong> <strong>the</strong><br />

U.S. The digital economy will drive<br />

a new gener<strong>at</strong>ion of trad<strong>in</strong>g rel<strong>at</strong>ionships<br />

<strong>be</strong>tween Europe and <strong>the</strong> U.S.<br />

Just <strong>be</strong>ne<strong>at</strong>h <strong>the</strong> surface of everyday<br />

public consciousness is a struggle<br />

<strong>be</strong>tween <strong>the</strong> U.S. and EU over <strong>in</strong>ternet<br />

privacy rules. Interested parties<br />

will no doubt use <strong>the</strong>se negoti<strong>at</strong>ions<br />

<strong>to</strong> drive privacy agendas as well. Luxembourg,<br />

more than any o<strong>the</strong>r EU<br />

country <strong>in</strong> <strong>the</strong> last 10 years, has cre<strong>at</strong>ed<br />

almost from scr<strong>at</strong>chan<strong>at</strong>tractive<br />

loc<strong>at</strong>ion for e-commerce bus<strong>in</strong>esses.<br />

It is not just about <strong>the</strong> f<strong>in</strong>ance sec<strong>to</strong>r<br />

anymore.<br />

Through AOL’s <strong>in</strong>vestment, you<br />

helped cre<strong>at</strong>e <strong>the</strong> e-commerce economy<br />

<strong>in</strong> Luxembourg and have <strong>be</strong>en<br />

a part of th<strong>at</strong> landscape s<strong>in</strong>ce 2000.<br />

How do you see <strong>the</strong> st<strong>at</strong>e of e-commerce<br />

<strong>in</strong> <strong>the</strong> Grand Duchy <strong>to</strong>day,<br />

and wh<strong>at</strong> are your thoughts about<br />

<strong>the</strong> change <strong>in</strong> VAT rules planned for<br />

2015?<br />

We’re see<strong>in</strong>g <strong>the</strong> third phase, or consolid<strong>at</strong>ion,<br />

of <strong>the</strong> development of Luxembourg’s<br />

e-commerce economy. The<br />

first phase <strong>was</strong> <strong>the</strong> startup phase (2003-<br />

2007), <strong>the</strong> second <strong>the</strong> expansion phase<br />

(2007-2011). There’s an ideal mix of<br />

real e-commerce oper<strong>at</strong>ions here on<br />

<strong>the</strong> ground. I’m confident th<strong>at</strong> through<br />

close partnership with key bus<strong>in</strong>ess<br />

stakeholders, <strong>the</strong> government will <strong>be</strong><br />

nimble enough <strong>to</strong> ma<strong>in</strong>ta<strong>in</strong> <strong>the</strong> momentum<br />

for an important niche of <strong>the</strong> economy.<br />

I <strong>was</strong> always skeptical of <strong>the</strong> decision<br />

<strong>to</strong> <strong>in</strong>troduce new rules, given <strong>the</strong><br />

burden especially on SMEs of hav<strong>in</strong>g<br />

<strong>to</strong> comply <strong>in</strong> multiple jurisdictions, but<br />

<strong>the</strong>re were many political fac<strong>to</strong>rs <strong>at</strong> play<br />

<strong>in</strong> th<strong>at</strong> decision. Hopefully, new opportunities<br />

<strong>in</strong> Luxembourg for <strong>the</strong>se companies<br />

will emerge by or <strong>be</strong>fore 2015.<br />

You have recently written a book<br />

on VAT practice and policy for global<br />

suppliers of e-commerce services <strong>in</strong><br />

<strong>the</strong> EU. Why did you decide <strong>to</strong> write<br />

this book? Wh<strong>at</strong> feedback have you<br />

received so far?<br />

I <strong>was</strong> <strong>fortun<strong>at</strong>e</strong> <strong>to</strong> <strong>be</strong> <strong>in</strong> <strong>the</strong> <strong>right</strong><br />

<strong>place</strong> <strong>at</strong> <strong>the</strong> <strong>right</strong> <strong>time</strong> when I jo<strong>in</strong>ed<br />

AOL, a “first mover” of <strong>the</strong> U.S. e-commerce<br />

companies <strong>in</strong>vest<strong>in</strong>g <strong>in</strong> and look<strong>in</strong>g<br />

<strong>to</strong> duplic<strong>at</strong>e <strong>the</strong>ir US success <strong>in</strong><br />

Europe. My responsibilities <strong>at</strong> AOL<br />

allowed me <strong>to</strong> confront <strong>the</strong> regula<strong>to</strong>ry,<br />

commercial and fiscal challenges fac<strong>in</strong>g<br />

fast-grow<strong>in</strong>g e-commerce companies<br />

<strong>in</strong> Europe. Early on, we enjoyed an<br />

unusual amount of scrut<strong>in</strong>y from EU<br />

authorities as one of <strong>the</strong> first major US<br />

companies <strong>to</strong> set up significant <strong>in</strong>vestments<br />

<strong>in</strong> oper<strong>at</strong>ions on <strong>the</strong> ground. I<br />

often represented AOL <strong>be</strong>fore government<br />

authorities, which also <strong>in</strong>cluded<br />

educ<strong>at</strong><strong>in</strong>g <strong>the</strong>m on our bus<strong>in</strong>ess model<br />

and corpor<strong>at</strong>e culture. I noticed <strong>the</strong>re<br />

<strong>was</strong> very little <strong>in</strong>form<strong>at</strong>ion available <strong>in</strong><br />

<strong>the</strong> public doma<strong>in</strong> on <strong>the</strong> VAT compliance<br />

rules for <strong>the</strong> digital economy –<br />

and I knew th<strong>at</strong> I help could fill this<br />

gap from my experiences <strong>at</strong> AOL. The<br />

book has <strong>be</strong>en well received by VAT<br />

experts <strong>in</strong> government, public <strong>in</strong>stitutions<br />

such as <strong>the</strong> OECD, universities,<br />

and European and non-European<br />

e-commerce bus<strong>in</strong>esses. I <strong>was</strong> pleased<br />

<strong>the</strong> book could <strong>be</strong> launched through<br />

Librairie um Fieldgen, and is now available<br />

on amazon.com.<br />

You have <strong>be</strong>en <strong>in</strong> Luxembourg<br />

s<strong>in</strong>ce 2000, although you also have<br />

lived and worked <strong>in</strong> Brussels, Munich<br />

and London as well. Wh<strong>at</strong> do you<br />

most enjoy about <strong>the</strong> exp<strong>at</strong>ri<strong>at</strong>e life<br />

<strong>in</strong> Luxembourg?<br />

Wh<strong>at</strong> I have enjoyed about Luxembourg<br />

is <strong>the</strong> notion th<strong>at</strong> <strong>the</strong>re is no<br />

s<strong>in</strong>gle dom<strong>in</strong>ant n<strong>at</strong>ionality. Luxembourg<br />

truly is a melt<strong>in</strong>g pot of cultures<br />

and n<strong>at</strong>ionalities, al<strong>be</strong>it on a very small<br />

scale, and I’ve found n<strong>at</strong>ional rivalries<br />

less prevalent here. I th<strong>in</strong>k th<strong>at</strong> ensures a<br />

more welcom<strong>in</strong>genvironment forthose<br />

who come <strong>to</strong> Luxembourg seek<strong>in</strong>g success<br />

for <strong>the</strong>mselves and <strong>the</strong>ir families.<br />

And of course, each of us can contribute<br />

<strong>to</strong> this goodwill on a daily basis. Courtesy<br />

counts, especially where so many<br />

cultures overlap. I try <strong>to</strong> stay m<strong>in</strong>dful<br />

of th<strong>at</strong> every s<strong>in</strong>gle day.<br />
