BUSINESS<br />

shall become subject by reason of serv<strong>in</strong>g or hav<strong>in</strong>g served as<br />

such person, for all legal expenses reasonably <strong>in</strong>curred by them <strong>in</strong><br />

connection with any such claim or liability provided. However,<br />

that no such person shall be <strong>in</strong>demnified aga<strong>in</strong>st, or be reimbursed<br />

for, any expense <strong>in</strong>curred <strong>in</strong> connection with any such claim or<br />

liability aris<strong>in</strong>g out of their own willful misconduct or gross negligence.<br />

The amount paid <strong>to</strong> any Association Officer or Direc<strong>to</strong>r<br />

by way of <strong>in</strong>demnification shall not exceed their actual, reasonable,<br />

and necessary expenses <strong>in</strong>curred <strong>in</strong> connection with the matter<br />

<strong>in</strong>volved, and such additional amount as may be fixed by a<br />

special committee appo<strong>in</strong>ted by the Board of Dircc<strong>to</strong>rs. This right<br />

of <strong>in</strong>demnification here<strong>in</strong> before provided for shall not be exclusive<br />

of any rights <strong>to</strong> which any Direc<strong>to</strong>r or Officer of the<br />

Association may otherwise be entitled by law.<br />

ARTICLE IV<br />

ANNUAL ASSOCIATION MEMBERSHIP AND SPECIAL<br />

MEETINGS<br />

Section 1. The KWVA Annual Association Membership Meet<strong>in</strong>g<br />

will be held each year. Said date and place <strong>to</strong> be published <strong>in</strong> The<br />

Graybeards.<br />

Section 2. At any Association Membership Meet<strong>in</strong>g seventy-five<br />

(75) fifty (50) Regular members <strong>in</strong> good stand<strong>in</strong>g and <strong>in</strong> attendance<br />

shall constitute a quorum. Membership shall be checked<br />

and vote counts taken by an appo<strong>in</strong>ted Sergeant of at Arms staff.<br />

Should no quorum be present, ballots by mail vot<strong>in</strong>g <strong>to</strong> complete<br />

any membership bus<strong>in</strong>ess is authorized, with ballots mailed <strong>to</strong> all<br />

Regular members eligible <strong>to</strong> vote and at least two hundred (200)<br />

votes received as a quorum requirement. Vot<strong>in</strong>g procedures shall<br />

be followed as outl<strong>in</strong>ed <strong>in</strong> the Standard Procedure Manual SPM.<br />

Section 3. The selection of the site and dates of the follow<strong>in</strong>g<br />

year’s Annual Association Membership meet<strong>in</strong>g shall be presented<br />

<strong>to</strong> the Board of Direc<strong>to</strong>rs for approval and ratified by a majority<br />

vote of the Regular membership as outl<strong>in</strong>ed <strong>in</strong> Section 2.,<br />

above.<br />

Section 4. A simple majority of Regular members current <strong>in</strong><br />

their Association dues, and <strong>in</strong> good stand<strong>in</strong>g shall determ<strong>in</strong>e all<br />

issues, except when otherwise <strong>in</strong>dicated <strong>in</strong> these Bylaws or<br />

Robert’s Rules of Order quoted as the Parliamentary Authority <strong>in</strong><br />

Article VI. Proxy votes will shall not be permitted.<br />

Section 5. A special meet<strong>in</strong>g of the Association membership may<br />

be called by a thirty (30) day written notice by the President, or<br />

over one-half of the Board of Direc<strong>to</strong>rs Members eligible <strong>to</strong> vote<br />

or by ten (10) percent of the Regular members current <strong>in</strong> their<br />

dues and <strong>in</strong> good stand<strong>in</strong>g by affix<strong>in</strong>g their names <strong>to</strong> a petition for<br />

said meet<strong>in</strong>g. The notice call<strong>in</strong>g the meet<strong>in</strong>g shall state the bus<strong>in</strong>ess<br />

<strong>to</strong> be conducted <strong>to</strong>gether with the time and place.<br />

ARTICLE V<br />

DEPARTMENTS AND CHAPTERS<br />

I. DEPARTMENTS<br />

Section 1. Location. Each of the United States (50); which<br />

<strong>in</strong>cludes those that are designated as Commonwealths (4),<br />

(Kentucky, Massachusetts, Pennsylvania & Virg<strong>in</strong>ia); United<br />

States Terri<strong>to</strong>ries, (American Samoa, District of Columbia,<br />

Guam, Puer<strong>to</strong> Rico and Virg<strong>in</strong> Islands); are entitled <strong>to</strong> form a<br />

Department, requir<strong>in</strong>g a majority of chartered Chapters with<br />

a m<strong>in</strong>imum of three (3) chartered Chapters with<strong>in</strong> a given<br />

State, Commonwealth or Terri<strong>to</strong>ry, here<strong>in</strong>after referred <strong>to</strong> as<br />

a State. The members of one (1) Chapter <strong>in</strong> a State may elect<br />

<strong>to</strong> sponsor the Department through the Department formation<br />

process, from petition through <strong>to</strong> the grant of charter by<br />

the Association. Procedures for the process shall be <strong>in</strong>cluded<br />

<strong>in</strong> the SPM.<br />

Terri<strong>to</strong>ry (American Samoa, District of Columbia, Guam, Puer<strong>to</strong><br />

Rico and Virg<strong>in</strong> Islands), as well as a Department(s) for the<br />

nations of the United Nations Command and Korea, shall be designated<br />

as a Department upon the establishment of four (4) or<br />

more certified Chapters with<strong>in</strong> said Department.<br />

Section 2. Organization. The sponsor<strong>in</strong>g Chapter shall<br />

request the transmittal of a Department formation package<br />

from the KWVA Membership Committee Chairman. The<br />

Chairman shall send the formation package <strong>to</strong> the sponsor<strong>in</strong>g<br />

Chapter.<br />

Section 2. Organization. Upon Certification of four (4) or more<br />

Chapters with<strong>in</strong> a Department’s Jurisdiction, the National<br />

Membership Committee will supply an organizational packet and<br />

select a Chapter <strong>to</strong> proceed with an organizational meet<strong>in</strong>g. A<br />

National Charter shall be applied for and Bylaws written for<br />

approval by all Chapter eligible regular members, not <strong>in</strong>consistent<br />

with these Bylaws.<br />

Section 3. Incorporation and EIN Process<br />

A. An application shall be made dur<strong>in</strong>g the petition process<br />

<strong>to</strong> the appropriate authorities for a Certificate of<br />

Incorporation for a nonprofit corporation known as<br />

“Department of ____________, Korean War Veterans<br />

Association, Inc.”<br />

B. An application shall be made dur<strong>in</strong>g the petition process<br />

for obta<strong>in</strong><strong>in</strong>g an IRS Employee Identification Number (EIN)<br />

for bank<strong>in</strong>g purposes.<br />

Procedures for the <strong>in</strong>corporation and EIN application<br />

processes shall be <strong>in</strong>cluded <strong>in</strong> the SPM.<br />

Section 3. Incorporation. An application shall be made <strong>to</strong> the<br />

appropriate authorities for a Certificate of Incorporation for a nonprofit<br />

corporation known as “Department of ____________,<br />

Korean War Veterans Association, Inc.” and preparations made<br />

for a Department Convention and Officer election with<strong>in</strong> 180<br />

days. A packet will be supplied by the National Association <strong>to</strong><br />

guide the organizers on how <strong>to</strong> make application <strong>to</strong> the appropriate<br />

authorities for a Certificate of Incorporation as a nonprofit<br />

Corporation, an Employee Identification Number (EIN) for bank<strong>in</strong>g<br />

purposes, and for Internal Revenue Service Exempt Status as<br />

a 501 (c) 19 Veterans Organization if the Department so desires.<br />

Section 4. Officers. Each Department of the Korean War Veterans<br />

Association, Inc. will elect a Department President, Vice<br />

President(s), and elect or appo<strong>in</strong>t a Secretary, Treasurer and if so<br />

required Direc<strong>to</strong>rs, accord<strong>in</strong>g <strong>to</strong> approved Department Bylaws,<br />

prior <strong>to</strong> the end of the month of June each election term year. The<br />

results of said election shall be transmitted forthwith <strong>to</strong> the<br />

National Association Secretary. The Department President shall<br />

July - August 2009<br />
