49. Plaintiff The Variable Annuity Life Insurance Company is a financial services<br />

company. It is a Texas corporation, has its principal offices in Houston, Texas, and is an<br />

indirect, wholly-owned subsidiary of AIG Parent.<br />

50. Plaintiff Western National Life Insurance Company is a life insurance company.<br />

It is a Texas corporation, has its principal offices in Amarillo, Texas, and is an indirect, whollyowned<br />

subsidiary of AIG Parent.<br />

51. The Defendants. All of the Defendants in this action are now subsidiaries of<br />

Bank of America Corporation, including some entities that were acquired by certain Defendants<br />

by reason of a sale or transfer of all or a portion of its assets.<br />

52. The Countrywide Defendants. Defendant Countrywide Financial Corporation is<br />

a corporation organized under the laws of the State of Delaware with its principal executive<br />

offices in Calabasas, California. Countrywide Financial Corporation, itself and through its<br />

subsidiaries, engaged in mortgage lending and other real estate finance-related businesses,<br />

including mortgage lending, securities dealing, and insurance underwriting. It was the corporate<br />

parent of all of the Countrywide Defendants. Pursuant to a transaction completed on July 1,<br />

2008, Countrywide Financial was merged into a subsidiary of Bank of America Corporation. As<br />

of April 27, 2009, Countrywide Financial ceased operating under the brand name Countrywide.<br />

Now combined with Bank of America’s pre-existing mortgage and home loan business,<br />

Countrywide Financial’s main businesses operate as Bank of America Home Loans, a division of<br />

Bank of America. It acted as the seller for certain of the offerings at issue, as detailed in Exhibits<br />

1 to 349. It is a Seller Defendant.<br />

53. Defendant Countrywide Capital Markets LLC, a wholly-owned subsidiary of<br />

Countrywide Financial Corporation, is a corporation organized under the laws of the State of<br />
