MB 402: Corporate Governance and Business Law<br />

Issues, need of corporate governance code, Code of Corporate Practices, Social Responsibility of<br />

Corporates, Corporate Social Reporting, Corporate Governance and the Role of Board<br />

(BOD),Corporate Governance System Worldwide, Corporate Disclosure and Investor Protection in<br />

India.The Indian Contract Act: Essentials of a valid contract, void agreements, performance of<br />

contracts, breach of contract and its remedies, Quasi –Contracts<br />

Unit - II (8 sessions)<br />

Moral Values and Ethics: Values – Concepts, Types and Formation of Values, Ethics and Behaviour.<br />

Values of Indian Managers; Managerial Excellence through Human Values; Development of Ethics,<br />

Ethical Decision Making, Business Ethics- The Changing Environment and Stakeholder Management,<br />

Relevance of Ethics and Values in Business, Spiritual Values. Modern Business Ethics and Dilemmas,<br />

Overview of Corporate Social Responsibilities (CSR) and Sustainability.<br />

Unit - <strong>III</strong> (8 sessions)<br />

The Sale of Goods Act: Contract of sale of goods, conditions and warranties, transfer of property, rights<br />

of an unpaid seller; the negotiable instruments act: nature and types; negotiation and assignment; holder<br />

–in due course, dishonour and discharge of a negotiable instrument, arbitration<br />

Unit - <strong>IV</strong> (8 sessions)<br />

The Companies Act, 1956: Nature and types of companies; formation; memorandum and articles of<br />

association; prospectus, shares and share capital, allotment of shares<br />

Unit - V (8 sessions)<br />

Membership; borrowing powers; management and meetings; accounts and audit; compromise<br />

arrangements and reconstruction; prevention of oppression and mismanagement; winding up;<br />

Consumer Protection Act and Cyber Law; RTI Act 2005 : Purpose, Right to Information and Obligation<br />

of Public Authorities, Exemption from disclosure of information.<br />
