SELLER:<br />

South Carolina Electric & Gas Company (“SCE&G”), a SCANA Company<br />

PROPERTY OFFERED FOR SALE (“Property”):<br />

may be sold individually or in groups.<br />

9 waterfront lots in <strong>the</strong> <strong>Regatta</strong> Subdivision, <strong>Phase</strong> <strong>III</strong>. Lots<br />

SEALED BID PROCESS:<br />

Written, sealed <strong>Bid</strong>s for <strong>the</strong> Property will be accepted <strong>and</strong> must be received no later than 11:00 AM on<br />

Wednesday, September 21, 2011, at <strong>the</strong> law <strong>of</strong>fice <strong>of</strong> John F. Fisher, Esq., at The Davis, Frawley,<br />

Anderson, McCawley, Ayer, Fisher & Smith Law Firm LLC, 140 E. Main Street, Lexington, SC 29072.<br />

Mailing address is: PO Box 489, Lexington, SC, 29071.<br />

<strong>Bid</strong>s should be submitted in a sealed envelope clearly marked with <strong>the</strong> following information: BID –<br />

SCE&G PROPERTY – <strong>Regatta</strong> <strong>Phase</strong> <strong>III</strong>. All <strong>Bid</strong>s must be submitted on <strong>the</strong> <strong>Bid</strong> Sheet form attached<br />

hereto, which may be supplemented by additional page(s), <strong>and</strong> all information <strong>the</strong>reon must be completed<br />

or <strong>Bid</strong> may be considered invalid.<br />

<strong>Bid</strong>s must be received in-h<strong>and</strong> at <strong>the</strong> Davis Law Firm before 11:00 AM on Wednesday, September 21,<br />

2011. This time limitation will be strictly observed. <strong>Bid</strong>s will be opened in a closed session that afternoon<br />

by Mr. Fisher, who will certify <strong>the</strong> results. SCE&G will review <strong>the</strong> <strong>Bid</strong>s <strong>and</strong> will select <strong>the</strong> successful<br />

bidder based on terms viewed overall to be most favorable to SCE&G by Friday, September 23. The<br />

successful bidder will be notified by telephone at <strong>the</strong> number indicated on <strong>the</strong> <strong>Bid</strong> Sheet.<br />

<br />

An Agreement <strong>of</strong> Sale <strong>and</strong> Purchase (<strong>the</strong> “Agreement”) will be provided to <strong>the</strong> successful bidder <strong>and</strong> must<br />

be timely signed <strong>and</strong> delivered to <strong>the</strong> Davis Law Firm, LLC, ATTN: John F. Fisher, Esq., at 140 E. Main<br />

Street, Lexington, SC 29072, toge<strong>the</strong>r with <strong>the</strong> required earnest money, by <strong>the</strong> successful bidder, no later<br />

than 5:00 PM on September 30, 2011, unless o<strong>the</strong>rwise extended by mutual agreement <strong>of</strong> both parties..<br />

SCE&G reserves <strong>the</strong> right to accept or reject any <strong>and</strong> all <strong>of</strong>fers, for any reason or no reason in its<br />

sole discretion, <strong>and</strong> nothing contained herein shall be construed so as to impair such right.<br />

AGREEMENT OF SALE AND EARNEST MONEY DEPOSIT: The successful bidder forfeits <strong>and</strong> waives any<br />

<strong>and</strong> all rights to <strong>the</strong> Property in <strong>the</strong> event that <strong>the</strong> Agreement is not timely signed <strong>and</strong> delivered or <strong>the</strong> required<br />

Earnest Money is not timely delivered, as expressed above, <strong>and</strong> <strong>the</strong> next bidder may be contacted to<br />

consummate <strong>the</strong> sale at SCE&G’s discretion.<br />

CLOSING:<br />

The sale will close following <strong>the</strong> expiration <strong>of</strong> an Inspection Period as defined in <strong>the</strong> Agreement. Seller<br />

will be responsible for <strong>the</strong> cost <strong>of</strong> deed preparation <strong>and</strong> documentary stamp fees. Property taxes will be<br />

prorated as <strong>of</strong> <strong>the</strong> date <strong>of</strong> Closing. The successful bidder’s failure to close after <strong>the</strong> expiration <strong>of</strong> <strong>the</strong><br />

Inspection Period for any reason o<strong>the</strong>r than non-marketable title shall result in <strong>the</strong> forfeiture <strong>of</strong> <strong>the</strong><br />

payment <strong>of</strong> Earnest Money <strong>and</strong> reimbursement <strong>of</strong> out-<strong>of</strong>-pocket expenses incurred by SCE&G.<br />

This is a cash only transaction.<br />

Closing is contingent upon approval <strong>of</strong> sale by SCE&G’s Board <strong>of</strong> Directors, South Carolina Public<br />

Service Commission <strong>and</strong> any o<strong>the</strong>r applicable regulatory body, <strong>and</strong> <strong>the</strong> Parties agree to delay Closing<br />

until all required approvals are received.


TITLE: SCE&G will convey title by limited warranty deed, subject to all existing reservations, encroachments<br />

covenants, restrictions, easements, rights-<strong>of</strong>-way, zoning, governmental regulations, l<strong>and</strong> use regulations, <strong>and</strong><br />

o<strong>the</strong>r matters <strong>of</strong> record or as shown on a current plat <strong>of</strong> <strong>the</strong> Property <strong>and</strong> o<strong>the</strong>r plats <strong>of</strong> record, or conditions which<br />

may be revealed by a visual inspection <strong>of</strong> <strong>the</strong> Property.<br />

NO WARRANTY: SCE&G has not made, does not make <strong>and</strong> specifically negates <strong>and</strong> disclaims any<br />

representations, warranties, promises, covenants, agreements or guaranties <strong>of</strong> any kind or character whatsoever,<br />

whe<strong>the</strong>r express or implied, oral or written, past, present or future, <strong>of</strong>, as to, concerning or with respect to (a) <strong>the</strong><br />

value, nature, quality or condition <strong>of</strong> <strong>the</strong> Property, including, without limitation, <strong>the</strong> water, soil <strong>and</strong> geology; (b) <strong>the</strong><br />

suitability <strong>of</strong> <strong>the</strong> Property for any <strong>and</strong> all activities <strong>and</strong> uses which grantee or anyone else may conduct <strong>the</strong>reon;<br />

(c) <strong>the</strong> compliance <strong>of</strong> or by <strong>the</strong> Property or its operation with any laws, rules, ordinances or regulations <strong>of</strong> any<br />

applicable governmental authority or body; (d) <strong>the</strong> habitability, merchantability, marketability, pr<strong>of</strong>itability or fitness<br />

for a particular purpose <strong>of</strong> <strong>the</strong> Property; or (e) any o<strong>the</strong>r matter with respect to <strong>the</strong> Property, <strong>and</strong> specifically, that<br />

SCE&G has not made, does not make <strong>and</strong> specifically disclaims any representations regarding compliance <strong>of</strong> <strong>the</strong><br />

Property with any environmental protection, pollution or l<strong>and</strong> use laws, rules, regulations orders or requirements,<br />

including solid waste, or <strong>the</strong> disposal, removal or existence, adjacent, near, in or on <strong>the</strong> Property, <strong>of</strong> any<br />

hazardous substance. Any conveyance <strong>of</strong> <strong>the</strong> Property is made on an "as-is" condition <strong>and</strong> basis with all faults.<br />

The successful bidder will be required to release <strong>and</strong> holds SCE&G <strong>and</strong> its successors <strong>and</strong> assigns harmless<br />

from any responsibility or obligations with respect to compliance <strong>of</strong> <strong>the</strong> Property with any environmental laws or<br />

<strong>the</strong> disposal or existence, adjacent, near, in or on <strong>the</strong> Property, <strong>of</strong> any hazardous substance.<br />

UTILITY TAP FEES:<br />

All tap fees will be paid by <strong>the</strong> Buyer.<br />

STREET LIGHTS: Monthly billing for street lights will be billed to <strong>the</strong> Buyer on a prorated basis beginning on <strong>the</strong><br />

date <strong>of</strong> closing.<br />

SHORELINE PERMITS: Shoreline permits must be obtained by <strong>the</strong> Buyer <strong>and</strong> are contingent upon compliance<br />

with <strong>the</strong> Lake Murray Shoreline Management Program (“SMP”). Tentative approval for individual docks on Lots 1,<br />

2, 4, 5, 6, 8, 9 <strong>and</strong> 10 has been obtained from <strong>the</strong> SCE&G Lake Management Department. Lot 11 will not qualify<br />

for an individual dock permit. Specific siting <strong>and</strong> type <strong>of</strong> dock applicable to each Lot must be obtained by each<br />

Buyer through <strong>the</strong> SCE&G Lake Management Department. SCE&G will retain fee ownership <strong>of</strong> an area 75 feet<br />

from <strong>the</strong> high pool elevation along <strong>the</strong> Lake Murray shoreline as a Vegetative Buffer Zone. The vegetation within<br />

this Buffer Zone may be maintained in its present condition as provided for in <strong>the</strong> SMP. No permanent structures<br />

with <strong>the</strong> exception <strong>of</strong> permitted docks may be built within <strong>the</strong> Vegetative Buffer Zone without <strong>the</strong> express<br />

permission <strong>of</strong> SCE&G.<br />

REGATTA SUBDIVISION AMENITIES: The owners <strong>of</strong> all Lots within <strong>Regatta</strong> <strong>Phase</strong> <strong>III</strong> shall become members<br />

<strong>of</strong> <strong>the</strong> <strong>Regatta</strong> Homeowner’s Association, shall be responsible for payment <strong>of</strong> all dues <strong>and</strong> assessments<br />

associated with such membership, <strong>and</strong> shall enjoy <strong>the</strong> benefits associated with said membership. These Lots are<br />

subject to <strong>the</strong> rules <strong>and</strong> regulations <strong>of</strong> <strong>the</strong> Association <strong>and</strong> <strong>the</strong> Declaration <strong>of</strong> Covenants <strong>and</strong> Restrictions for<br />

<strong>Regatta</strong> Subdivision as amended. See copies <strong>of</strong> <strong>the</strong>se documents on l<strong>and</strong>.scana.com.<br />

BROKERAGE FEE: Buyer shall be responsible for payment <strong>of</strong> <strong>the</strong> fees <strong>of</strong> any brokerage or o<strong>the</strong>r real estate<br />

advisor or attorney that he/she/it has engaged in association with this transaction.<br />

BUYER MUST VERIFY: All information provided herein is believed to be correct but should be verified by<br />

<strong>Bid</strong>der. Personal on-site inspection <strong>of</strong> <strong>the</strong> Property is recommended prior to submission <strong>of</strong> a <strong>Bid</strong>. The failure <strong>of</strong><br />

any <strong>Bid</strong>der to inspect or to be fully informed as to <strong>the</strong> Property will not constitute grounds for any claim or dem<strong>and</strong><br />

for adjustment or withdrawal <strong>of</strong> bid, <strong>of</strong>fer or Earnest Money deposit after its opening tender.<br />
