For example, in a 1997 ICC arbitration case, the tribunal faced<br />

the plaintiff’s argument that the <strong>Principles</strong>’ h a rdship pro v i s i o n s<br />

should apply, on the grounds that they represented veritable trade<br />

usages under Article VII <strong>of</strong> the 1961 Geneva Convention on<br />

<strong>International</strong> Arbitration <strong>and</strong> former Article 13(5) <strong>of</strong> the ICC Rules<br />

<strong>of</strong> Arbitration <strong>and</strong> Conciliation, despite the existence <strong>of</strong> a choice <strong>of</strong><br />

law clause in favour <strong>of</strong> Spanish law. <strong>The</strong> tribunal decided to reject<br />

the application <strong>of</strong> the <strong>Principles</strong>, on the grounds that the <strong>Principles</strong><br />

a re applicable only where there is express choice made by the<br />

parties or in situations where the contract refers to “general<br />

principles <strong>of</strong> law”, lex mercatoria or the like. Furtherm o re, the<br />

tribunal held that the <strong>Principles</strong>’ p rovisions on hard s h i p did not<br />

correspond to the current practice <strong>of</strong> international trade 51 .<br />

Despite the resistance <strong>of</strong> Argentine conflicts rules <strong>and</strong> case-law<br />

to accept party autonomy in international contractual matters, this<br />

country bears the honor to be the first in the ME R C O S U R region to<br />

experience the application <strong>of</strong> the <strong>Principles</strong>, precisely in the context<br />

<strong>of</strong> the lex mercatoria.<br />

<strong>The</strong> <strong>Principles</strong> w e re applied in the context <strong>of</strong> an ad hoc<br />

arbitration held in 1997 in Buenos Aires to resolve a dispute<br />

between the shareholders <strong>of</strong> an Argentinean company <strong>and</strong> those <strong>of</strong><br />

a Chilean company. <strong>The</strong> parties had signed an agreement that<br />

stipulated the purchase <strong>of</strong> 85% <strong>of</strong> the Argentinean company by the<br />

Chilean company. After the conclusion <strong>of</strong> the contract, the<br />

purchaser discovered that the seller had dissimulated its liabilities<br />

<strong>and</strong> decided to suspend the payment <strong>of</strong> the remainder <strong>of</strong> the<br />

purchase price. <strong>The</strong> sellers, then, initiated the arbitration proceedings<br />

asking for full payment. <strong>The</strong> purchaser in turn asked the<br />

tribunal to confirm avoidance <strong>of</strong> the contract, to award damages<br />

or, subsidiarily, to reduce the price <strong>of</strong> the deal in proportion to the<br />

hidden debts discovered 52 .<br />

<strong>The</strong> contract had no choice <strong>of</strong> law clause <strong>and</strong> the arbitral<br />

tribunal was authorized to decide as amiable compositeur. Though<br />
