stability to international transactions increasingly deterritorialized<br />

<strong>and</strong> unconnected with a single national legal system.<br />

To this end the public sector must join the private sector’s<br />

e fforts in promoting the diffusion, acceptation <strong>and</strong> application <strong>of</strong><br />

the <strong>Principles</strong>.<br />

As guise <strong>of</strong> conclusion, we show below some <strong>of</strong> the 1999<br />

UN I D R O I T model clauses indicating the <strong>Principles</strong> as the applicable<br />

law. <strong>Contracts</strong> should also contain an arbitration agreement so as<br />

to ensure effectiveness to the choice <strong>of</strong> the <strong>Principles</strong> as the<br />

applicable law.<br />

<strong>The</strong> first suggested formula indicates the parties’ intention to<br />

submit their contract to the <strong>Principles</strong>, which can be expressed by<br />

the use <strong>of</strong> the following expressions, with the exceptions or<br />

modifications the parties should find convenient to their interests:<br />

This contract shall be ruled by the <strong>Principles</strong> <strong>of</strong> the UN I D R O I T (1994) [ u n d e r<br />

the exception <strong>of</strong> articles … ]<br />

<strong>The</strong> second suggested formula indicates the parties’ intention<br />

to supplement the adoption <strong>of</strong> the <strong>Principles</strong> with the norms <strong>of</strong> a<br />

national legal system:<br />

This contract shall be ruled by the <strong>Principles</strong> <strong>of</strong> the UN I D R O I T( 1 9 9 4 ) [ u n d e r<br />

the exception <strong>of</strong> articles …], completed, when necessary, by the laws<br />

<strong>of</strong> [country X].<br />

Considering the several alternatives for the choice <strong>of</strong> the<br />

<strong>Principles</strong> as the law applicable, partially or totally, to the contract,<br />

we can also conceive a number <strong>of</strong> variations around the model<br />

clauses above, which indicate the <strong>Principles</strong> along with the choice<br />

<strong>of</strong> a national law or international convention <strong>of</strong> uniform law (such<br />

as that <strong>of</strong> Vienna on <strong>International</strong> Purchase <strong>and</strong> Sale <strong>of</strong> Goods –<br />

1980), for the purpose <strong>of</strong> completing them or construing them.<br />

What now needs to be done is get to work <strong>and</strong> incite, among<br />

businessmen <strong>and</strong> legal practitioners, the utilization <strong>of</strong> the <strong>UNIDROIT</strong><br />

<strong>Principles</strong> <strong>of</strong> <strong>International</strong> <strong>Commercial</strong> <strong>Contracts</strong>.
