Governance Ambulance Service Victoria – operating as Ambulance Victoria (AV) - was established on 1 July 2008 to provide statewide ambulance services by amalgamating the Metropolitan Ambulance Services (MAS), Rural Ambulance Services (RAV) and Alexandra and District Ambulance Service (ADAS). The newly formed AV is bound by the Ambulance Services Act 1986, as were the former MAS, RAV and ADAS services to: • respond rapidly to requests for help in a medical emergency • provide specialised medical skills to maintain life and to reduce injuries in emergency situations and while transporting patients • provide specialised transport facilities to move people requiring emergency medical treatment • provide services for which specialised medical or transport skills are necessary • foster public education in first aid. AV reports to the Minister for Health, the Honourable Daniel Andrews, MP, through the Department of Health. Appointed by the Governor in Council on the recommendation of the Minister, the Board of Directors is responsible for the provision of comprehensive and efficient ambulance services to the people of Victoria. While organisational management is vested in the Chief Executive Officer and the executive team, the Board of Directors is accountable to the State Government and Minister for Health, for the performance of AV. The primary focus of the Board of Directors is the establishment of the strategic direction, governance and policies, together with monitoring the performance and operating efficiency of AV. The Board of Directors operates in accordance with its Policies for Board Governance and the By-Laws AV, ensuring AV meets its statutory obligations and, in doing so, meets appropriate standards of accountability and propriety. Declarations of pecuniary interest All Board of Directors and senior managers are required to lodge and update declarations of pecuniary interest in respect of their responsibilities to AV. Committees The Board of Directors operates four Board committees to support its functions along with one advisory committee. The Corporate Governance and Remuneration Committee advises the Board of Directors on governance policies and procedures that enable the AV Board of Directors to meet its policy and legislative accountabilities and fulfil its role and responsibilities. It also oversees the development and monitors the implementation of sound human resource management, employment and employee relations policies. The committee’s purpose is to: • advise the Board of Directors on governance policies and procedures that ensure the AV Board of Directors fulfils its role and responsibilities • ensure the development and monitoring of sound human resource management, employment, professional standards and employee relations policies. Membership: Jan Moffatt (Chair), Marika McMahon, Kevin Boote and John McQuilten. The Finance Committee facilitates the achievement of the AV Strategic Plan through the formulation of sound financial policy advice and strategy, and oversights financial management systems to ensure policy and legislative compliance, minimise risk and ensure longterm viability of AV through organisation-wide risk assessment and management culture. 16 AMBULANCE VICTORIA 2009 - 2010 Annual Report
