<strong><strong>Of</strong>ficial</strong> <strong>Minutes</strong><br />

<strong>Of</strong> <strong>the</strong> Board of Directors Meeting Held on<br />

April 24, 2006<br />

<strong>The</strong> meeting of <strong>the</strong> Board of Directors was called to order <strong>at</strong> 7:10 p.m. <strong>at</strong> <strong>the</strong> <strong>Pool</strong> <strong>and</strong><br />

<strong>Clubhouse</strong> <strong>at</strong> <strong>Woodcliffe</strong> <strong>Park</strong>.<br />

Introductions:<br />

Daryoosh Fard has joined <strong>the</strong> board as Doug Sunshine’s replacement. He has served on<br />

<strong>the</strong> <strong>Woodcliffe</strong> <strong>Park</strong> Board for 2 years. He has a technical background however his<br />

emphasis is in <strong>the</strong> accounting field.<br />

Laura Albero explained <strong>the</strong> process of how <strong>the</strong> executive committee is comprised of 5<br />

members. Majority se<strong>at</strong>s altern<strong>at</strong>e between <strong>the</strong> Vistas <strong>and</strong> <strong>Woodcliffe</strong> <strong>Park</strong><br />

Communities. This year, <strong>the</strong> Vistas Community has 3 se<strong>at</strong>s on <strong>the</strong> board <strong>and</strong> <strong>Woodcliffe</strong><br />

<strong>Park</strong> hold 2 se<strong>at</strong>s.<br />

Joel Weinberg wanted to stress how successful <strong>the</strong> board has been <strong>the</strong> keep <strong>the</strong> interests<br />

of <strong>the</strong>ir specific communities secondary <strong>and</strong> make decisions based on wh<strong>at</strong> is best for <strong>the</strong><br />

<strong>Pool</strong> <strong>and</strong> <strong>Clubhouse</strong> as a whole.<br />

Homeowner Forum:<br />

<strong>The</strong>re were no residents present <strong>at</strong> <strong>the</strong> meeting.<br />

EXECUTIVE SESSION:<br />

<strong>Minutes</strong> from Previous Meeting:<br />

Review of <strong>the</strong> <strong>Minutes</strong> from <strong>the</strong> March 2006 meeting will occur <strong>at</strong> <strong>the</strong> May meeting.<br />

<strong>The</strong> annual audit is in progress <strong>and</strong> should be in draft form. Once it has been completed,<br />

<strong>the</strong> draft will be mailed to board members for review.<br />

<strong>The</strong> fireplace timer install<strong>at</strong>ion will be scheduled within <strong>the</strong> next 10 days. <strong>The</strong> timer will<br />

be placed to <strong>the</strong> right of <strong>the</strong> fireplace in an inconspicuous area. Instructions will be added<br />

to <strong>the</strong> clubhouse rental document<strong>at</strong>ion to ensure residents know how to oper<strong>at</strong>e <strong>the</strong> timer.


<strong>The</strong> cabinet lock install<strong>at</strong>ions will be scheduled within <strong>the</strong> next 10 days. Be sure to have<br />

equal amounts of cabinets dedic<strong>at</strong>ed to each community.<br />

ACTION: Toni Partin to ensure work orders are scheduled prior to <strong>the</strong> next<br />

meeting.<br />

ACTION: Toni Partin to ensure document<strong>at</strong>ion for <strong>the</strong> <strong>Clubhouse</strong> Rental has<br />

been upd<strong>at</strong>ed once <strong>the</strong> timer has been installed to ensure residents know how to<br />

oper<strong>at</strong>e <strong>the</strong> timer.<br />

<strong>Pool</strong> pass issuances are moving along well. <strong>The</strong>re have been over 1,800 passes issues<br />

thus far. One glitch occurred while processing <strong>the</strong> passes; ran out of ink/ribbon. For<br />

those homeowners who could not take <strong>the</strong>ir passes home, <strong>the</strong>ir passes were processed <strong>and</strong><br />

<strong>the</strong>y were told th<strong>at</strong> <strong>the</strong> cards would be mailed to <strong>the</strong>m. Represent<strong>at</strong>ives have been<br />

printing cards <strong>and</strong> forwarding to CAS to mail to residents.<br />

ACTION: Toni Partin to report back to board when all <strong>the</strong>se outst<strong>and</strong>ing passes<br />

have been mailed.<br />

Outside Memberships:<br />

<strong>The</strong> board had a lengthy discussion about outside memberships. Some board members<br />

were concerned about overcrowding <strong>at</strong> <strong>the</strong> pool due to <strong>the</strong> fact th<strong>at</strong> <strong>the</strong> Vistas Community<br />

is competed with <strong>the</strong> exception of <strong>the</strong>ir MPDUs <strong>and</strong> approxim<strong>at</strong>ely 20 <strong>Woodcliffe</strong> <strong>Park</strong><br />

units are still outst<strong>and</strong>ing.<br />

It is believed th<strong>at</strong> <strong>the</strong> developers took into consider<strong>at</strong>ion <strong>the</strong> capacity of <strong>the</strong> pool once <strong>the</strong><br />

final build out was to be complete leaving about 20 – 50 “units”.<br />

12 outside memberships were purchased in <strong>the</strong> 2005 pool season.<br />

If <strong>the</strong> board considers outside memberships from Wildman Court (10 units), Broken Oak<br />

(20 units) <strong>and</strong> <strong>the</strong> Seneca Creek communities (79 units) we could potentially face an<br />

overcrowding issue. However if <strong>the</strong> board were to accept outside memberships Wildman<br />

Court <strong>and</strong> Broken Oak, we could be in a “safe zone”.<br />

Laura Albero suggested th<strong>at</strong> we allow those who joined last year to join again this year.<br />

O<strong>the</strong>r board members were concerned about <strong>the</strong> board discrimin<strong>at</strong>ing against<br />

homeowners whose homes were not yet built so <strong>the</strong>y believe with <strong>the</strong> Seneca Creek<br />

Community it should be all or nothing.<br />

Joel Weinberg suggested th<strong>at</strong> we will be able to obtain d<strong>at</strong>a which can verify pool usage<br />

<strong>and</strong> if <strong>the</strong> numbers are reasonable we would reconsider admittance <strong>at</strong> a pror<strong>at</strong>ed fee. This<br />

assessment can be done <strong>at</strong> June 30 th , 2006.


MOTION: Mr. Weinberg made a motion to accept outside memberships from<br />

Wildman Court <strong>and</strong> Broken Oak. Mr. Fard seconded <strong>the</strong> motion. <strong>The</strong> vote was<br />

unanimous <strong>and</strong> <strong>the</strong> motion carries.<br />

MOTION: Mrs. Albero made a motion th<strong>at</strong> $450 is <strong>the</strong> fee for outside<br />

memberships for <strong>the</strong> 2006 pool season. Mr. Weinberg seconded <strong>the</strong> motion. <strong>The</strong><br />

vote was unanimous <strong>and</strong> <strong>the</strong> motion carries.<br />

Secure storage closet is needed in <strong>the</strong> basement for <strong>the</strong> swim team <strong>and</strong> community<br />

equipment, i.e. ropes, kick boards, microphone, etc.<br />

ACTION: Linda Wildman to obtain quotes on wh<strong>at</strong> <strong>the</strong> costs are for a storage<br />

area in <strong>the</strong> basement <strong>and</strong> will provide <strong>the</strong>se numbers to <strong>the</strong> board.<br />

A proposal for guard office/wiring <strong>and</strong> install<strong>at</strong>ion of counter <strong>and</strong> slide up door. <strong>The</strong><br />

costs are $7,100.00 proposal. <strong>The</strong> clim<strong>at</strong>e control room is not possible because ano<strong>the</strong>r<br />

unit would have to be purchased. <strong>The</strong>y can however install a fan to keep it circul<strong>at</strong>ing.<br />

<strong>The</strong> board is very concerned about <strong>the</strong> price because <strong>the</strong>y were looking <strong>at</strong> an inexpensive<br />

work around until an assessment could be made about a full build out. Board has<br />

requested th<strong>at</strong> CAS obtain a breakdown of labor <strong>and</strong> m<strong>at</strong>erials <strong>and</strong> obtain a second quote.<br />

<strong>The</strong> board is aware th<strong>at</strong> time is a concern because <strong>the</strong> works needs to be completed prior<br />

to <strong>the</strong> pool’s opening.<br />

ACTION: Toni Partin/Linda Wildman to obtain breakout of labor <strong>and</strong> m<strong>at</strong>erials<br />

<strong>and</strong> obtain a second quote.<br />

Repairs to <strong>the</strong> baby pool are completed <strong>and</strong> <strong>the</strong> white co<strong>at</strong> will be completed in <strong>the</strong> near<br />

future.<br />

ACTION: Linda Wildman to notify <strong>the</strong> board when this has been completed.<br />

ACTION: Linda Wildman – has beach entrance topco<strong>at</strong> been completed?<br />

<strong>Park</strong>ing Signs have been ordered for parking lot. Arrows will be added to two of <strong>the</strong><br />

three signs.<br />
