"resident in Nigeria", in relation to a company, means a company the<br />

control and management of the business of which are exercised in<br />

Nigeria;<br />

"royalties" means and includes-<br />

(a) the amount of any rent as to which there is provision for its<br />

deduction from the amount of any royalties under an oil<br />

prospecting licence or oil mining lease to the extent that such<br />

rent is so deducted; and<br />

(b) the amount of any royalties payable under any such licence or<br />

lease less any such rent deducted from those royalties;<br />

"tax" means chargeable tax.<br />

3. Subject to the provisions of this Act-<br />

(a) the due administration of this Act and the tax shall be under<br />

the care and management of the Board who may do all such acts<br />

as may be deemed necessary and expedient for the assessment<br />

and collection of the tax and shall account for all amounts so<br />

collected in a manner to be prescribed by the Minister;<br />

(b) whenever the Board shall consider it necessary with respect to<br />

any tax due, the Board may acquire, hold and dispose of any<br />

property taken as security for or in satisfaction of any tax or of<br />

any judgment debt due in respect of any tax and shall account for<br />

any such property and the proceeds of sale thereof in a manner to<br />

be prescribed as aforesaid;<br />

(c) the Board may sue and be sued in its official name and,<br />

subject to any express provision under any subsidiary legislation<br />

or otherwise, the Board may authorise any person to accept<br />

service of any document to be sent, served upon or delivered to<br />

the Board and to represent the Board in any proceedings;<br />

(d) subject to such conditions as the Board may specify the Board<br />

may by notice in the Federal Gazette direct that any information,<br />

return or documents required to be supplied, forwarded or given<br />

to the Board may be supplied to such other person whether within<br />

or without Nigeria as the Board may direct;<br />
