Power Purchase Agreement-Fenchuganj<br />
“Commissioned” means the successful completion of the Commercial Operations Test for the<br />
Commissioning of the Facility either in Simple Cycle or Combined Cycle in accordance with, and<br />
meeting the minimum requirements stated in, Schedule 3 and, for the purposes of this<br />
Agreement, the Facility shall be Commissioned as of the date specified in a certificate issued by<br />
the Engineer as the date that such testing was completed and such minimum requirements were<br />
met;<br />
“Commissioning” means carrying out the Commercial Operations Test of the Facility as a<br />
Combined Cycle Unit;<br />
“Company True-Up Payment” bears the meaning ascribed thereto in Section 13.1(d)(i)(aa);<br />
“Construction Contract” means the <strong>agreement</strong>(s) entered into between the Company and the<br />
Construction Contractor(s) for the design, engineering, procurement, construction, completion,<br />
start-up, testing, and Commissioning of the Facility and also includes any amendment to such<br />
<strong>agreement</strong>(s) made from time to time;<br />
“Company” means [Name of Company], a [public] limited company incorporated and registered<br />
under the laws of Bangladesh, with its principal offices located in _______, ______________,<br />
Bangladesh, and its successors and permitted assigns;<br />
“Company Event of Default” has the meaning ascribed thereto in Section <strong>4.</strong>2;<br />
“Company Notice of Default” has the meaning ascribed thereto in Section <strong>4.</strong>3;<br />
“Construction Contractor(s)” means the construction company(ies), and any successor or<br />
successors thereto, appointed or to be appointed by the Company in connection with the<br />
construction of the Facility and not objected to by the GOB prior to such appointment pursuant to<br />
Section 5.2(b) of the Implementation Agreement;<br />
“Construction Start Date” means the date on which the “notice to proceed” is issued by the<br />
Company to the Construction Contractor in accordance with the provisions of the Construction<br />
Contract authorizing the Construction Contractor to commence the activities under the<br />
Construction Contract and the release of funds of not less than seven percent (7%) of the<br />
Construction Contract Price by the Company to the Construction Contractor;<br />
“Contract Year” means (a) in respect of the first Contract Year, the period commencing at the<br />
beginning of the Commercial Operations Date and ending as of the end of the Day immediately<br />
preceding the first anniversary of the Commercial Operations Date and (b) thereafter, the period<br />
commencing at the beginning of each consecutive anniversary of the Commercial Operations<br />
Date and ending as of the end of the Day preceding the next anniversary of the Commercial<br />
Operations Date;<br />
“Contracted Simple Cycle Capacity”– means the net electric <strong>power</strong> generating capacity<br />
(without the use of supplemental firing) of the Facility at Reference Site Conditions on a<br />
continuous basis that the Bidder commits to deliver, which shall be [insert MW] (net at Reference<br />
Site Conditions and at a <strong>power</strong> factor of 0.85 measured at Delivery Point).<br />
“Contracted Facility Capacity” means the net electric <strong>power</strong> generating capacity of the Facility<br />
operating as a Combined Cycle Unit on a continuous basis that the Company commits to deliver<br />
hereunder, which is [insert MW] (net at Reference Site Conditions and at a <strong>power</strong> factor of 0.85<br />
measured at Delivery Point);<br />
“Contractor(s)” means the Construction Contractor(s) and the O&M Contractor(s) and any of<br />
their direct sub-contractor(s) integrally involved in the Project;<br />
