Power Purchase Agreement-Fenchuganj<br />

(c)<br />

Between annual tests, <strong>BPDB</strong> may request two Dependable Capacity Tests if <strong>BPDB</strong><br />

believes that the currently established Dependable Capacity does not accurately reflect<br />

the capacity available to <strong>BPDB</strong>. The Company shall be entitled to two retests of any<br />

such test provided that it rejects the test within seventy-two (72) hours of completing the<br />

test. The test and, as appropriate, the retest shall be conducted in accordance with<br />

Schedule 3, within seven (7) Days of its request or, as the case may be, the rejection,<br />

and the Company shall give <strong>BPDB</strong> not less than twenty-four (24) hours notice of its<br />

intention to perform the test.<br />

(d) (i) If any annual test carried out by the Company for determining the Dependable<br />

Capacity pursuant to Section 7.2(a) above results in a Dependable Capacity<br />

lower than the Threshold Capacity, the Dependable Capacity shall be reduced to<br />

the newly tested value and the Company shall be entitled to carry out as many<br />

Dependable Capacity Tests as it may choose to carry out during the applicable<br />

Rectification Period (as defined below) until it has demonstrated a Dependable<br />

Capacity equal to or greater than the Threshold Capacity; provided, that in no<br />

event shall the Company be permitted to carry out more than one (1) test in any<br />

seven (7) Day period, and provided, further, that <strong>BPDB</strong> shall have been given by<br />

the Company at least twenty-four (24) hours’ prior notice of each such retest.<br />

(ii)<br />

In respect of any annual test referred to in Section 7.2(d)(i), above, the<br />

Rectification Period shall be an eighteen (18) month period commencing from the<br />

Day following the date on which such annual test was carried out.<br />

(e)<br />

Nothwithstanding anything to the contrary expressed or implied herein, if a Dependable<br />

Capacity Test is required and the Company has not carried out such a test by the last<br />

date on which such test is required to have been carried out herein, <strong>BPDB</strong> shall, in<br />

addition to any other right available to it hereunder, have the right on not less than<br />

twenty-four hours’ prior notice to notify the Company of the designated 6 hour testing<br />

period during which the Facility will undergo a Dependable Capacity Test. During such<br />

testing period, as notified by <strong>BPDB</strong>, the Facility shall be deemed to be Dispatched at full<br />

load and the Net Energy Output delivered during such testing period, as measured by<br />

the Metering System, shall be used to determine the Dependable Capacity effective from<br />

the Day following such test until such time as the Company has carried out a<br />

Dependable Capacity Test in accordance with this Agreement.<br />

7.3 Notice of and Compliance with Testing Procedures<br />

The Company shall carry out Commissioning of the Facility and testing of the Initial Dependable<br />

Capacity and Dependable Capacity of the Facility in accordance with Sections 7.1, 7.2, and<br />

Schedule 3. <strong>BPDB</strong> shall use its reasonable efforts to comply promptly with all reasonable<br />

requests by the Company for assistance carrying out such testing and Commissioning. <strong>BPDB</strong><br />

shall be given prior written notice of the testing or Commissioning procedure in accordance with<br />

Sections 7.1 and 7.2 and shall be entitled to be present and observe any such testing and<br />

Commissioning.<br />

7.4 Copies of Test Results<br />

The Company shall provide <strong>BPDB</strong> upon request with copies of the test results of all tests<br />

performed pursuant to Section 7 and Schedule 3. <strong>BPDB</strong> shall not use or disclose such results<br />

other than in connection with the administration and enforcement of this Agreement.<br />
