ARTICLE 1. ORGANIZATION, COMPO.<br />

SITION AI\D GENERAT POWERS<br />

1.I Name<br />

1.1.1 This Chapter. The name of this<br />

organization is the North Carolina<br />

Chapter, The American Institute of<br />

Architects. The Chapter may use a<br />

trade name for identification and to<br />

do business as approved by a<br />

majority vote of the Board of Directofs.<br />

1.1.2 Related Institute Organizations.<br />

In these Bylaws the above<br />

named Chapter is referred to as this<br />

Chapter; the governing Board of this<br />

Chapter as the Board of Directors,<br />

the components of this Chapter as<br />

the Section; the South Atlantic<br />

Regional Council as the Regional<br />

Council; The American Institute of<br />

Architects as the Institute; and the<br />

Board of Directors of the Institute<br />

as the Institute Board.<br />

1.2 Obiects and Powers<br />

1.2.1 Obiects. The objects of this<br />

Chapter shall be to promote and<br />

forward the objects of the American<br />

Institute of Architects within the<br />

territory of this Chapter, which are<br />

to organize and unite in fellowship<br />

the members of the architecturtl<br />

profession; to promote the aesthetic,<br />

scientifig and practical efficiency<br />

of the profession; to advance the<br />

science and art of planning and<br />

building by advancing the standards<br />

of architectural education, training<br />

and practice, to coordinate the<br />

building industry and the profession<br />

of architecture to insure the<br />

advancement of the living standards<br />

of people through theii improved<br />

environment; and to make the<br />

profession of ever-increasing<br />

service to society.<br />

1.2.2 Powers<br />

.1 The powers of this Chapter shall<br />

be as provided in the laws of the<br />

State of North Carolina, the<br />

certificate of incorporation and<br />

the Institute Bylaws.<br />

.2 The Board of Directors, with the<br />

approval of the Institute Board,<br />

may otganize one or more<br />

sections within its territory.<br />

.3 The bylaws of sections of this<br />

chapter shall be similar to and<br />

in accord with the bylaws of<br />

this Chapter and the byiaws and<br />

policies of the Institute.<br />

.4 The President of any Section of<br />

this Chapter or a designated<br />

repfesentative shall be a<br />

member of the Board of Directors<br />

of this Chapter. One<br />

additional Director of the Board<br />

of Directors, selected in accordance<br />

with Section Bylaws mav<br />

represent any Section which has<br />

a membership in good standing,<br />

on January I for two consecutive<br />

years of 1oo or more. Each<br />

additional Director may remain<br />

a member of the Board until<br />

Section membership onJanuary<br />

1 falls below 9O for two consecutive<br />

years.<br />

.5 Should the governing board of<br />

any Chapter-section grossly<br />

neglect its functions as prescribed<br />

by Chapter and secrion<br />

Bylaws, the Chapter Board may<br />

notify each member of the<br />

section's delinquency and invite<br />

teorganization of the section.<br />

.6 Student Chapters. This chapter<br />

may establish and sponsor<br />

student chapters in schools<br />

offering education programs in<br />

architecture, architectural<br />

engineering, or architectural<br />

technology located within the<br />

territory of the Chapter under<br />

conditions established by the<br />

Institute.<br />

.5 South Atlantic Regional<br />

Council. This chapter shall<br />

have representation in the South<br />

Atlantic Regional Council, The<br />

American Institute of Architects,<br />

in the manner prescribed for in<br />

the Regional Council bylaws.<br />

1.3 Organization<br />

This Chapter is a non-profit membership<br />

corporation duly incorporated on<br />

the 8th day of August 1913, under and<br />

by virtue of the provisions of GS 55 et<br />

seq of the State of North Carolina and<br />

chartered by the Institute on the 25th<br />

day of September 1913.<br />

1.4 Territory<br />

The-territory within which this chapter<br />

shall represent and act for the Instiiute<br />

comprises the State of North Carolina<br />

as described in its charter or as<br />

otherwise prescribed by the Institute.<br />

1.5 Governing Board<br />

1.5.1 The affairs of this Chapter shall<br />

be conducted by a governlng board<br />

called the Board of Directors.<br />

1.5.2 There shall be an Execurive<br />

Committee of the Board of Directors<br />

composed of the four officers, the<br />

immediate past president, and the<br />

elected Directors of this Chapter.<br />

The Executive Committee shall frave<br />

full right and power to acr for the<br />

Board of Directors on all matters<br />

which have been specifically<br />

delegated to it by a rwo-thirds vote<br />

of the Board of Directors.<br />

f .5.3 The Executive Committee of the<br />

Board of Directors may. at its<br />

discretion, invite the Heads or<br />

Deans of the Schools ofArchitecture<br />

within the State to serve as active<br />

members of the Board of Directors<br />

of the Chapter on an annual basis.<br />

ARTICLE 2. MEMBERSHIP<br />

2.1 Members: General Provisions<br />

2.1.1 Classes of Membership. The<br />

members of this Chapter shall<br />

consist of the Institute members<br />

who have been assigned to membership<br />

in this Chapter by the Institure,<br />

or who have been admitted to<br />

membership in this Chapter as<br />

provided in pangraph 2.3, and of<br />

the professional affiliates and honorary<br />

affiliates, it may admit as provided<br />

in Paragraph 2.4 and 2.5.<br />

2.1.2 Defrnitions. In these bvlaws.<br />

Institute members who have'been<br />

assigned to membership in this<br />

chapter are referred to as ,,assigned<br />

members." The tefm ,,unassigned<br />

member" shall refef to Institute<br />

members and other than assigned<br />

members. The term "affiliate" shall<br />

refer to professional affiliates and<br />

honorary affiliates.<br />

2.1.? Qualifications. This Chapter<br />

shall not establish qualifications in<br />

addition to, or which vary from the<br />

Institute's policies for membership.<br />

2.1.4 Non-Resident Status. Nonresident<br />

status shall be provided for<br />

members who apply for such status<br />

because of their intended absence<br />

from the United States for at least<br />

18 consecutive months. Nonresident<br />

members shall have the<br />

same rights and privileges as other<br />

members in the same category,<br />

except that the Chapter may lower<br />

dues andlor assessments for such<br />

members as provided in Article 7.<br />

2.1.5 Enrollment of Members.<br />

Every member assigned to or<br />

admitted by this Chapter shall be<br />

duly notified to that effect by this<br />

Chapter, and shall be enrolled by the<br />

Secretary as a member of -this<br />

Chapter without requiring payment<br />

of an admission fee, and-such<br />

membership shall be announced at<br />

the next regular meeting of this<br />

chapter and in its next offiCial publication.<br />

2.1.6 Annual Dues and Assessments.<br />

Every member of this<br />

Chapter shall pay the fixed annual<br />

dues and assessments of this Chapter<br />

as determined in Article 7.<br />

2.1.7 Resignations. Any person<br />

admitted to this Chapter, otfer than<br />

an assigned membe\ may resign<br />

from this Chapter; provided thTt<br />

such member present a resignation<br />

in writing to the Board of Directors<br />

and is in good standing at the time<br />

of resignation. If the Board of<br />

Directors finds the member qual_<br />

be effective as of the date of the<br />

lgttel of resignation was received by<br />

the Secretary.<br />

2.2 Assigned Members<br />

2.2.1 General. The qualifications,<br />
