TENDER INVITATION<br />

1. Tenders are invited under e-Procurement platform in “TWO COVER” System from<br />

eligible Registered Tenderers for the ‘Angla’ Spoken English Skill Development project<br />

for first year undergraduate students <strong>of</strong> Government First Grade Colleges in Karnataka.<br />

Approximate number <strong>of</strong> students to be covered – 20,000 1<br />

Approximate number <strong>of</strong> colleges to be covered – 267<br />

<br />

Geographical locations <strong>of</strong> colleges – Across Karnataka State.<br />

2. Services expected from service provider:<br />

Table 1<br />

a Modular Digital content 2 For Spoken English training for first year<br />

undergraduate students.<br />

b Course material 2 For each student at A1 and A2 levels.<br />

c Workbook 2 For each student at A1 and A2 levels.<br />

d Trainer manual 2 1 manual per trainer.<br />

Note1: The <strong>Department</strong> <strong>of</strong> <strong>Collegiate</strong> <strong>Education</strong> reserves the right to change/alter the<br />

nature <strong>of</strong> services listed in table 1.<br />

Note 2- Certification shall be undertaken by Cambridge ESOL or its equivalent.<br />

Cambridge ESOL has been identified by the <strong>Department</strong> as one <strong>of</strong> the probable<br />

certifying bodies, because the search <strong>of</strong> the department yielded that:<br />

Cambridge ESOL is the member <strong>of</strong> ALTE<br />

It is authorized by ALTE to certify the A1 and A2 levels as per CEFR<br />

3. Delivery <strong>of</strong> Services: Delivery <strong>of</strong> services includes installation <strong>of</strong> digital content, supply<br />

<strong>of</strong> Course materials, Workbooks, Trainer manuals, Assessment and Certification.<br />

5. Submission <strong>of</strong> Tender<br />

a. Tenderers must submit tenders per unit 3 for all-inclusive price as per annexure -3.<br />

b. All items/services mentioned in Table-1 have to be compulsorily provided.<br />

6. Introduction to the <strong>Department</strong> <strong>of</strong> <strong>Collegiate</strong> <strong>Education</strong>: The <strong>Department</strong> <strong>of</strong> <strong>Collegiate</strong><br />

<strong>Education</strong> (henceforth called as “the department”) administers 359 Government First<br />

Grade Colleges (henceforth called as “the colleges”) under the jurisdiction <strong>of</strong> 11<br />

affiliating universities, with the help <strong>of</strong> its six regional directorate <strong>of</strong>fices. The regional<br />

directorates are situated at Bangalore, Mysore, Mangalore, Shimoga, Dharwad and<br />

Gulbarga.<br />

The Colleges <strong>of</strong>fer undergraduate courses like BA, BCom, BSc, BBM, BCA etc. and post<br />

graduate courses like MA, MCom, MSc, MCA, MBA etc.. The colleges are spread over 30<br />

districts <strong>of</strong> Karnataka including the backward regions and the rural hinterlands.<br />

The students who access higher education in these Government Colleges are mostly<br />

from the marginalized sections and are also largely first generation learners <strong>of</strong> English.<br />

In line with the <strong>Department</strong>’s commitment to inclusive education, ‘Angla’, a Spoken<br />

English Skill development initiative is being proposed for first year undergraduate<br />

students to provide a competitive edge to the student communities from Government<br />

colleges.<br />

7. Scope <strong>of</strong> the Work:<br />

The Bidder should install digital content<br />

The project is conducted in two levels, A1 and A2, wherein the-<br />

o A1 shall mean digital content installation, distribution <strong>of</strong> course material,<br />

workbook to students and trainer manual to trainers, training for 50 hours,<br />

periodic assessment, final evaluation and certification at A1 level.<br />

o A2 shall mean digital content installation, distribution <strong>of</strong> course material,<br />

workbook to students and trainer manual to trainers, training for 50 hours,<br />

periodic assessment, final evaluation and certification at A2 level.<br />

Conduct the training course comprising 75% instructor led training and 25%<br />

computer based training<br />

8. Hardware /S<strong>of</strong>tware environment available in colleges:<br />

3 A batch <strong>of</strong> 40 students to be trained for a duration <strong>of</strong> 100 hours is referred to as UNIT.<br />

9. Tender Procedure:<br />

9.1 The tender will be a “TWO COVER” system under e-procurement platform. First part<br />

will have the qualification details as per Annexure-1 and second part shall contain<br />

the commercial details as per Annexure-3.<br />

9.2 Tender Document Available on Internet:<br />

The document is available on the internet in the website<br />

http://www.eproc.karnataka.gov.in. The same can also be downloaded from<br />

www.dce.kar.nic.in.<br />

It may be noted that all subsequent notifications, changes and amendments on<br />

the project/document would be posted only on the following website:<br />

http://www.eproc.karnataka.gov.in.<br />

The bidders will be required to register themselves with the Centre for e-<br />

governance and obtain digital signature certificates to participate in the bidding<br />

process. The details <strong>of</strong> the process <strong>of</strong> registration and obtaining the digital<br />

signature certificates are available on the website<br />

http://www.eproc.karnataka.gov.in. Necessary training and hands on experience<br />

in handling e-procurement system could be obtained from the center for e-<br />

governance, Government <strong>of</strong> Karnataka.<br />

9.3 The <strong>Department</strong> will examine the tenders to determine whether there are any<br />

computational errors.<br />

Arithmetical errors will be rectified on the following basis:<br />

<br />

If there is a discrepancy between the unit price and the total price that is<br />

obtained by multiplying the unit price and quantity, the unit price shall prevail<br />

and the total price shall be corrected.<br />

If there is a discrepancy between words and figures, the lower <strong>of</strong> the two will<br />

prevail.<br />

If the service provider does not accept the correction <strong>of</strong> errors, its tender will<br />

be rejected and its tender security may be forfeited.<br />

10. Tender scrutiny<br />

During technical evaluation and before finalizing the tenderer, the <strong>Department</strong> will<br />

undertake to scrutinize the following:<br />

Ownership rights <strong>of</strong> course content (digital and printed)<br />

List <strong>of</strong> 50 empanelled trainers (CVs <strong>of</strong> the trainers to be produced only on<br />

request <strong>of</strong> the <strong>Department</strong>)<br />

Panel <strong>of</strong> 4 Experts with their CVs<br />

Details <strong>of</strong> certification agency<br />

11. Procurement Entity: The <strong>Department</strong> is the purchaser <strong>of</strong> the services and it will be<br />

responsible for Service Level Agreement monitoring. Bill payments would be made by<br />

the <strong>Department</strong>, based on the number <strong>of</strong> candidates who have obtained A1 and A2<br />

certificates. (Refer Clause 15 for further details).<br />

12. Patent Rights: The Service Provider shall indemnify the <strong>Department</strong> against all thirdparty<br />

claims <strong>of</strong> infringement <strong>of</strong> patent arising from use <strong>of</strong> the services or any part<br />

there<strong>of</strong> in the colleges.<br />

13. Performance Bank Guarantee (BG): Within 21 days <strong>of</strong> receipt <strong>of</strong> the letter <strong>of</strong> intent, the<br />

Service Provider shall furnish performance bank guarantee to the <strong>Department</strong> for an<br />

amount <strong>of</strong> 5% <strong>of</strong> the Contract Value, valid up to one year plus 60 days after the date <strong>of</strong><br />

completion <strong>of</strong> performance obligations. The BG shall be encashed if the Service provider<br />

does not pay the quarterly penalty within 20 days <strong>of</strong> the <strong>Department</strong> raising the penalty<br />

order.<br />

14. Status Reports: The Service provider shall furnish regular status reports <strong>of</strong> the training,<br />

certified by the respective principals based on the format to be furnished by<br />

<strong>Department</strong>. Regular written reports <strong>of</strong> work completed to be intimated to the<br />

<strong>Department</strong> as under:<br />

a) Installation <strong>of</strong> digital content in colleges<br />

b) Course material/manual/workbook disbursed to the colleges<br />

c) Monthly progress <strong>of</strong> training<br />

d) Assessment details<br />

e) Details <strong>of</strong> corrections/ rectifications undertaken<br />

f) Completion Reports<br />

15. Payment Terms:<br />

a. For the purpose <strong>of</strong> payment, the L1 UNIT price shall be divided by 40 to arrive at PER<br />

STUDENT COST. (for details refer Annexure – 3)<br />

b. College-wise payment will be made per student as under-<br />

<br />

A1 Level<br />

i. Those students in a college for Angla training who have achieved 60%<br />

attendance will be eligible for assessment at A1 level.<br />

ii. If 75% <strong>of</strong> the eligible students, who take the A1 level <strong>of</strong> assessment, pass the<br />

test, then it would mean satisfactory completion <strong>of</strong> the A1 level <strong>of</strong> the program<br />

and all students who take the assessment will be considered for making<br />

payment.<br />

iii. 40% <strong>of</strong> the per student cost arrived at clause 15(a) above, will be paid at this<br />

juncture.<br />

iv. If less than 75% <strong>of</strong> the number <strong>of</strong> students enrolled fail to clear A1 level then, no<br />

payment will be made.<br />

v. If the bidder, before the beginning <strong>of</strong> A2 level gives special training to students<br />

who could not clear A1 level on its own cost, and the students clear A1 level<br />

then such students will also be eligible for A2 <strong>of</strong> the training. The only<br />

consideration is that students should have passed A1 level before the<br />

commencement <strong>of</strong> training in A2 level. If those students who do not clear A1<br />

level in their first attempt, and have cleared the same after special training and<br />

the success rate reaches 75%, then 40% <strong>of</strong> the per student cost will be payable<br />

for the total students assessed in A1 level.<br />

<br />

A2 Level<br />

i. Only those students who pass the A1 level test and obtain certificates will be<br />

allowed for A2 level.<br />

ii. Out <strong>of</strong> these students, those who have 60% attendance in Phase 2 <strong>of</strong> the<br />

training will be eligible for assessment at A2 level.<br />

iii. If 60% <strong>of</strong> the students allowed to take up A2 level and pass the test, then it<br />

would mean satisfactory completion <strong>of</strong> A2 level, and all the students who take<br />

the assessment will be considered for making payment.<br />

iv. The remaining 60% <strong>of</strong> per student cost will be paid at this juncture.<br />

v. If less than 60% <strong>of</strong> the number <strong>of</strong> students eligible for A2 level fail to clear the<br />

A2 level then no payment will be made.<br />

vi. If the bidder gives special training on its own cost to students to clear A2 level<br />

and the success rate <strong>of</strong> A2 reaches 60%, then the remaining 60% <strong>of</strong> the per<br />

student cost will be payable for the total students assessed.<br />

16. Pre-training scrutiny: A pre-training scrutiny will be conducted by the <strong>Department</strong> on<br />

the following items before content is installed and materials are disbursed:<br />

a. Relevance and quality <strong>of</strong> digital content, course material, trainer manual and<br />

workbook<br />

b. S<strong>of</strong>tware compatibility with hardware data in colleges, OS and other applications<br />

c. Trainers’ certificates (B1-B2) conforming to CEFR<br />

d. Evaluation system<br />

e. Format <strong>of</strong> Certificate<br />

f. Methodology <strong>of</strong> training<br />

Note: The items mentioned above will be scrutinized by an expert committee<br />

designated by the <strong>Department</strong>. If found wanting in a particular area, the <strong>Department</strong><br />

reserves the right to ask the service provider to modify and/or provide those items.<br />

17.1 Penalty<br />

Penalty would be imposed on successful bidders for not adhering to the time lines,<br />

as follows:<br />

I. Delay in signing the agreement would automatically lead to cancellation <strong>of</strong><br />

bid without further notice.<br />

If there is a delay in issuing letter <strong>of</strong> intent (LoI) from the <strong>Department</strong>’s end,<br />

then the time line will be adjusted for the period <strong>of</strong> the delay.<br />

For non development <strong>of</strong> the content as mentioned in 17-b: 0.5% <strong>of</strong> the bid<br />

amount for each day <strong>of</strong> delay.<br />

For non installation <strong>of</strong> content as mentioned in 17-b: 0.5% <strong>of</strong> bid amount for<br />

each day <strong>of</strong> delay.<br />

V. For non completion <strong>of</strong> training as mentioned in 17-b: 1% bid amount for each<br />

day <strong>of</strong> delay.<br />

VI. For not completing certification for A1 level and A2 level, as mentioned in 17-<br />

b: 1% <strong>of</strong> bid amount for each day <strong>of</strong> delay.<br />

17.2 Performance <strong>of</strong> the Services shall be made by the Service Provider in accordance<br />

with the time schedule specified by the <strong>Department</strong> in Clause 17-b.<br />

17.3 If at any time during performance <strong>of</strong> the Contract, the Service Provider should<br />

encounter conditions impeding timely performance <strong>of</strong> Services, the Service Provider<br />

shall promptly notify the <strong>Department</strong> in writing <strong>of</strong> the fact <strong>of</strong> the delay, its likely<br />

duration and its cause(s). As soon as practicable after receipt <strong>of</strong> the Service Provider<br />

notice, the <strong>Department</strong> shall evaluate the situation and may, at its discretion, extend<br />

the Service Provider time for performance with or without liquidated damages, in<br />

which case the extension shall be ratified by the parties by amendment <strong>of</strong> the<br />

Contract.<br />

17.4 Subject to conditions <strong>of</strong> Force Majeure, if the Service Provider fails to perform the<br />

Services within the period(s) specified in the Contract, the <strong>Department</strong> shall, without<br />

prejudice to its other remedies under the Contract, deduct from the Contract Price,<br />

as liquidated damages, a sum equivalent to 0.5% <strong>of</strong> the contract price <strong>of</strong> the<br />

unperformed Services for each week or part there<strong>of</strong> <strong>of</strong> delay until actual delivery <strong>of</strong><br />

training services, up to a maximum deduction <strong>of</strong> 10% <strong>of</strong> the Contract Price. Once the<br />

maximum penalty is reached, the <strong>Department</strong> may consider termination <strong>of</strong> the<br />

contract.<br />

17.5 Any modification in any service level specifications will be at the discretion <strong>of</strong> the<br />

department.<br />

18. Termination for Default<br />

The <strong>Department</strong> may, without prejudice to any other remedy for breach <strong>of</strong> contract, by<br />

written notice <strong>of</strong> default sent to the Service Provider , terminate the contract in whole<br />

or part, if the Service Provider fails to perform any or all obligation(s) under the<br />

Contract.<br />

a. If the Service Provider, in the judgment <strong>of</strong> the <strong>Department</strong> has engaged in corrupt<br />

or fraudulent practices in competing for or in executing the Contract.<br />

For the purpose <strong>of</strong> this Clause:<br />

“Corrupt practice” means the <strong>of</strong>fering, giving, receiving or soliciting <strong>of</strong> anything <strong>of</strong><br />

value to influence the action <strong>of</strong> a public <strong>of</strong>ficial in the procurement process or in<br />

contract execution.<br />

“fraudulent practice” means a misrepresentation <strong>of</strong> facts in order to influence a<br />

procurement process or the execution <strong>of</strong> a contract to the detriment <strong>of</strong> the<br />

Borrower, and includes collusive practice among Bidders (prior to or after bid<br />

submission) designed to establish bid prices at artificial non-competitive levels and<br />

to deprive the Borrower <strong>of</strong> the benefits <strong>of</strong> free and open competition.<br />

b. In the event the <strong>Department</strong> terminates the Contract in whole or in part, the<br />

<strong>Department</strong> may procure, upon such terms and in such manner as it deems<br />

appropriate, Services similar to those undelivered, and the Service Provider shall<br />

be liable to the <strong>Department</strong> for any excess costs for such similar Goods or Services.<br />

However, the Service Provider shall continue the performance <strong>of</strong> the Contract to<br />

the extent not terminated.<br />

19. Force majeure:<br />

The Service Provider shall not be liable for forfeiture <strong>of</strong> its performance security,<br />

liquidated damages or termination for default, if and to the extent that, it’s delay in<br />

performance or other failure to perform its obligations under the Contract is the result<br />

<strong>of</strong> an event <strong>of</strong> Force Majeure.<br />

For purposes <strong>of</strong> this Clause, “Force Majeure" means an event beyond the control <strong>of</strong> the<br />

Service Provider and not involving the Service Provider’s fault or negligence and not<br />

foreseeable. Such events may include, but are not limited to, acts <strong>of</strong> the <strong>Department</strong><br />

either in its sovereign or contractual capacity, wars or revolutions, fires, floods,<br />

epidemics, quarantine restrictions and freight embargoes.<br />

If a Force Majeure situation arises, the Service Provider shall promptly notify the<br />

<strong>Department</strong> in writing <strong>of</strong> such conditions and the cause there<strong>of</strong>. Unless otherwise<br />

directed by the <strong>Department</strong> in writing, the Service Provider shall continue to perform its<br />

obligations under the Contract as far as is reasonably practical, and shall seek all<br />

reasonable alternative means for performance not prevented by the Force Majeure<br />

event.<br />

20. Bid processing fee:<br />

Each bidder shall pay the bid processing fee as applicable for the e-payment through<br />

four options namely:<br />

1. Credit Card<br />

2. Direct Debit<br />

3. National Electronics Funds Transfer (NEFT)<br />

4. Over The Counter (OTC) – designated axis bank branches located across the country.<br />

It may be noted that payments submitted through cheque or demand draft shall not be<br />

accepted.<br />

www.eproc.karnataka.gov.in may be consulted.<br />

21. Earnest Money Deposit (EMD):<br />

a. Each bidder shall pay Rs. 5 lakhs (five lakhs only) as the Earnest Money Deposit<br />

through any <strong>of</strong> the four e-payment options mentioned above.<br />

b. The Tenderer’s bid will be evaluated only on confirmation <strong>of</strong> receipt <strong>of</strong> the payment<br />

(EMD) in the GoK’s central pooling a/c held at Axis Bank.<br />

c. EMD amount will have to be submitted by the tenderer (EMD will be accepted only<br />

in the form <strong>of</strong> electronic cash and will be maintained in the Governments central<br />

pooling account at Axis Bank until the contract is closed)<br />

d. The EMD <strong>of</strong> the successful bidder will be returned only after the bidder submits bank<br />

guarantee. The Bid Security submitted by the Successful Bidder shall be released<br />

upon furnishing <strong>of</strong> the Performance Bank Guarantee as security in the form and<br />

manner as stipulated in the Agreement.<br />

e. The EMD <strong>of</strong> the unsuccessful bidder will be returned only after finalization <strong>of</strong> tender<br />

process. The Bid Security shall be returned to the unsuccessful Bidders within a<br />

period <strong>of</strong> 8 (eight) weeks from the date <strong>of</strong> announcement <strong>of</strong> the Successful Bidder.<br />

f. The Bid Security shall be forfeited in the following cases:<br />

If the Bidder modifies or withdraws its Proposal except as provided.<br />

If the Bidder withdraws its Proposal during the interval between the Proposal<br />

Due Date<br />

and expiration <strong>of</strong> the Proposal Validity Period;<br />

If the Successful Bidder fails to provide the Performance Guarantee within the<br />

stipulated time or any extension there<strong>of</strong> provided by the <strong>Department</strong>.<br />

If any information or document furnished by the Bidder turns out to be<br />

misleading or untrue in any material respect.<br />

22. Service Bid Evaluation:<br />

The <strong>Department</strong> will evaluate whether the items proposed by service providers meet<br />

the Service specifications given in the tender (Annexure 2)<br />

23. Commercial Bid Format:<br />

Service providers shall quote all-inclusive prices (i.e. price inclusive <strong>of</strong> taxes, and all other<br />

expenses) per item, in accordance with the format provided in (Annexure 3). The allinclusive<br />

price uploaded directly into the e-procurement portal will be taken as the basis<br />

for evaluation <strong>of</strong> commercial bids. The rates quoted should take into account<br />

concessions available for educational institutions.<br />

24. Commercial Bid Evaluation:<br />

The commercial quotes submitted by the qualified service providers will be opened in e-<br />

Procurement s<strong>of</strong>tware. The service provider that has quoted the lowest all-inclusive<br />

cost would be termed as L1 price.<br />

25. Award <strong>of</strong> contract:<br />

a. The all- inclusive unit cost that evolves as L1, will be the final tender cost per unit.<br />

b. The qualification/technical bids will be opened in e-Procurement s<strong>of</strong>tware in the<br />

presence <strong>of</strong> the bidders and no written intimation to this effect will be given to<br />

individual bidders.<br />

c. <strong>Department</strong> reserves the right to allocate colleges to the tenderers.<br />

26. Miscellaneous:<br />

a. The <strong>Department</strong>/Colleges will permit free entry and access to the authorized<br />

personnel and trainers identified by the successful bidder to install digital content,<br />

provide course material and impart training.<br />

b. The successful bidder shall not sublet or assign or franchise the responsibility to any<br />

other agency either in whole or in part.<br />

c. The successful bidder shall be solely responsible for all acts <strong>of</strong> omission and<br />

commission occasioned by his/her personnel in carrying out the terms <strong>of</strong> the tender.<br />

d. The decision <strong>of</strong> the <strong>Department</strong> in the evaluation <strong>of</strong> the service/qualification bids<br />

and financial bids shall be final.<br />

e. The bidder should comply with such directions as the <strong>Department</strong> may issue from<br />

time to time for successful completion <strong>of</strong> work.<br />

f. The <strong>Department</strong> reserves the right to cancel the work order in the event <strong>of</strong> breach <strong>of</strong><br />

any terms and conditions stipulated therein.<br />

g. If after the issue <strong>of</strong> the work order, it is proved that any <strong>of</strong> the information furnished<br />

by the bidder that secured the contract is false, or that the bidder secured the<br />

contract by misrepresenting facts, in whatsoever manner, the work order will be<br />

liable to be terminated forthwith and the Bank Guarantee shall be forfeited by the<br />

<strong>Department</strong> without any notice. The decision <strong>of</strong> the <strong>Department</strong> in this regard shall<br />

be final.<br />

h. Changes in this tender, if any, will be updated from time to time on e-procurement<br />

platform, but not beyond one day prior to the last day fixed for submitting the<br />

tender.<br />

i. The <strong>Department</strong> may at any time by written order given to the service provider,<br />

make changes within the general scope <strong>of</strong> the contract in any one or more <strong>of</strong> the<br />

l. On completion <strong>of</strong> training, the materials provided for training by the service provider<br />

In this Contract, the following terms shall be interpreted as indicated:<br />

“<strong>Department</strong>” refers to the <strong>Department</strong> <strong>of</strong> <strong>Collegiate</strong> <strong>Education</strong> which means, the<br />

<strong>Department</strong> purchasing the Services;<br />

“The Service Provider” also referred to as Tenderer, means a firm which is either<br />

Proprietorship or a Partnership Firm or a Company registered under the Companies Act,<br />

1956, or a Registered Society or a Trust which is engaged in providing similar nature <strong>of</strong><br />

Training and coaching;<br />

“E-Procurement Platform” means a procurement platform <strong>of</strong> electronic media<br />

comprising procurement process set up and managed by the State Government through<br />

integrated internet enabled procurement tools incorporated by customization;<br />

“The Contract" means the agreement entered into between the <strong>Department</strong> and the<br />

Service Provider , as recorded in the contract Form signed by the parties, including all<br />

the appendices thereto and all documents incorporated by reference therein;<br />

“The Contract Price" means the price payable to the Service Provider under the Contract<br />

for the full and proper performance <strong>of</strong> its contractual obligations;<br />

The “Services” means training, assessment, evaluation and certification. It also includes<br />

the content, course material, training manual, work book and / or other materials which<br />

the Service Provider is required to supply to the <strong>Department</strong> under the Contract.<br />

“College” means the Government First Grade Colleges <strong>of</strong> Karnataka as listed in<br />

Annexure 5<br />

“The Government” means the Government <strong>of</strong> Karnataka State.<br />

“Day” means calendar day.<br />

“Students” mean school students <strong>of</strong> class 9 and 10, students <strong>of</strong> pre-university,<br />

undergraduate including Engineering, medical, B.Ed and Law courses.<br />

28. General Conditions <strong>of</strong> the Contract<br />

a. Settlement <strong>of</strong> Disputes: The <strong>Department</strong> and the service provider shall make every<br />

effort to resolve amicably by direct informal negotiation any disagreement or<br />

dispute arising between them under or in connection with the Contract.<br />

b. If, after thirty (30) days, the parties have failed to resolve their dispute or difference<br />

by such mutual consultation, then either the <strong>Department</strong> or the service provider<br />

may give notice to the other party <strong>of</strong> its intention to commence arbitration, as<br />

hereinafter provided, as to the matter in dispute, and no arbitration in respect <strong>of</strong> this<br />

matter may be commenced unless such notice is given.<br />

c. Any dispute or difference in respect <strong>of</strong> which a notice <strong>of</strong> intention to commence<br />

arbitration has been given in accordance with this Clause shall be finally settled by<br />

arbitration. Arbitration may be commenced prior to or after delivery <strong>of</strong> the Services<br />

under the Contract.<br />

d. Notwithstanding any reference to arbitration herein,<br />

i. The parties shall continue to perform their respective obligations under the<br />

Contract unless they otherwise agree; and<br />

ii. The <strong>Department</strong> shall pay the service provider any monies that is due<br />

29. Limitation <strong>of</strong> Liability<br />

Except in cases <strong>of</strong> criminal negligence or willful misconduct, and in the case <strong>of</strong><br />

infringement:<br />

(a) The <strong>Department</strong> shall not be liable to the service provider, whether in contract,<br />

tort, or otherwise, for any indirect or consequential loss or damage, loss <strong>of</strong> use, loss<br />

<strong>of</strong> production, or loss <strong>of</strong> pr<strong>of</strong>its or interest costs, provided that this exclusion shall<br />

not apply to any obligation <strong>of</strong> the Service Provider to pay liquidated damages to the<br />

<strong>Department</strong>; and<br />

(b) The aggregate liability <strong>of</strong> the Service Provider to the <strong>Department</strong>, whether under<br />

the Contract, in tort or otherwise, shall not exceed the total Contract Price,<br />

provided that this limitation shall not apply to the cost <strong>of</strong> repairing or replacing<br />

defective equipment.<br />

30. Governing Language:<br />

The contract shall be written in English language. English language version <strong>of</strong> the<br />

Contract shall govern its interpretation. All correspondence and other documents<br />

pertaining to the Contract which are exchanged by the parties shall be written in the<br />

same language.<br />

31. Applicable Law:<br />

The Contract shall be interpreted in accordance with the laws <strong>of</strong> the Union <strong>of</strong> India.<br />

32. Notices<br />

a. Any notice given by one party to the other pursuant to this Contract shall be sent to<br />

other party in writing or by cable, telex or facsimile and confirmed in writing to the<br />

other Party’s address.<br />

b. A notice shall be effective when delivered or on the notice's effective date, whichever is<br />

later.<br />

33. Taxes and Duties<br />

Service provider shall be entirely responsible for all taxes, duties, license fees, etc. as applicable,<br />

incurred until delivery <strong>of</strong> the contracted Service to the <strong>Department</strong>.<br />

NOTE: THE COMMISSIONER OF COLLEGIATE EDUCATION RESERVES THE RIGHT TO CANCEL<br />

THE TENDER AT ANY GIVEN POINT IN TIME WITHOUT GIVING ANY REASON WHATSOEVER.<br />

QUALIFICATION CRITERIA 4<br />

1. The tenderer’s firm shall be a sole proprietorship/ registered partnership/ Private<br />

Limited/ or Public Limited Company/ Society/ Trust and not a consortium.<br />

ANNEXURE-2<br />

1. SERVICE SPECIFICATIONS:<br />

The ‘Angla’ Skill Development Programme in Spoken English to be imparted for first year<br />

undergraduate students <strong>of</strong> Government First Grade Colleges in Karnataka is as follows<br />

a. 50 hours <strong>of</strong> training for A1 Certification and 50 hours <strong>of</strong> training for A2 Certification<br />

- totally 100 hours <strong>of</strong> training to be imparted<br />

b. Both the certifications to be undertaken by Cambridge ESOL or its equivalent<br />

c. 25% Computer based training and 75% Instructor Led Training<br />

d. General holidays/Sundays can be leveraged in consultation with the principal <strong>of</strong><br />

colleges by the Training Agency, to conduct training<br />

e. It is unlikely that every college will have 40 computers. Yet, every student has to<br />

get one hour /week <strong>of</strong> CBT exclusively. Thus, a single trainer may have to work for<br />

more hours in the computer lab to ensure 1:1 student- computer ratio.<br />

f. Any change in trainers employed shall be informed to the <strong>Department</strong> for<br />

concurrence.<br />

2. The Digital Content, Course Material, Trainer Manual and student Work book should<br />

conform to standards set by CEFR or its equivalent.<br />

3. Digital Content should comprise:<br />

a. Simple menu technology<br />

b. Inbuilt feedback<br />

c. Interesting clippings, animation, readable font, appropriate use <strong>of</strong> color and music<br />

d. Licensed and compatible s<strong>of</strong>tware / digital content to be installed<br />

4. The content and activities among digital content, workbook, course material, and trainer<br />

manual should correspond.<br />

5. One copy <strong>of</strong> course Material/Work Book should be given to each student and a Trainer<br />

Manual to the Trainer and a copy <strong>of</strong> each to be given to the college.<br />

6. Training Methodology and duration:<br />

a. Training should be modular comprising <strong>of</strong> interactive, user friendly, culture specific,<br />

technology aided pedagogy, wherein 25%<strong>of</strong> Training would be Technology Aided<br />

learning, the remaining 75% should be Instructor led, experiential training.<br />

b. Training Schedules to be drawn in consultation with the college Principal<br />

c. The training batch size not to exceed 40.<br />

7. Evaluation: Continuous Evaluation and testing to assess performance <strong>of</strong> students to be<br />

(i.e. prices inclusive <strong>of</strong> taxes, digital content, cost <strong>of</strong> training material, course material,<br />

workbook, trainer’s manual as per the number <strong>of</strong> trainers required, assessment<br />

certification and all other expenses) for delivery / installation / execution per item.<br />

1. Training has to be conducted in Government Colleges throughout the State covering<br />

all the districts.<br />

2. Approximately 20,000 students to be trained. This may vary by + or – 25%. The<br />

<strong>Department</strong> <strong>of</strong> <strong>Collegiate</strong> <strong>Education</strong> reserves the right to delete or add any <strong>of</strong> the<br />

items in the above list and also to place order between 75% and 125% <strong>of</strong> the items<br />

specified without any change in unit price or other terms and conditions.<br />

3. The list <strong>of</strong> Government Colleges likely to be covered throughout the State is as per<br />

the list put up in the website.<br />

4. The list <strong>of</strong> Government Colleges and approximate student strength in each college<br />

5. <strong>Department</strong> may initiate separate action for 3 rd party evaluation for Angla training<br />

program. However, the successful bidder is not liable for any expenditure towards<br />
