November 15 th , 2005 7:00 PM 1 st Annual Transition Meeting for the Officers and Board of Directors Officers and members in attendance: Rik Thompson Gary Schiermeyer Tom Reitz JoAnn Viviano Randy Moore Dale VanDeven Charlie Miget Jackie Miget Noel Wilson Jeff Anderson Cathy Anderson The purpose of the meeting is to accomplish the following: 1. Continuity and smooth transition from past officer to new officer. • (Discussion was that the Board of Directors accepts the responsibility for not offering guidance to new officers.) 2. New Officers- Familiarize themselves with By-laws and Roberts Rules of Order. • (Board of Directors requests a more formalized meeting structure. President to have a printed agenda prepared prior to the meeting and to ask membership, prior to meeting start, if they have anything to add to the agenda. Listing items chronologically to ease the process of taking minutes, by Secretary, for the newsletter.) 3. Adherence to By-laws as described in the By-Laws and Constitution. (To be discussed) 4. More Detailed minutes to be taken by the secretary. • (A printed agenda will help.)
The following were concerns brought up by the Board of Directors. • Concern about status as a “Not for Profit Organization” and following State Guidelines. o (Discussion was made concerning what we are allowed to do with club funds to stay within state guidelines which we re-file each year.) • Motions must be made for all expenditures, following guidelines from “Roberts Rules of Order” and recorded. • Exceptions would and could be approved by Board of Directors. Examples: • T-shirts OctoberCross – How much? • Awards-need to be approved tonight • Christmas Party??? Item for discussion: • Do we need to appoint new members of the Constitution/By-Laws Committee? (2 years) Remove Tim Adams (Non-Renewal) • Note that the “New Points Year” starts November 1 st . • Minor Housekeeping Items: Adherence to no smoking policy (in the Meeting Room) before, during and after the meeting. Discussion concerning the club Christmas party and approval of expenditure by members. In the past, the club picked up only a portion of the expense. A motion was made, seconded, discussed and agreed that “The Club” would pay for club members only. Members, with guests will be expected to pay $25.00 per person to attend the party and since the arrangements had already been made for the DJ, the club would pay for that as well. It was also discussed that the collection of un-opened toys for the Toys-for-Tots would be done. Discussion was made concerning the purchase of awards without approval of “The Club” during a regular business meeting. It was decided that the preferred process would be for the awards to be discussed early enough to effectively plan a budget for the awards. Awards that are to be presented at the December Club Christmas party were already ordered. A motion was made by Randy Moore to approve approximately $1200.00 for the awards to be purchased. The motion was seconded by Noel Wilson.
