Welcome to the Professional Housing Management<br />
Association Trade Expo <strong>2011</strong><br />
The <strong>PHMA</strong> Trade Expo is an annual event held in conjunction<br />
with the <strong>PHMA</strong>/MHLI Professional Development Seminar.<br />
This event brings together exhibitors whose products are used<br />
worldwide by the Department of Defense Housing and Lodging<br />
operations. Attendees consist primarily of military and civilian<br />
decision makers who direct the use of over $8 billion of housing<br />
funds for the operation, maintenance, furnishing, repair,<br />
improvement and leasing or construction of facilities annually.<br />
Housing personnel oversee family and unaccompanied personnel<br />
housing, plus transient quarters and lodges. They are responsible<br />
for over 400,000 family housing assets, more than 800,000 unaccompanied or bachelor<br />
accommodations, and approximately 85,000 transient accommodations plus supporting<br />
infrastructures.<br />
This year’s event will be held at the Hilton Riverside in New Orleans, LA, on January 17–18, <strong>2011</strong>.<br />

5. Acceptance and Billing Contract<br />
for Exhibitor<br />
The Professional Housing and Management Association (<strong>PHMA</strong>) is<br />
hereby authorized to reserve space for my company at the <strong>PHMA</strong><br />
Trade Expo <strong>2011</strong>. The show will be held January 17–18, <strong>2011</strong> at the<br />
Hilton Riverside, New Orleans, LA. If our preferred space(s) are not<br />
available, <strong>PHMA</strong> will contact us for a alternate choice. We have read,<br />
understand and accept the terms and conditions outlined in this<br />
exhibitor kit and agree to abide by all requirements restrictions, and<br />
obligations outlined in the Exhibitor Contract Agreement. Acceptance<br />
of this application by <strong>PHMA</strong> constitutes a contract.<br />

<strong>PHMA</strong> <strong>TRADE</strong> <strong>EXPO</strong> <strong>2011</strong> Exhibitor Contract Agreement:<br />
TERMS AND CONDITIONS<br />
These contract terms and conditions have been<br />
established for the mutual benefit and protections of<br />
exhibitors, attendees, and <strong>PHMA</strong> with such additions<br />
or changes as may be made in the Exhibitor Service Kit,<br />
Exhibitor newsletters, or other communications being an<br />
integral part of the contract to which the exhibitor agrees.<br />
1. Payments. Payment must be made at the time of<br />
application for registration. A signed corporate check<br />
(made payable to <strong>PHMA</strong>) or complete credit card<br />
information, for the total cost of booth space/s must<br />
accompany the application.<br />
2. Cancellation of Contract. In the event an Exhibitor<br />
must cancel his/her request for exhibit space, a refund<br />
will be issued (less a 10% processing fee) if the notice of<br />
cancellation is received in writing by October 1, 2010.<br />
Refunds received in writing between October 2, 2010 and<br />
October 16, 2010 will receive a 50% refund. No refunds<br />
will be made after October 16, 2010 even if space is resold<br />
and the exhibitor is responsible for the full amount of<br />
the exhibit space requested. <strong>PHMA</strong> reserves the right to<br />
terminate this contract immediately, and to withhold from<br />
the exhibitor possession of the exhibit space and all space<br />
fees paid, if, (a) the exhibitor fails to pay all space charges<br />
or (b) the exhibitor fails to perform any material terms<br />
or conditions of the contract or refuses to abide by these<br />
Terms and Conditions.<br />
3. Failure to Hold Exposition. In the event that the<br />
Trade Expo is cancelled because of reasons beyond<br />
the control of <strong>PHMA</strong>, space fees already made will be<br />
returned to exhibitors on a prorated basis after all related<br />
show expenses incurred by <strong>PHMA</strong> through the date of<br />
cancellation have been met plus an administrative fee<br />
and overhead expenses. However, exhibitors will not be<br />
reimbursed if the exposition is cancelled, postponed,<br />
curtailed or abandoned due to an act of war, act of<br />
terrorism, an act of God, insurrection, radioactive<br />
contamination, pollution, and contamination. This nonreimbursement<br />
clause is due to exclusions in coverage in<br />
<strong>PHMA</strong>’s Show Cancellation Insurance.<br />
4. Force Majeure. In the event Hilton Riverside or any<br />
part of the exhibit area thereof is unavailable whether for<br />
the entire event or a portion of the event as a result of<br />
fire, flood, tempest, or any other such cause or as a result<br />
of governmental intervention, malicious damage, acts of<br />
war, acts of terrorism, strike, lockout, labor dispute, riot<br />
or any other cause or agency over which <strong>PHMA</strong> has no<br />
control, or should <strong>PHMA</strong> decide that because of any such<br />
cause it is necessary to cancel, postpone, or re-site the<br />
exposition, or reduce the installation time, exhibit time, or<br />
moveout time, <strong>PHMA</strong> shall not be liable to indemnify or<br />
reimburse the exhibitor in respect to any damage or loss,<br />
direct or indirect, arising as a result thereof.<br />
5. Exhibit Space Assignment. The application for<br />
exhibitor space is sent out to our Platinum Corporate<br />
Members for first selection, a week later it is sent to our<br />
Gold members and a week later to our Silver members.<br />
It is then sent to non-corporate businesses. You may fax<br />
your application to 540-286-3125 or mail it to <strong>PHMA</strong>,<br />
154 Fort Evans Rd, NE, Leesburg, VA 20176. Applications<br />
are processed in the order that they are received. If none<br />
of your booth choices are available, you will be contacted<br />
by phone for your next choices. If we do not receive<br />
your next choices within 24 hours, we will move to the<br />
next applicant. <strong>PHMA</strong> reserves the right to make final<br />
determination of all space assignments in the best interest<br />
of the exposition. <strong>PHMA</strong> reserves the right to approve<br />
individual representative(s) for vendors and to have<br />
other individual representative(s) substituted at the sole<br />
discretion of <strong>PHMA</strong>.<br />
6. Relocation of Exhibit Space. <strong>PHMA</strong> may also assign<br />
exhibits among applicant companies to ensure diverse<br />
representation of the federal defense business. <strong>PHMA</strong><br />
reserves the right to change an assigned booth space to<br />
another location at any time it deems necessary.<br />
7. Subletting of Exhibit Space. Exhibitors may not<br />
subcontract their exhibit space with another business or<br />
firm. Only the name of the business or firm will be listed<br />
in official show publications and promotions, including<br />
the onsite brochure.<br />
8. Liability. Although Security Service will be furnished<br />
by <strong>PHMA</strong>, neither <strong>PHMA</strong> nor Hilton Riverside will be<br />
responsible for damage to, loss or theft of property<br />
belonging to or injury to any exhibitor, his agent,<br />
employees, business invitees, visitors or guests. Each<br />
exhibitor is expected to carry his own appropriate<br />
insurance. The exhibitor shall protect, save, indemnify<br />
and hold harmless <strong>PHMA</strong>, Hollins Exposition Services<br />
and/or the Hilton Riverside forever harmless for any<br />
damages or charges imposed for violations of any law<br />
or ordinance, whether occasioned by the negligence<br />
of the exhibitor or those holding under the exhibitor,<br />
except for any of the foregoing indemnified persons or<br />
entities, as well as to strictly comply with the applicable<br />
terms and conditions contained in this agreement and<br />
hold harmless <strong>PHMA</strong>, Hollins Exposition Services and/or<br />
Hilton Riverside against and from any and all losses, costs<br />
(including attorney’s fees), damage, liability, or expense<br />
arising from or out of or by reason of any accident or<br />
bodily injury or other occurrence to any person or persons,<br />
including the exhibitor, its agents, employees, and<br />
business invitees, which arises from or out of or by of said<br />
exhibitors occupancy and use of the hotel premises or a<br />
part thereof, except for those matters directly caused by<br />
the sole negligence of the foregoing indemnified persons<br />
or entities.<br />
9. Exhibitor Insurance. All property of the exhibitor<br />
is understood to remain under its custody and control<br />
in transit to and from or within the confines of the<br />
exhibit area. <strong>PHMA</strong> and Hilton Riverside do not maintain<br />
insurance covering exhibitor’s property. Exhibitor agrees<br />
to carry Comprehensive General Liability coverage<br />
including premises, operations and contractual liability<br />
coverage of at least $500,000 for Personal Injury Liability<br />
and $500,000 for Property Damage Liability Exhibitor<br />
shall also carry Worker’s Compensation insurance in full<br />
compliance with all federal and state laws and covering all<br />
of exhibitor’s employees engaged in performance of any<br />
work for exhibitor with the following coverage: $100,000<br />
for each accident for bodily injury; $100,000 for each<br />
employee for the bodily injury by disease; with a $500,000<br />
policy limit for request , certificates evidencing such<br />
coverage, naming <strong>PHMA</strong> as a co-insured (or additional<br />
insured) and providing that each policy of insurance<br />
required to be maintained contains a clause requiring a<br />
30-day pre-cancellation notice to the insured and the coinsured<br />
for additional insured).<br />
10. Disability Provisions. Exhibitor represents and<br />
warrants (i) that its exhibit will be accessible to the full<br />
extent required by law; (ii) that its exhibit will comply with<br />
the Americans with Disabilities Act (ADA) and with any<br />
regulations implemented by that Act; and (iii) that it shall<br />
indemnify and hold <strong>PHMA</strong> harmless from and against any<br />
and all claims and expenses incurred by or asserted against<br />
<strong>PHMA</strong>, its officers, directors, agents, or employees on the<br />
basis of the exhibitor’s breach of this compliance with any<br />
of the provisions of the ADA.<br />
11. Damage to Property. The exhibitor is liable for<br />
damage caused to any building floors, carpeting, walls,<br />
columns, standard booth equipment , or to the other<br />
exhibitor’s property. The exhibitor may not mar, track,<br />
make holes, and apply paint, lacquer, adhesives, or other<br />
coating to building columns, carpeting, and floors to<br />
standard booth equipment.<br />
12. Exhibits. Minimum space is 10’ x 10’; booth standard<br />
backgrounds are eight feet in height, except where<br />
noted on the floor plan, and divider rails are three feet in<br />
height. Exhibits shall be open only during the times noted<br />
in the published schedule. Exhibits must be constructed so<br />
they do not obstruct the public aisles or general view in<br />
the adjoining spaces.<br />
13. Booths and Equipment. The booth price shall<br />
include back wall, booth divider, and one company name<br />
sign. (7” x 44” identification sign) No other signs may be<br />
used without express permission of <strong>PHMA</strong>. No food or<br />
beverages are allowed in vendor booth excepting samples<br />
of vendor products for the assigned booth of that vendor.<br />
All other furnishings, carpeting, equipment, services,<br />
etc. required by each exhibitor shall be in his/her own<br />
expense and responsibility, and may be ordered through<br />
Hollins Exposition Services. Only the authorized decorator,<br />
Hollins Exposition Services, may provide piping and<br />
draping for the exhibits. No other decorating companies<br />
are permitted on the floor at any time. Arrangements for<br />
electrical and telephone services shall be the responsibility<br />
of the exhibitor and the Hilton Riverside.<br />
14. Delivery and Removal. During the show under no<br />
circumstances will the delivery or removal of any portion<br />
of an exhibit be permitted during the exposition. Vendors<br />
are required to set up exhibits on Saturday-Sunday,<br />
January 15–16, <strong>2011</strong> between 8:00 AM to 6:00 PM. Space<br />
unoccupied by Sunday, January 16, <strong>2011</strong> will be resold by<br />
<strong>PHMA</strong>.<br />
15. Conflicting Events. The Federal Standards of<br />
Conduct and Ethics must be adhered to at all times by<br />
all participants. Among other requirements, the Federal<br />
Standards of Conduct and Ethics preclude vendors and<br />
exhibitors from having hospitality suites for potential<br />
purchasers who act on behalf of the Federal Government<br />
or a related entity.<br />
16. Dismantling. Exhibitor’s displays shall not be<br />
dismantled or packed in preparation for removal prior<br />
to 5:00 PM, Tuesday, January 18, <strong>2011</strong> and no later than<br />
midnight the evening of January 18, <strong>2011</strong>.<br />
17. Badges. Badges shall required for entry into the<br />
exhibit hall at all times. Badges are not transferable and<br />
will be confiscated if worn by other than the person to<br />
whom it was issued. The clear view of the official <strong>PHMA</strong><br />
badge shall not be obstructed. Therefore, business cards<br />
or any other materials are not be used in badge holders.<br />
Each paid booth gets two (2) representative badges. Each<br />
additional badge will cost $200 if requested on or before<br />

18. Character of Exhibits. The General rule of the<br />
exhibit floor is to be a good neighbor. No exhibits will be<br />
permitted which interfere with the use of other exhibits<br />
or impede access to them or impede the free use of<br />
the aisle. Booth personnel are required to confine their<br />
activities within the exhibitor’s booth space.<br />
Exhibits shall not contain audio, visual and other<br />
electronic devices that cause interference with other<br />
exhibitors. Any manner of vendor display with in the<br />
hotel(s) and exhibition center beyond the assigned space<br />
is strictly prohibited.<br />
19. Lodging. All <strong>PHMA</strong> Trade Expo <strong>2011</strong> exhibitors will<br />
stay in <strong>PHMA</strong> designated lodging at the Hilton Riverside,<br />
New Orleans, LA.<br />
20. Children. No persons under the age of 18 are<br />
permitted on the trade show floor during installation<br />
and dismantling.<br />
21. Photography. No camera, photographic equipment,<br />
audio records, video cameras or visual image recorders<br />
of any type are permitted on the trade show floor at any<br />
time. You may take pictures of your booth only by written<br />
permission and with a <strong>PHMA</strong> representative who must be<br />
present when the pictures are taken.<br />
22. Booth Drawings. No booth drawings or giveaways<br />
are permitted.<br />
23. Federal Standards of Conduct and Ethics.<br />
The Federal Standards of Conduct and Ethics must be<br />
adhered to at all times by all participants. Among other<br />
requirements the Federal Standards of Conduct and Ethics<br />
preclude vendors and exhibitors from having hospitality<br />
suites for potential purchasers who act on behalf of the<br />
Federal Government or a related entity. Any vendor,<br />
including a Corporate Member, who fails to abide by the<br />
rules and regulations of <strong>PHMA</strong>, may, in the sole discretion<br />
of <strong>PHMA</strong>, not be invited to exhibit at any further trade<br />
expositions or any other sanctions deemed appropriate<br />
by <strong>PHMA</strong>.<br />
By signing this agreement, the exhibitor warrants its<br />
knowledge of and familiarity with the Federal Standards<br />
of Conduct and Ethics as of the date signed. The exhibitor<br />
warrants its knowledge of all <strong>PHMA</strong> terms, conditions,<br />
regulations and procedures and certifies that they have<br />
the authority to commit our Company’s agreement<br />
to abide by these as well as any attending the <strong>PHMA</strong><br />
Seminar of these terms, conditions, regulations and<br />

Trade Expo Exhibitor Raffles<br />
As an additional booth draw for the success of PDS XXIII, we will once again conduct<br />
exhibitor raffles instead of allowing individual exhibitor drawings.<br />
NOTE: Exhibitor drawings are prohibited.<br />
Exhibitors participating in the raffle will be provided an “Official Raffle Sponsor” sign for their<br />
booth. They will also be listed in our onsite brochure, the Official Raffle Flyer placed in each<br />
attendee bag and on the signage at the entrance of the Trade Expo. There is no limit to the<br />
value of the item to be raffled, but please limit your raffle to one item or package. The price<br />
of the raffle tickets will be 5 for $1.00 and they will be sold from a single booth located on the<br />
trade expo floor, so that exhibitors will not have to deal with making change or carrying cash.<br />
All proceeds of the raffle benefit the <strong>PHMA</strong> Scholarship Fund.<br />
Attendees will place half of the numbered ticket they purchased in a container at the exhibitor‘s<br />
booth. During each session, <strong>PHMA</strong> staff will draw the winning numbers and winners will<br />
be announced immediately. Attendees must be present to win. Once the winner has been<br />
confirmed by <strong>PHMA</strong>, raffle winners will be taken to the appropriate exhibitor booth to collect<br />
the item. Any arrangements for shipping and handling are between the exhibitor and the<br />
winner. <strong>PHMA</strong> WILL NOT SHIP ANY RAFFLE ITEMS.<br />
Each exhibitor that plans to have a raffle must register the item(s) with the Trade Expo<br />
coordinator. Information about your raffle and your logo must arrive to us no later than<br />
November 12, 2010 to ensure placement in the onsite brochure. Logos must be magazine<br />
quality 300 DPI or better resolution in either .TIFF or .EPS format.<br />

<strong>PHMA</strong> is a professional association devoted to the enhancement of<br />
housing services to military members and the families of military<br />
members at Department of Defense installations throughout the world<br />
Membership consists primarily of military and civilian decision makers<br />
who direct the use of over $8 billion of housing funds for the<br />
operation, maintenance, furnishing, repair, improvement and leasing or construction of facilities<br />
annually. Housing personnel oversee family and unaccompanied personnel housing, plus<br />
transient quarters and lodges.<br />
<strong>PHMA</strong> has focused its efforts during the past 38 years on sponsoring educational seminars and<br />
workshops for housing personnel within the Department of Defense, including the Coast Guard.<br />
Much of our training has been in conjunction with our Trade Expos where attendees are able to<br />
talk directly to suppliers and get a first hand look at the exhibitors’ products.<br />
Housing in the Department of Defense is big business and there are wide ranges of products<br />
that are procured on a routine recurring basis. Even with the recent reductions in the Defense<br />
establishment, housing remains a key “Quality of Life” program, receiving comprehensive<br />
support from the senior leadership. Our members include military and civilian personnel<br />
working at Headquarters, middle management commands, and local military installations<br />
around the world. They include Public Works, Base Civil Engineering and Bachelor Housing/<br />
Transient staffs that manage, operate and maintain housing for the Army, Navy, Marine Corps<br />
and Air Force.<br />
Event attendees are about 20% military and 80% civilian. Approximately 15% come from<br />
Headquarters commands that perform planning, budgeting and policy functions for their<br />
respective services and/or for the Office of the Secretary of Defense; approximately 15% come<br />
from intermediate commands that allocate specific funding and oversee regional operations;<br />
and the balance will be individual Commanding Officers, Base Civil Engineers, Public Works<br />
Officers, Housing Directors, Bachelor Housing Managers, Transient Lodging Managers and<br />
housing staffs at the installation or activity level. Grade levels range from SES to GS-4/5 and<br />
from Flag/General Officers to all enlisted grades.<br />
Over 90% of all bases and installations have been represented at the last seminars/workshops<br />
sponsored by <strong>PHMA</strong>. Secondary attendees include <strong>PHMA</strong> staff, Service V.I.P.s, guest speakers,<br />
instructors, spouses and guests, volunteers, and Trade Expo participants. The Association is<br />
International in scope and has a membership of approximately 3,000. Attendees will come from<br />
throughout the United States, and the following international locations:<br />
