BYLAWS OF<br />

MEADOWRIDGE SCHOOL SOCIETY<br />

1. INTERPRETATION<br />

1.1 In these <strong>Bylaws</strong>, unless the context otherwise requires:<br />

a. “Address of the <strong>Society</strong>” means the address of the <strong>Society</strong> as filed with the<br />

Registrar in the Notice of Address;<br />

b. “Appointed Governor” means a person appointed as an Appointed<br />

Governor, or appointed as a replacement Governor for an Appointed<br />

Governor in accordance with the <strong>Bylaws</strong>, but does not include a person<br />

appointed as a replacement Governor for an Elected Governor;<br />

c. “Board” or “Board of Governors” means the Board of Governors acting as<br />

authorized by the <strong>Bylaws</strong> to manage or supervise the management of the<br />

affairs of the <strong>Society</strong> and to exercise the powers of the <strong>Society</strong>;<br />

d. “Board Resolution” means:<br />

i. a resolution passed at a meeting of the Board by a simple majority<br />

of the votes cast by those Governors present and entitled to vote at<br />

such meeting; or<br />

ii.<br />

a resolution that has been submitted to all of the Governors and<br />

consented to in writing, including electronic mail, by 75% of the<br />

Governors who would have been entitled to vote on it in person at a<br />

meeting of the Board;<br />

e. “<strong>Bylaws</strong>” means the <strong>Bylaws</strong> of the <strong>Society</strong> as filed with the Registrar;<br />

f. “Chair” means a person appointed to the office of Chair in accordance with<br />

the <strong>Bylaws</strong> but such office holder may, with the approval of a Board<br />

Resolution, use any title incorporating the term “Chair”, in substitution<br />

therefore;<br />
