<strong>Terms</strong> <strong>of</strong> <strong>Business</strong> For Pr<strong>of</strong>essional <strong>Clients</strong><br />

<strong>and</strong> Eligible Counterparties<br />

used <strong>for</strong> the Overnight REPO <strong>and</strong> we will select the most liquid securities according to the prevailing market<br />

conditions.<br />

3.6. To cover debit securities balance in your account in case <strong>of</strong> Open Short Margin Positions as <strong>of</strong> the end<br />

<strong>of</strong> settlement day the appropriate quantity <strong>of</strong> securities shall be bought in the first part <strong>of</strong> the Overnight Reverse<br />

REPO <strong>and</strong> in the second part <strong>of</strong> the Overnight Reverse REPO the said quantity <strong>of</strong> securities shall be sold; in<br />

such a case the purchase price shall be equal to the sale price.<br />

3.7. If your open margin Positions are rolled over to the next business date by executing Securities<br />

Lending/Borrowing Transactions the following method is applicable. The appropriate quantity <strong>of</strong> securities shall<br />

be lent in the Overnight Securities Lending Transactions <strong>and</strong> the cash collateral received from us from the<br />

securities lending Transactions are used to cover the existing debit cash balance in your account. We reserve<br />

the right to decide which securities in your custody account may be used <strong>for</strong> the Overnight Securities Lending<br />

Transactions <strong>and</strong> we will select the most liquid securities according to the prevailing market conditions. To<br />

cover debit securities balance in your account in case <strong>of</strong> Open Short Margin Positions as <strong>of</strong> the end <strong>of</strong> a<br />

settlement day the appropriate quantity <strong>of</strong> securities shall be borrowed from us <strong>for</strong> an exchange <strong>of</strong> cash<br />

collateral.<br />

3.8. Where the term <strong>of</strong> your Open Short Margin Position extends over the record date <strong>for</strong> any dividends,<br />

other income or distributions (“the income”) in respect <strong>of</strong> any securities borrowed by you <strong>for</strong>m us, you shall,<br />

within two days upon receipt <strong>of</strong> the income, pay or deliver to us a sum <strong>of</strong> money or property equivalent to (<strong>and</strong><br />

in the same currency as) the type <strong>and</strong> amount <strong>of</strong> such income as distributed by the issuer in respect <strong>of</strong> such<br />

securities. For the avoidance <strong>of</strong> doubt, unless otherwise agreed between you <strong>and</strong> us, references in this<br />

paragraph to the amount <strong>of</strong> any income distributed by the issuer <strong>of</strong> any loaned securities shall be to an amount<br />

paid without withholding or deducting any amount <strong>for</strong> or on account <strong>of</strong> any taxes or duties if a payment <strong>of</strong> such<br />

income made is subject to such a withholding or deduction<br />

4. Order Execution<br />

4.1. We shall accept <strong>and</strong> execute your orders provided that the resulted margin level will not be less than<br />

the amount <strong>of</strong> the Limiting Margin level taking into consideration future settlements <strong>of</strong> previously executed<br />

Transactions <strong>and</strong> our commissions <strong>and</strong> expenses that are due to be paid by you. If your current margin level is<br />

lower than the Limiting Margin Level set by us, but it is still higher than the Critical Margin Level, we shall<br />

execute only orders which shall not reduce the current margin level.<br />

4.2. We shall not accept <strong>and</strong> execute any <strong>of</strong> your orders including funds <strong>and</strong>/or securities withdrawal if as a<br />

result <strong>of</strong> such Transactions your current margin level becomes lower than the amount <strong>of</strong> the Limiting Margin<br />

Level, except <strong>for</strong> execution <strong>of</strong> Overnight REPO, Overnight Reverse REPO, Overnight Securities Lending or<br />

Overnight Securities Borrowing Transactions <strong>and</strong> withdrawal <strong>of</strong> our fees <strong>and</strong> commissions. We shall accept<br />

<strong>and</strong> execute your orders <strong>for</strong> the funds <strong>and</strong>/or securities withdrawal only <strong>for</strong> funds <strong>and</strong> securities which have not<br />

been collateralized by us as a result <strong>of</strong> your trades.<br />

5. Collateral <strong>and</strong> Margin Levels Calculation<br />

The amount <strong>of</strong> collateral (AC), requested by us <strong>for</strong> the execution <strong>of</strong> margin Transactions shall be calculated<br />

taking into consideration all securities sales <strong>and</strong> purchase Transactions, entered into <strong>and</strong> not yet settled no<br />

later than the end <strong>of</strong> current business day under the following <strong>for</strong>mula:<br />

CC (<strong>Clients</strong>’ Cash) is amount <strong>of</strong> cash in your account in definite currency on current settlement day as well as<br />

an amount <strong>of</strong> cash which shall be delivered to your cash account as a result <strong>of</strong> prior executed Transactions<br />

minus cash which shall be debited from your cash account as a result <strong>of</strong> the prior executed Transactions;<br />
