<strong>Terms</strong> <strong>of</strong> <strong>Business</strong> For Pr<strong>of</strong>essional <strong>Clients</strong><br />
<strong>and</strong> Eligible Counterparties<br />
SECTION A: GENERAL TERMS 1<br />
1. Purpose <strong>and</strong> Basis <strong>of</strong> These <strong>Terms</strong><br />
The full name <strong>of</strong> our firm is <strong>Otkritie</strong> Securities Limited (hereinafter referred to as “<strong>OSL</strong>”). The address <strong>of</strong> our<br />
registered <strong>of</strong>fice is 12th Floor, 88 Wood Street, London EC2V 7RS UK. We are registered in Engl<strong>and</strong> <strong>and</strong><br />
Wales under registered No. 4621383, we are the subsidiary <strong>of</strong> the <strong>Otkritie</strong> Financial Corporation registered<br />
under the law <strong>of</strong> the Russian Federation.<br />
1.1. <strong>OSL</strong> is authorised by the Financial Services Authority (the “FSA”) <strong>and</strong> regulated by the FSA to conduct<br />
investment business under the Financial Services <strong>and</strong> Markets Act 2000. Our Firm Reference Number (“FRN”)<br />
is 225539.<br />
1.2. These General <strong>Terms</strong>, together with other applicable sections <strong>of</strong> the <strong>Terms</strong> <strong>of</strong> <strong>Business</strong> <strong>for</strong><br />
Pr<strong>of</strong>essional <strong>Clients</strong> <strong>and</strong> Eligible Counterparties <strong>of</strong> <strong>OSL</strong> (the “<strong>Terms</strong>” or “<strong>Terms</strong> <strong>of</strong> <strong>Business</strong>”) will apply to all<br />
investment <strong>and</strong> connected business which we may carry on with or <strong>for</strong> you in accordance with these <strong>Terms</strong>,<br />
subject to the terms <strong>of</strong> any other agreement relating to any specific business or Transaction between you <strong>and</strong><br />
us.<br />
2. Definition <strong>and</strong> Construction<br />
2.1. Save where provided in clause 2.2 or where the context otherwise requires, words <strong>and</strong> phrases<br />
defined in the FSA Rules shall have the same meanings when used in these <strong>Terms</strong>.<br />
2.2. The following words <strong>and</strong> phrases shall have the following meanings in the <strong>Terms</strong>:<br />
“Act”<br />
“Affiliates”<br />
“Applicable Regulations”<br />
“Assets”<br />
“Base Currency”<br />
“<strong>Business</strong> day”<br />
“DVP”<br />
“Exchange”<br />
“FSA Rules”<br />
“FSA”<br />
means the Financial Services <strong>and</strong> Markets Act 2000, as amended from<br />
time to time;<br />
means any affiliated company (as defined in the FSA Rules);<br />
has the meaning ascribed to it in Clause 5.1.1 the General <strong>Terms</strong>;<br />
means cash <strong>and</strong> investment <strong>and</strong> related instruments;<br />
means United States Dollars (USD);<br />
means (a) any day other than Saturday, Sunday or a public holiday in<br />
Engl<strong>and</strong> on which commercial banks <strong>and</strong> Exchanges are open <strong>for</strong><br />
business; <strong>and</strong> (b) in relation to the payment <strong>of</strong> any sum denominated in<br />
Russian rubles, any day other than Saturday, Sunday or a public<br />
holiday in Russia on which commercial banks are open <strong>for</strong> business in<br />
Moscow;<br />
means delivery versus payment;<br />
means each <strong>of</strong> those exchanges where we have agreed with you to<br />
undertake Transactions in accordance with the <strong>Terms</strong>;<br />
means the rules <strong>and</strong> guidance <strong>of</strong> the FSA from time to time as set out in<br />
the FSA’s H<strong>and</strong>book <strong>of</strong> Rules <strong>and</strong> Guidance<br />
(http://www.fsa.gov.uk/Pages/h<strong>and</strong>book/);<br />
means the Financial Services Authority <strong>of</strong> the United Kingdom;<br />
