Corporations Law Why CCH CCH Corporations Law Library Are you up-to-date The regulation of corporations under the Corporations Act and other related legislation continued to grow very significantly during 2009, and 2010 promises to provide further legislative and other changes. Apart from the proposal to make ASIC the main regulator in relation to securities markets (removing this role from ASX), the legislative amendments for 2010 will introduce further important changes as a result of the report of the Corporations & Markets Advisory Committee on market integrity. A package of reforms to insolvency laws has been announced, including the long awaited and controversial proposal to adopt a modified statutory business judgment rule in respect of the director’s duty to avoid insolvent trading. There have also been some very significant court decisions dealing with directors’ duties and related matters (including ASIC v Macdonald and ASIC v Rich). The significant decision on continuous disclosure in ASIC v Fortescue Metals, together with the continued use of the infringement notice regime by ASIC, has increased the spotlight on this area of corporate law.
