CORPORATE STRUCTURE
The Company was incorporated under the Canada Business Corporations Act as 3061213 Canada Inc. by articles of
incorporation dated August 19, 1994. By articles of amendment dated September 29, 1994, the Company changed its
name to General Minerals Corporation. By articles of amendment dated October 31, 1994, the Company amended its
authorized capital to create special shares as a new class of shares. By articles of amendment dated June 17, 2003, the
Company consolidated its issued and authorized common shares on a one-for-ten basis. By articles of amendment dated
August 31, 2007, the Company changed its name to Sprott Resource Corp. By articles of amendment dated June 3,
2008, the special class of shares created on October 31, 1994 was eliminated.
