RESOLUTION NO 12 A RESOLUTION FROM THE CITY COUNCIL OF THE CITY OF LATHROP AUTHORIZING THE MAYOR TO EXECUTE A SETTLEMENT AND RELEASE AGREEMENT WITH TCN PROPERTIES LP VALLEY LANDSCAPING AND MAINTENANCE INC AND DEVELOPERS SURETY AND INDEM NITY COMPANY FOR THE MOSSDALE LINEAR PARK BONDS FOR TRACTS 3073 AND 3438 BOND NOS 569134S 5691355 AND SURETY BOND FOR MOSSDALE LANDING BUSINESS PARK PUBLIC IMPROVEMENTS BOND NO 5691375 WHEREAS the City and TCN Properties LP TCN seek to enter into a settlement and release agreement regarding the bonds to complete work associated with the construction of the Mossdale Linear Park Bonds for Tracts 3073 and 3438 Bond No s 5691345 5691355 and surety bond for Mossdale Landing Business Park public improvements Bond No 569137s and WHEREAS DSIC remains obligated under Bond No 5691345 and 5691355 for Tract 3438 and 3073 and TCN remains obligated to complete the construction of corresponding linear parks until City the releases the corresponding bonds and the City is not hereby releasing those bonds and WHEREAS bond no 5691375 secures completion of the Public Improvements which TCN was required to construct for the Mossdale Landing Business Park which included Conditions No 28 and 29 performance bond posted December of 2006 in penal sum of98 185 and WHEREAS considering all the covenants and agreements contained in the settlement agreement all parties have agreed that within 20 days of the effective date of the settlement agreement DSIC shall pay to City the sum of Fifty Three Thousand Six Hundred Dollars 53 600 to be deposited into Developer Account 271 0000 201 1401 and upon twenty 20 days of the receipt of said sum City shall release Bond No 5691375 NOW THEREFORE BE IT RESOLVED that the City Council of the City of Lathrop does hereby authorize the Mayor to Execute a Settlement and Release Agreement with TCN Properties LP Developers Surety and Indemnity Company and Valley Landscaping and Maintenance Inc for the Mossdale Linear Park Bonds for Tracts 3073 and 3438 Bonds No s 569134S 5691355 and Surety Bond for Mossdale Landing Business Park Public Improvements Bonds No 5691375 However this action does not release the listed bonds themselves until a separate action is taken by Council at a future meeting 28
