FOOTBALL 2006 — <strong>2007</strong><br />

Introduction<br />

For the first time in this year’s annual review, the <strong>Report</strong>s of the Board and<br />

Management are combined, reflecting the directions encompassed in our Strategic Plan<br />

whereby the governance and management structures, whilst operating under clearly<br />

delineated protocols, work as a unit to ensure optimal outcomes for <strong>Northern</strong> <strong>NSW</strong><br />

<strong>Football</strong> (N<strong>NSW</strong>F).<br />

During <strong>2007</strong> the Board of Directors and Management have worked to achieve the<br />

outcomes of the Strategic Plan and to manage change necessary to comply with<br />

<strong>Football</strong> Federation Australia’s (FFA) Governance changes, policy development,<br />

Customer Relations Management system and the review of football under the <strong>Football</strong><br />

Development Plan.<br />

N<strong>NSW</strong>F received strong support for its Strategic Plan and governance structure when<br />

at the launch of the Plan and new branding in November 2006 the former CEO of FFA<br />

John O’Neill described it as ‘..a model for all other football states’. It is a pleasure to<br />

report on progress with the Plan.<br />

Directorship<br />

This year the Board set targets to progress the professionalism of the Board. Integral to<br />

that progress the Board developed a Directors’ Charter, a Board Code of Conduct and a<br />

Communication Strategy.<br />

The Communication Strategy, which would have been linked to the new website, will,<br />

if the Board determines, be set as a target for 2008.<br />

Earlier this year the Board adopted the Directors’ Charter and Code of Conduct.<br />

Board of Directors’ Charter<br />

Powers of the Board<br />

The powers and duties of the Directors are defined at law, in the N<strong>NSW</strong>F Constitution,<br />

in N<strong>NSW</strong>F By-Laws and in N<strong>NSW</strong>F Board policies, as determined from time to time.<br />

Responsibilities of the Board<br />

• act in the best interests of N<strong>NSW</strong>F, its Members and its Stakeholders<br />

• set the strategic direction for N<strong>NSW</strong>F<br />

• set the appropriate corporate culture to reflect the business and football needs<br />

of N<strong>NSW</strong>F<br />

• bring an independent and objective view to decision making<br />

• ensure the long term viability of N<strong>NSW</strong>F<br />

• enhance N<strong>NSW</strong>F’s position and standing within FFA<br />

• set clear and concise parameters in delegating authority to the CEO for<br />

management of N<strong>NSW</strong>F<br />

Role of the Board<br />

• ensure proper corporate governance<br />

• review and approve the N<strong>NSW</strong>F Strategic Plan<br />

Composition of the Board<br />

Board Meeting Protocols<br />

• frequency of meetings is determined annually by the Board<br />

Director’s Code of Conduct 1. A Director must act honestly, in good faith and in the best interests of the<br />

Company (N<strong>NSW</strong>F) as a whole.<br />

2. A Director has a duty to use due care and diligence in fulfilling the functions of<br />

office and exercising the powers attached to that office.<br />

3. A Director must use the powers of office for a proper purpose, in the best<br />

interests of N<strong>NSW</strong>F as a whole.<br />

4. A Director must recognise that the primary responsibility is to N<strong>NSW</strong>F, but<br />

should, where appropriate, have regard for the interests of all stakeholders.<br />

5. A Director must not make improper use of information acquired as a Director.<br />

6. A Director must not take improper advantage of the position of Director.<br />

7. A Director must not allow personal interests or the interests of any associated<br />

person, to conflict with the interests of the company.<br />

8. A Director must declare any possible conflict of interest at the earliest possible<br />

opportunity and may not be involved in any discussion or decision concerning<br />

the possible conflict.<br />

9. A Director has an obligation to be independent in judgement and actions and to<br />

take reasonable steps to be satisfied as to the soundness of all decisions taken<br />

by the Board.<br />

10. Confidential information received by a Director in the course of the exercise of<br />

Directorial duties remains the property of N<strong>NSW</strong>F and it is improper to disclose it,<br />

or allow it to be disclosed, unless that disclosure has been authorised by N<strong>NSW</strong>F,<br />

or the person from whom the information is provided, or is required by law.<br />

11. A Director should not engage in conduct likely to bring discredit upon N<strong>NSW</strong>F.<br />

12. A Director has an obligation, at all times, to comply with the spirit, as well as all<br />

legal requirements applicable to the Board.<br />

Professionalisation<br />

N<strong>NSW</strong>F is continuing to implement the sweeping changes to football decreed in the<br />

Crawford <strong>Report</strong>. With the blessing of the FFA, N<strong>NSW</strong>F will proceed with the next<br />

step – the introduction of professional management structures within the State’s<br />

seven (7) Zones.<br />

The management of the Zones will move away from the traditional committee<br />

structure to an elected Zone Standing Committee which will work with professional<br />

Zone management teams responsible for each Zone. The structure will provide an<br />

improved sustainable mechanism for the sport and deliver a central point of information,<br />

communication and decision making within each Zone. Management has had meetings<br />

with all Zones, or their representatives, and will continue to consult with Zones to develop<br />

the optimum processes, including a time frame, to implement this new structure. Once<br />

again, we are the first football state, indeed of any sport, to commence such reform.<br />

The Administrator’s Seminars were again well supported. This program, which is<br />

unique to N<strong>NSW</strong>F provides a valuable conduit to aid the development of administrators<br />

at the ‘grassroots’. Our Club Resource Manual, which will form the basis for the 2008<br />

seminars, has been updated and enhanced to provide the latest compliance information<br />

necessary to conduct football and business at the Club level.<br />

N<strong>NSW</strong>F (CEO and our Patron, the Hon. J. R. Face) has continued the Board’s policy<br />

of engaging with the various levels of government in our jurisdiction. In all forty<br />

representatives of all levels of government were contacted in an awareness program<br />

that is an integral part of the Strategic Plan. We sincerely thank these people, listed<br />

below, for providing the opportunity to meet with them and to discuss the future of<br />

football in <strong>Northern</strong> <strong>NSW</strong>.<br />

Business<br />

<strong>Northern</strong> <strong>NSW</strong> <strong>Football</strong> Limited has again returned a strong result for football, with<br />

improved revenues generated through substantial growth in player participation and<br />

other revenue streams. For the third successive year N<strong>NSW</strong>F has managed to produce<br />

an enviable result with a $nil increase in player fees, yet continued to deliver high quality<br />

football programs balanced with further expansion of grassroots and community football.<br />

Further testimony to N<strong>NSW</strong>F’s commitment to applying proper business principles<br />

to its operations <strong>2007</strong> represents the eighteenth consecutive year that N<strong>NSW</strong>F has<br />

returned a surplus.<br />

<strong>2007</strong> also represents a significant milestone in N<strong>NSW</strong>F’s history, in that, as at 31st<br />

August N<strong>NSW</strong>F had fifty thousand (50,000) registered players, in comparison with the<br />

thirty thousand (30,000) registered players in 1997.<br />

N<strong>NSW</strong>F is working closely with FFA in meeting its full statute requirements under<br />

FIFA, particularly in regard to the implementation of standardised regulations relating<br />

to Registration, Disciplinary, Conduct and Grievance policies. N<strong>NSW</strong>F is one of only<br />

two States that have managed to meet the FFA deadlines, thereby placing itself at<br />

an advantage in implementing the next stages, including the CRM system, over the<br />

ensuing seasons.<br />

Through the expertise and knowledge of our Business Manager, Chad West, N<strong>NSW</strong>F<br />

has assumed a leading role in piloting the new technologies for FFA necessary to meet<br />

the demands for a national approach to these policies.<br />

During the financial year, in fulfilment of directorial responsibility and proper business<br />

management, the Board commissioned a number of audits of various aspects of our<br />

operations. The audits were primarily designed to test compliance, performance and<br />

internal controls. To date there has not been any material deficiency upon which to<br />

report or action.<br />

N<strong>NSW</strong>F is committed to continuing to ensure its long-term financial stability and<br />

viability while, at the same time, identifying new services and revenue opportunities<br />

Marketing<br />

This year, led by Marketing & Communications Manager, David Cromarty, we have<br />

driven forward with the re-branding of <strong>Northern</strong> <strong>NSW</strong> as a <strong>Football</strong> State of FFA.<br />

In part this has been achieved with the valued assistance of our long-standing partner,<br />

NBN Television, through a successful advertising campaign, in which we have<br />

continued to raise the profile of N<strong>NSW</strong>F through the promotion of our marquee players,<br />

Stuart Musialik and Jenna Tristram, both of whom were N<strong>NSW</strong>F juniors, who have<br />

achieved National representation.<br />

Marketing has worked successfully with other Departments to better promote services,<br />

including:<br />

• the excellent promotion with the Newcastle Jets at Home games, of small-sided<br />

games for the <strong>Football</strong> Department, with David Smith and Anthony Richards.<br />

This also demonstrates our commitment to the success of the A League in our area.<br />

• the continuation of an exceptional partnership with McDonalds in successfully<br />

promoting football through the McDonalds Schools Development Program.<br />

• the development of high quality publications, including the Club Merchandise<br />

catalogue and the Club Administration Manual.<br />

• the further refinement of our television advertising in partnership with NBN<br />

Television to produce professional advertisements for both the promotion of<br />

the game, in general, and specific campaigns for the NBN State league and the<br />

annual Armidale Camp.<br />

• the implementation and continued revision of a wider, more targeted news<br />

media footprint across television, radio and press to effectively promote the<br />

game across <strong>Northern</strong> <strong>NSW</strong>.<br />

The new website project with which we have worked closely with FFA and<br />

a leading international technology and web services provider will be launched in 2008.<br />

The new site will facilitate much improved communication between players, clubs,<br />

Zones, N<strong>NSW</strong>F and FFA.<br />

Through the expertise and dedication of David Cromarty, we have continued to grow<br />

our list of valued corporate partners and supporters (acknowledged separately), whom<br />

we thank most sincerely for their generous contribution to the promotion and enhanced<br />

professionalism of the game in <strong>Northern</strong> <strong>NSW</strong>.<br />

<strong>Football</strong><br />

FFA has recently conducted a review of the Talent Development & Identification<br />

Programs and Pathways in Australia. The major ‘grassroots’ recommendations from<br />

the Review is the need to adopt age-appropriate small-sided games (SSG) as part of<br />

a nationally consistent format for players U/12 and below. A number of <strong>Northern</strong> <strong>NSW</strong><br />

<strong>Football</strong> Zones have incorporated the SSG philosophy into their existing programs.<br />

We have enthusiastically welcomed the report and its recommendations in respect to<br />

the implementation of SSG initiatives throughout Australia, that will see all Zones from<br />

2009 adopt the SSG format for their Under 6, 7 and 8’s, with the program progressively<br />

rolled out from 2010.<br />

<strong>Football</strong> Federation <strong>Northern</strong> Territory and Capital <strong>Football</strong> now have all age groups<br />

playing according to the new format. Also, Ku-ring-gai Association in Sydney has<br />

implemented the new format for 6 and 7 years during this year.<br />

In September, the <strong>Football</strong> Department organised a SSG day at The Gardens in<br />

the Hunter Valley. The program was well received and supported with those who<br />

participated recognising the benefits of the format.<br />

The Board has formally endorsed these recommendations, which will be driven by<br />

<strong>Football</strong> Manager, David Smith and the many coaches who have willingly supported<br />

N<strong>NSW</strong>F throughout recent years.<br />

As part of our commitment to FFA, N<strong>NSW</strong>F will support Zones who wish to voluntarily<br />

adopt the new format in 2008 for Under 6 & 7 age groups.<br />

Congratulations also to our male and female State teams on their performances at the<br />

<strong>2007</strong> FFA National Youth Championships, in a year which has seen six of our junior<br />

players selected for full Australian honours at Under 17 level and to further enhance<br />

the player pathways at elite level.<br />

N<strong>NSW</strong>F, through David Smith, have secured an <strong>NSW</strong>IS <strong>Football</strong> program in Newcastle,<br />

and not in Sydney, for both female and male <strong>Northern</strong> players. We acknowledge and<br />

certainly appreciate David Smith’s efforts and expertise, which now enable N<strong>NSW</strong>F to<br />

provide quality football education for our elite players. The appointment of Garry Phillips<br />

as a fulltime <strong>NSW</strong>IS Coach, strategically, provides better opportunities, with our own<br />

<strong>NSW</strong>IS pathway, for players across <strong>Northern</strong> <strong>NSW</strong>.<br />

Finally, the <strong>Football</strong> Department would like to acknowledge the valuable contribution<br />

made by Anthony Richards during his time as Staff Development Coach, particularly<br />

in his dedication in the implementation of grass roots programs such as Telstra<br />

<strong>Football</strong> Anytime.<br />

Operations<br />

The major initiative this year was the review of N<strong>NSW</strong>F senior football competitions<br />

and elite pathways.<br />

The NBN League, 2009 – 11, will be refined to eight (8) clubs that will field U/18, U/23<br />

and First Grade. The NEWFM League, 2009, will comprise ten (10) clubs with U/19,<br />

Reserve Grade and First Grade.<br />

It is worthy of note that <strong>2007</strong> is the second year of operation of both the State and First<br />

Division Leagues Standing Committees thereby finalising the tenure of each Committee<br />

Chairman. On behalf of N<strong>NSW</strong>F we extend our appreciation to Larry Urdarov (State) and<br />

Vic Eather (First Division) for their excellent contributions to football. Elections for the<br />

positions, for which each of the retiring chairmen may renominate, will be held in 2008.<br />

The SYL, with the inclusion of Central Coast, will continue as a six (6) team format in<br />

2008. A further review of the SYL will take place for the 2009 season.<br />

Again, N<strong>NSW</strong>F gained the accolades from all States for its hosting of the FFA National<br />

Youth Championships at Coffs Harbour during July (Female) and September (Male)<br />

this year. Next year will be the third consecutive and final year at Coffs Harbour under<br />

the current agreement with FFA. The N<strong>NSW</strong>F team, led by Operations Manager, Alan<br />

Nisbet, have again lifted the benchmark for the conduct of future Championships.<br />

As part of our compliance with the Crawford <strong>Report</strong> reforms we have developed a<br />

structure to administer Futsal throughout our region. Notwithstanding that sixteen (16)<br />

centres have now affiliated with our Futsal program, there is much yet to be achieved<br />

to have the program effectively operational and FFA compliant.<br />

The Crawford <strong>Report</strong> further required the establishment of a Referees’ Standing<br />

Committee, of which the Chairman, Glen Gibbs (Lismore), has, with Alan Nisbet,<br />

gradually brought about the changes necessary to comply with FFA policies.<br />

To assist with the changes N<strong>NSW</strong>F has employed a Referees Development Officer,<br />

Ossie Bellamy, who in a short time has contributed significantly to our programs.<br />

Merchandise performed strongly but volume did not meet expectations. We will<br />

continue to supply a convenient and competitive range of football merchandise for the<br />

Conclusion<br />

The progression of the Strategic Plan has achieved some important outcomes. In other<br />

areas, such as the development of elite training facilities, much time and effort has<br />

been expended but as yet without tangible gains.<br />

Both the Board and Management will review the Strategic Plan early in 2008.<br />

We wish to thank the Board - Deputy Chairman John Simpson, Max Kershaw, Phil Holt,<br />

Peter Moore and Greg Wilson - for the professional contribution they have made to<br />

make our team so successful and ensuring that the Strategic Plan is the focus of the<br />

operation of the Board.<br />

3. Results The net result of operations was a profit of $322,885 (2006 profit $430,567 )<br />

The Concise Financial <strong>Report</strong> is presented in Australian Dollars.<br />

4. Review of Operations For the <strong>2007</strong> Financial year a net profit of $322,885 was generated from $3,936,814<br />

in revenue and $3,613,929 in expenditure. Profitability was primarily due to an increase<br />

in player numbers of 7.4% on last year’s participation and continued improvements of<br />

operating expenditure.<br />

5. Significant Changes There have been no significant changes in the activities conducted by the Company<br />

in the year under review.<br />

6. Events Subsequent to Balance Sheet Since the end of the financial year the Directors are not aware of any matters or<br />

circumstances not otherwise dealt with in the report or accounts that has significantly<br />

or may significantly affect the operations of the Company, the results of those<br />

There are no likely developments in the operations of the Company in subsequent<br />

8. Indemnifying Officer or Auditor The Company has not, during or since the financial year, in respect of any person who is<br />

• Indemnified or made any relevant agreements for indemnifying against a liability<br />

incurred as an officer including costs and expenses in successfully defending<br />

legal proceedings or,<br />

• paid or agreed to pay a premium in respect of a contract insuring against<br />

During the financial year the Company has paid a premium in respect of a contract of<br />

insurance insuring Directors and Officers ( including former and future Directors and<br />

such insurance is prohibited by the contract of insurance.<br />

10. Directors Benefits Since the end of the previous financial year no Director has received or become<br />

entitled to receive a benefit (other than a benefit included in the aggregate amounts<br />

of emoluments received or due and receivable by Directors shown in the accounts<br />

or received as the fixed salary of a full time employee of the Company) by reason<br />

of a contract made by the Company or by a related corporation with the Director or<br />

with a firm of which he is a member, or with a company in which he is a substantial<br />

11. Environmental Regulations The Company’s operations are subject to various environmental regulations under both<br />

Commonwealth and State Legislation. The Directors are not aware of any breaches of<br />

The Balance Sheet sets out the assets and liabilities of the Company as at 30th September<br />
