Dear Director Lance:<br />

In accordance with conversations I have had over the past few weeks with Mr. Russ<br />

Noel of your office and with you, I enclose our formal application for the nomination of<br />

private land owned by The <strong>Wyoming</strong> Land and Improvement Company for acquisition<br />

by the <strong>State</strong> of <strong>Wyoming</strong> Board of Land Commissioners. Our shareholders voted to<br />

approve the sale at our annual meeting in August of 2008. I have been authorized by<br />

them to bring this transaction to fruition if the state is willing, provided the state will meet<br />

appraised value in terms of purchase price.<br />

The land in question has been owned by this corporation since approximately 1885 and<br />

comprises the following:<br />

Section 21, Township 14 North, Range 76 West of the 6th P.M., Albany County,<br />

<strong>Wyoming</strong>, being all of the surface estate containing the south half of the section<br />

encompassing 279 acres, more or less.<br />

The land is located approximately 20 miles west of the town of Laramie with legal<br />

access from off of <strong>State</strong> Highway 230. It is mostly native grass and rolling hills with a<br />

portion of Sodergreen Lake located on the parcel providing public fishing and other<br />

recreational opportunities. The parcel adjoins a large block of <strong>State</strong> Trust land known as<br />

the X-Bar Ranch.<br />

Acquisition of the land by the <strong>State</strong> would meet several of the Board’s trust objectives in<br />

that it would provide improved legal access and recreational opportunities, block up with<br />

existing Trust lands providing improved manageability, and offer additional avenues for<br />

revenue. It would also meet our shareholders’ wishes that the land be used for<br />

recreational purposes and that it continue to form a part of the habitat for wildlife.


Pursuant to the Board of Land Commissioners Rules and Regulations, The <strong>Wyoming</strong><br />

Land and Improvement Company hereby requests that the foregoing land be placed on<br />

the Category I Acquisition List as maintained by your office. We further request that you<br />

make a determination that the above-described land is suitable for acquisition by the<br />

<strong>State</strong> of <strong>Wyoming</strong>, Board of Land Commissioners so that the land may be moved to the<br />

Category II Acquisition List required by Chapter 26, Section 3, or the Boards Rules and<br />

Regulations.<br />

Attached hereto for your information and files are the following:<br />

1. Office of <strong>State</strong> <strong>Lands</strong> and Investments Application for Acquisition of Private Land.<br />

2. The <strong>Wyoming</strong> Land and Improvement Company, Secretary of <strong>State</strong>’s Certificate<br />

Chapter 26, Section 3, of the Rules and Regulations of the Board of Land Commissioners states: “(a) Any person,<br />

This Application, which consists of the “Instructions for Application to Propose Private Land for Acquisition”,<br />

the “Trust Land Management Objectives”, and all attachments necessary to complete this Application, must be<br />

completed in its entirety before any evaluation can take place.<br />

The failure to fully complete the Acquisition Application or provide all of the required information and<br />

documentation may result in either a significant delay in the office of <strong>State</strong> <strong>Lands</strong> and Investments’ ability<br />

to consider the Application or the rejection of the Application.<br />

will be purchased; (iii) if the Board of Land Commissioners or the Office of <strong>State</strong> <strong>Lands</strong> and Investments determine<br />

at any time dining the evaluation process that the proposed acquisition will not be in the best interest of the <strong>State</strong><br />

Land Trust, this application will be denied; and (iv) the Board of Land Commissioners and the Office of <strong>State</strong><br />

<strong>Lands</strong> and investments reserve the right to reject this application at any time prior to the Director’s execution of an<br />

The company was formed on July 26, 1884 by nine prominent Laramie businessmen,<br />

among them Augustus Trabing, Thomas Alsop, Col. Stephen W. Downey and Henry R. Baich.<br />

Their attorney was Nellis B. Corthell, who had been admitted to the <strong>Wyoming</strong> Territorial Bar in<br />

1883 and established a law firm which still exists in Laramie.<br />

The purpose of the original investors was to acquire land from the sections the U. S.<br />

Congress granted the Union Pacific Railroad Company in order to finance the construction of the<br />

railroad through the western part of the continent. In all, the company acquired some 600,000<br />

acres spreading out mainly along the Laramie River north and south of what is now Laramie.<br />

Many large ranches were assembled and sold, an extensive irrigation system was constructed and<br />

put into operation, and farms were sold in the irrigated areas. A new townsite was laid out near<br />

Laramie (to the north), and industrial sites were developed near Laramie.<br />

By 1910 the original major investors had completed their project and departed, leaving<br />

about 280 acres to the southwest of Laramie including a portion of the border of Sodergreen<br />

Lake, a Laramie city reservoir, and some 150 acres just north of Laramie. There was some<br />

controversy about the glowing prospectus issued by the company in the first years, and many of<br />

the “irrigated farms” did not fare very well; Laramie is not ideally situated for garden farming,<br />

and in dry years the irrigation system was not adequate to keep them productive. I basically<br />

ceased any operations, except for holding what land remained.<br />

The company has held shareholder meetings and meetings of directors fairly regularly<br />

since 1910, and through death and inheritance the number of shareholders has increased, but<br />

percentages of ownership have naturally declined through the same process. Shareholders are<br />

now located all over the country and one lives abroad. The officers and directors currently in<br />

office were elected in 2008, and are all from Laramie or within a couple of hours’ drive. The<br />

company transacts almost no business, but at the 2008 meeting the shareholders voted to sell the<br />

remaining lands, which constitute the company’s only assets other than a small bank account,<br />

because there are fewer and fewer people willing to take on the administrative duties to keep the<br />

company alive, and none who are willing to undertake the tremendous job of developing any of<br />

the lands. A small parcel to the north of Laramie along the river will be given to the City of<br />

Laramie Parks Sc Recreation Department as part of the greenbelt system.<br />

The company’s legacy will be the many ranches around Laramie which it put together,<br />

many of which are still operated as ranches.<br />
