SECURITY MANAGEMENT The company is responsible for ensuring that the prescribed minimum regulatory standards, as laid down in the Aviation Transport Security Act 2004 and Aviation Transport Security Regulations 2005 are met. In particular this is with respect to airport security, including physical security, access control and counter terrorist first response functions. In order to facilitate this requirement, the company is responsible for the development of the Airport Security Programme which details security systems, measures and procedures as appropriate. The board receives regular reports on compliance with security management requirements. OCCUPATIONAL, HEALTH AND SAFETY MANAGEMENT The company recognises the importance of occupational health and safety issues (OH&S) and is committed to the highest levels of performance. To help meet these objectives it has developed an environmental policy and an occupational health and safety policy to facilitate the systematic identification of OH&S issues and to ensure they are managed in a structured manner. The policies have been operating for a number of years and allow the company to: • Monitor its compliance with all relevant legislation; • Encourage employees to actively participate in the management of environmental and OH&S issues; and • Encourage the adoption of similar standards by the company’s principal suppliers, contractors and distributors. The board receives regular reports on compliance with occupational health and safety requirements. DIRECTORS AND AUDITORS INDEMNIFICATION The consolidated entity has not, during or since the financial year, in respect of any person who is or has been an officer or auditor of the consolidated entity or a related body corporate: • Indemnified or made any relevant agreement for indemnifying against a liability incurred as an officer, including costs and expenses in successfully defending legal proceedings; or • Paid or agreed to pay a premium in respect of a contract insuring against a liability incurred as an officer for the costs or expenses to defend legal proceedings, except for a premium of $44,250 paid to insure directors and officers for any loss, including any costs of legal proceedings, which is not indemnified by WAC and for which the person becomes obligated to pay on account for claims made for wrongful acts committed, attempted or allegedly committed during the period of insurance, to the extent permitted by section 199B of the Corporations Act 2001. Directors covered under this insurance policy are outlined in note 29 to the financial statements. The officers of WAC covered by the insurance include the directors, executive officers and employees. SHARE OPTIONS No options over shares in WAC have been granted during the financial year and there were no options outstanding at the end of the financial year. AUDITOR’S INDEPENDENCE DECLARATION The Auditor’s Independence Declaration which has been received by the Directors from the auditor of Westralia Airports Corporation Pty Ltd is on page 5 and forms part of the Directors’ Report for the year ended 30 June 2005. ROUNDING OF AMOUNTS TO NEAREST THOUSAND DOLLARS The company is of a kind referred to in Class Order 98/0100 issued by the Australian Securities and Investments Commission, about the “rounding off” of amounts in the directors’ report and financial report. Amounts in the directors’ report and financial report are rounded to the nearest thousand dollars in accordance with that Class Order.
