GENERAL COUNCIL<br />
Standing rules and procedures for the election of<br />
General Council members to serve on the NJSBA Nominating Committee<br />
I. DATE OF ELECTION<br />
1.1 The annual election of one member of the<br />
General Council to serve on the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong><br />
<strong>Bar</strong> <strong>Association</strong> Nominating Committee for a<br />
term of two years shall be conducted at the<br />
annual (Fall) meeting of the General Council, on<br />
such date as is established from time to time by<br />
the Executive Committee of the General Council.<br />
1.2 The Executive Committee of the General Council<br />
shall be required to establish the annual meeting<br />
date of the General Council, and publish notice<br />
thereof, at least 60 days prior to the date of the<br />
meeting.<br />
II. NOMINATING PROCEDURE<br />
2.1 No less than 60 days prior to the annual meeting<br />
of the General Council, the General Council<br />
Executive Committee shall formally publish and<br />
communicate, by notice, the date of the annual<br />
meeting to all members and to the officers and<br />
trustees of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong> <strong>Bar</strong> <strong>Association</strong>,<br />
and shall solicit, from the members, nominations<br />
for candidates to be elected by the General<br />
Council to the Nominating Committee of the<br />
<strong>New</strong> <strong>Jersey</strong> <strong>State</strong> <strong>Bar</strong> <strong>Association</strong>.<br />
2.2 Any member of the General Council, otherwise<br />
eligible and qualified to serve on the<br />
Nominating Committee of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong><br />
<strong>Bar</strong> <strong>Association</strong>, may be nominated as a candidate<br />
upon filing, with the Executive Director of<br />
the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong> <strong>Bar</strong> <strong>Association</strong>, a written<br />
nominating petition signed by no less than ten<br />
(10) members of the General Council.<br />
2.3 The Executive Director of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong><br />
<strong>Bar</strong> <strong>Association</strong> shall determine within seven (7)<br />
days of receipt thereof whether the nominating<br />
petition contains the requisite number of qualified<br />
signatures of active members of the General<br />
Council. If the petition contains a sufficient<br />
number of valid signatures, the Executive<br />
Director shall certify the nomination and immediately<br />
communicate that certification to the<br />
nominee and to the Executive Committee of the<br />
General Council. In the event that the petition is<br />
deficient, the Executive Director shall immediately<br />
notify the candidate and return the petition.<br />
Any candidate whose petition has been<br />
rejected for filing by the Executive Director may<br />
solicit additional signatures of members of the<br />
General Council in order to satisfactorily complete<br />
the petition. A resubmitted petition is subject<br />
to the same time requirements as an original<br />
petition. The names of candidates will be<br />
available upon telephone or written request by<br />
any General Council member.<br />
2.4 In the event that a petition is filed within seven<br />
(7) days of the date on which nominations are<br />
to be closed, as set forth in Section 2.6 below,<br />
and the petition lacks the requisite number of<br />
signatures of active members of the General<br />
Council, filing shall be denied and the candidate<br />
shall be without recourse. It shall be the<br />
sole obligation of any candidate to fulfill all<br />
petition requirements.<br />
2.5 Any candidate who wishes to seek nomination<br />
may obtain, without cost, a list of active members<br />
of the General Council from the Executive<br />
Director of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong> <strong>Bar</strong><br />
<strong>Association</strong>, and may rely thereon for purposes<br />
of determining the qualified members for purposes<br />
of a nominating petition.<br />
2.6 No less than thirty (30) days prior to the annual<br />
meeting of the General Council, the Executive<br />
Committee shall communicate to all active<br />
members of the General Council an alphabetical<br />
list of names of those individuals certified to have<br />
been nominated by petition to seek election for<br />
the position of member of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong><br />
<strong>Bar</strong> <strong>Association</strong> Nominating Committee.<br />
2.7 Any person certified as a nominee may submit to<br />
the General Council, no later than thirty (30) days<br />

prior to the annual meeting of the General<br />
Council, biographical and background data of the<br />
candidate’s choosing not exceeding one 8 1/2” x<br />
11” page.<br />
2.8 No less than fifteen (15) days prior to the annual<br />
meeting of the General Council, the Executive<br />
Committee shall cause to be sent to all members<br />
in a single mailing, all biographical and background<br />
data supplied by all qualified candidates<br />
in accordance with Section 2.7 above.<br />
2.9 At the annual meeting of the General Council, at<br />
which the election of a member of the<br />
Nominating Committee of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong><br />
<strong>Bar</strong> <strong>Association</strong> is to be held, the Executive<br />
Committee shall allocate no more than a total<br />
period of twenty (20) minutes for introducing all<br />
candidates to the assembled members of the<br />
General Council and for permitting such candidates<br />
to address the assembled General Council.<br />
III.ELECTION<br />
3.1 The <strong>New</strong> <strong>Jersey</strong> <strong>State</strong> <strong>Bar</strong> <strong>Association</strong> shall<br />
cause a ballot to be printed with the names of<br />
all certified nominees listed alphabetically.<br />
3.2 Qualified electors shall receive one printed ballot<br />
upon registration at the annual meeting,<br />
shall mark their preference on the ballot in the<br />
manner set forth on the ballot, and shall deposit<br />
the ballot in the ballot box.<br />
3.3 The nominee with the greatest number of votes<br />
shall be elected to serve for a term of two years,<br />
or until his successor is elected, on the<br />
Nominating Committee of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong><br />
<strong>Bar</strong> <strong>Association</strong>.<br />
3.4 Where two or more nominees have received the<br />
identical, highest number of votes, there shall be<br />
an immediate runoff election to determine a single<br />
candidate with the highest number of votes.<br />
The runoff procedure shall be as follows: Voting<br />
shall be by written ballot on forms provided by<br />
NJSBA staff, who will obtain each voter’s signature<br />
on the printout of registered General<br />
Council members.<br />
3.5 The two-year term of the individual elected<br />
shall commence immediately. The term of a<br />
previously elected member of the Nominating<br />
Committee shall cease immediately upon the<br />
election of a successor.<br />
3.6 If at the time of election there are fewer than<br />
two qualified candidates, due to withdrawal of<br />
one or more candidate(s), then the nominating<br />
procedure shall be reopened as follows: floor<br />
nominations by General Council members present,<br />
seconded by a General Council member<br />
present, and nomination accepted by the candidate.<br />
Biographical and background data<br />
complying with Section 2.7 may be supplied no<br />
later than seven (7) days after the date of the<br />
General Council annual meeting. Such information<br />
shall be sent to all General Council<br />
members no later than fourteen (14) days after<br />
the General Council annual meeting. Election<br />
shall be by written ballot, to be sent to all<br />
General Council members no later than fourteen<br />
(14) days after the date of the General<br />
Council annual meeting, and returned by mail<br />
to be received no later than twenty-eight (28)<br />
days after the date of the General Council<br />
annual meeting. Except for the revised deadlines<br />
and mail ballot described herein, other<br />
rules and procedures of Section II shall apply.<br />
The names of candidates will be available upon<br />
telephone or written request by any General<br />
Council member.<br />
IV. MISCELLANEOUS<br />
4.1 In the event of a vacancy of one or both of the<br />
two General Council members on the <strong>New</strong><br />
<strong>Jersey</strong> <strong>State</strong> <strong>Bar</strong> <strong>Association</strong> Nominating<br />
Committee, as a result of death, disability or<br />
resignation, the Executive Committee of the<br />
General Council may adopt special election<br />
rules and procedures to fill such vacancies<br />
which shall conform, as nearly as possible, to<br />
these Standing Rules.<br />
4.2 The prior Rules and Procedures, adopted by the<br />
Executive Committee for the first election conducted<br />
in 1985, are hereby superseded.<br />
4.3 The Bylaws of the <strong>New</strong> <strong>Jersey</strong> <strong>State</strong> <strong>Bar</strong><br />
<strong>Association</strong> shall control wherever any inconsistency<br />
exists between those Bylaws and these<br />
Standing Rules.<br />
4.4 These Standing Rules may be amended from<br />
time to time by majority vote of the Executive<br />
Committee. In the alternative, these Standing<br />
Rules may be amended by a majority vote of<br />
members present at any duly convened meeting<br />
of the General Council, provided that a copy of<br />
the proposed amendments is mailed to each<br />
General Council member at least 30 days prior<br />
to the annual meeting.<br />
4.5 The General Council Executive Committee<br />
shall designate a member of General Council to<br />
act as Parliamen tarian for the annual meeting.<br />
4.6 For the purpose of these Rules, “member” is<br />
deemed to include “alternate member”<br />
attending in lieu of the member, except for<br />
eligibility for Nominating Committee membership<br />
and for mail ballots, which will be sent<br />
to members only.<br />
